APPROVAL OF MINUTES
Motion by Commissioner Stiff, seconded by Commissioner McGarry, to approve the
February 23, 2015 meeting minutes with one correction: the addition of a dollar sign on
page 2, end of paragraph about Richlind Subdivision cash dedication $20,000. All in favor.
OPEN FORUM
There were no public comments.
ACTION ITEMS
Introduction of the new City Administrator Tom McCarty
City Administrator Tom McCarty introduced himself.
Trails Master Plan
Melissa Douglas, Planning Consultant, led discussion of the first complete draft of the
updated Trails Master Plan. The next steps will be to review the draft with the City
Council, then invite public comments during an open house the last week in April. She
will return to the Commission with a final draft in May.
INFORMATIONAL ITEMS
Public Works Superintendent Moore noted that the City will hold a public informational
meeting Thursday, April 2 regarding a proposed amendment to the Brown's Creek
Management Plan. The amendment would allow bicycles to be used in this area on a
designated mountain bike trail system.
Moore also noted that there will be a tour of the Shoddy Mill buildings with architects on
March 24. This is part of the reuse study.

The Friends of Stillwater Parks has been invited to the Parks and Recreation Commission
meeting to discuss with the Commission the future plans for the organization. Attached is a
letter from the Friends of Stillwater Parks dated October 6, 2014, the original agreement
executed in May 1995, and articles of incorporation. Also attached is a list of park gardens with
locations highlighted that the Friends of Stillwater Parks have maintained.

Dear Tim Moore, Superintendent, Stillwater Parks and Linda Amrien, Chair, Stillwater Parks
Commission,
It has been a pleasure to serve and contribute time and effort towards maintaining several
flower gardens in local parks since 1996. However, our Board of Directors has decided to
discontinue the Park Garden Committee.
We believe Stillwater's Park Department can provide -- more effectively than Friends
of Stillwater Parks can provide -- the staff and seasonal summer help to:
• amend the soil of gardens as needed;
• select plant material, plant, water, maintain and weed planted areas;
• recruit community volunteers or community garden clubs;
• provide a special event to acknowledge volunteers;
• develop and implement a landscape beautification plan for high visibility parks such as
Pioneer Park and Lowell Park including the maintenance of those planted areas; and
• oversee the maintenance of all planted areas on city property
Again we wish to reiterate that it has been a pleasure to serve our community and we will
continue to serve through other means.

AGREEMENT
This Agreement made this 16day of May, 1995, between the City of Stillwater, Washington
County, Minnesota ("City"), and Judith Gulden, acting as disbursing agent ("Agent"), in conjunction with
Friends of Stillwater Parks, Inc. a non-profit corporation pledged to promote parks and parkland within
the City.
1. The City has encouraged the formation of this .corporation to foster and promote parks
within the City of Stillwater and encourage the use of parks within the City that will ultimately increase
property values and the quality of life within the City, thereby promoting the welfare of the City.
2. In order to establish the corporation, it is necessary to incur expenses associated
therewith.
3. The City has agreed to provide financial support to the corporation on the condition that
the money is disbursed for expenses associated with the formation and establishment of the corporation
and for park related purposes.
4. The financial support will not exceed the budgeted amount of $500.00.
5. Judith Gulden is hereby appointed as Disbursing Agent of the City, and in that capacity,
is authorized to make disbursement upon satisfactory proof of identify being made to her.
6. The Disbursing Agent is directed to obtain signed vouchers from each of the persons or
entities to whom a check is disbursed and to maintain record of disbursement and executed vouchers and
deliver them to the City for keeping in the official records of the City according to law.

ARTICLES OF INCORPORATION
OF
FRIENDS OF STILLWATER PARKS, INC.
ARTICLE 1 - NAME
1.1) The name of the corporation shall be Friends of Stillwater Parks, Inc.
ARTICLE 2 - PURPOSES
2.1) The purposes of the corporation shall be:
(a) to promote, engage in, assist and contribute to the use of parks of Stillwater,
Minnesota, (herein referred to as the "City"); ("Parks" as used herein shall mean natural areas, recreation
areas, walkways and paths in addition to developed parks);
(b) to address the park needs of residents, nonprofit organizations, and government
bodies with respect to parks as well as to create community awareness of parks;
(c) to disseminate park information to the public and to encourage participation in
park planning and park development;
all within the meaning of section 501(c)(3) of the Internal Revenue Code.
2.2) In support of such purposes, the main activities of the corporation shall include:
(a) to seek and identify persons with common interests and encourage them to use
parks;
(b) to provide training in park support for individuals and groups;
(c) to help individuals and groups to develop and produce programs for parks;
(d) to consult with and advise the Stillwater Parks and Recreation Commission and
City Council on the availability of park facilities, pursuant to prescribed rules governing the use
of such facilities;
(e) to encourage the use of parks for divergent uses and for the broadest range of
people;
(f) to cooperate with the City Council and City Park and Recreation Commission in
the review of any violations of nondiscriminatory rules relating to the free use of the public park
facilities and amenities;
(g) to assure fair access of parks, consistent with the ordinances of the Cities, the
statutes of the State of Minnesota, and the Law of the United States;
(h) to do any and all other acts and things and to exercise any and all other rights and
powers which may be necessary, advisable, desirable or expedient in the accomplishment of any
of the foregoing purposes.
ARTICLE 3 - AUTHORITY
3.1) The corporation shall further its purposes either directly or by making or providing
donations, gifts, grants, contributions, loans, guarantees, or subsidies out of the net income or the
principal assets of the corporation, or both (without limit as to the amount going to any one recipient or
in the aggregate to all recipients), but subject always to the provisions of Section 3.3 hereof.
3.2) Subject to Section 3.3 hereof, the corporation shall have authority to do any and all acts
and things and carry on and conduct all other activities as may be necessary, advisable, desirable or
expedient to accomplish its purposes, to the full extent permitted by the laws of the State of Minnesota.
3.3) Notwithstanding any other provisions of these Articles of Incorporation;
(a) All activities of the corporation shall be used and applied exclusively for the
purposes for which this corporation was organized.
(b) No part of the net earnings of the corporation shall inure to the benefit of any
member, officer, director or any other individual (except that reasonable compensation may be
paid for services rendered to or for the corporation in furtherance of one or more of its purposes,
and except that individuals may benefit from grants and similar payments or distributions made
for the purposes for which this corporation was organized, in furtherance of the purposes of the
corporation).
(c) No substantial part of the activities of the corporation shall be the carrying on of
propaganda or otherwise attempting to influence legislation, and the corporation shall not
participate or intervene in any political campaign on behalf of or opposed to any candidate for
public office, by publishing or distributing statements or otherwise.
(d) The corporation shall not carry on any other activities not permitted to be carried
on by a corporation exempt from federal income tax under Section 501(c)(3) of the Internal
Revenue Code.
ARTICLE 4 - NONPROFIT CORPORATION
4.1) The corporation shall not afford pecuniary gain or profit, incidentally or otherwise, to
its members.
4.2) This corporation is a nonprofit corporation governed by Chapter 317A of the Minnesota
Statutes.
ARTICLE 5 - REGISTERED OFFICE
5.1) The mailing address of the registered office of the corporation is 218 North Martha Street,
Stillwater, Minnesota 55082.

ARTICLE 6 - DIRECTORS
6.1) The management of the corporation shall be vested in a Board of Directors. The number
of directors shall be fixed by the Bylaws of the corporation, and may be altered by amending the Bylaws,
but shall never be less than required by law.
6.2) The terms of office of the directors, other than the members of the first Board of
Directors, shall be fixed by the Bylaws of the corporation, and may be altered by amending the Bylaws.
6.4) Any action may be taken by written action signed by the number of directors that would
be required to take the same action at a meeting of the Board at which all directors were present;
provided that all directors must be notified immediately of the text of the written action and the effective
date.
ARTICLE 7 - MEMBERSHIP
7.1) the Corporation shall have no members.
ARTICLE 8 - DISTRIBUTION ON LIQUIDATION OR DISSOLUTION
8.1) In the event of liquidation, dissolution or winding up of the corporation, whether
voluntary or involuntary or by operation of law, the remaining property and assets of the corporation
shall be distributed in such manner as the Board of Directors of the corporation shall by majority vote
determine. The distribution shall be made either exclusively for the purposes for which the corporation
is formed or consistent with such purposes, and shall be made to such organization or organizations
organized and operated for such purposes as shall at such time qualify as exempt under Section 501(c)(3)
of the Internal Revenue Code, or the corresponding provision of any future United States Internal
Revenue law.
ARTICLE 9 - AMENDMENT OF ARTICLES
9.1) These Articles may be amended in the manner now or hereafter prescribed by law.

Re: Park Donation from RBC Wealth Management
BACKGROUND
Early this year I was contacted by RBC Wealth Management in Stillwater with information on a
grant program for parks within their organization. On Monday April 20, 2015 they presented
the city with a check for $1,000. They informed us that the money can be used for anything
park related in any park.
DISCUSSION
The employees at RBC Wealth Management volunteered a day in June of 2014 at Pioneer Park
to help clean up and install mulch in the planting beds. They are planning a volunteer day again
this June at Pioneer Park. One particular need at Pioneer Park is playground planting bed
mulch, which is expensive considering the size of the playground at Pioneer Park. Staff thought
that the donation could be used to purchase the mulch that could be spread by their
volunteers.
RECOMMENDATION
The Parks and Recreation Commission should discuss the donation and make a
recommendation to staff for its use.

PARKS AND RECREATION COMMISSION
MEETING DATE: April 22, 2015
REGARDING: Brown's Creek Park Use

On April 2, 2015 the Stillwater Area Scholastic Cycling Advocates (SASCA) held a
neighborhood meeting at City Hall to make a presentation regarding the proposed one-way,
single track trail in Brown's Creek Park. At the meeting staff listened to concerns of the public
as well as those in support of the project. Those in attendance voiced concern for the potential
impact to the established prairie land.
Since that time staff has been working on a draft agreement between the City and the Minnesota
Off -Road Cyclists (MORC). Although the original proposal has been made by SASCA, MORC
has agreed to enter into the agreement for the construction and management of the trail. MORC
is a 25 -year old Minnesota-based non-profit who manages 85 miles of trail in the metro area.
They will help provide guidance and assistance to SASCA in the development of the trail. Staff
is scheduling a Parks and Recreation Commission public hearing for May 18ffi and a City
Council hearing for (tentatively) June 2nd.

of Stillwater's Park and Recreation Commission.

Friends of Stillwater Parks
Friends of Stillwater Parks (FSP) is a non-profit is a 501 ( c3 ) non profit community
organization. FSP is dedicated to promoting:
Community involvement, civic pride and stewardship of Stillwater's natural
resources and ecosystems
• Educational and recreational activities; and
• Advocating for the accessibility and community enjoyment of parks and trails.
Our goals for 2015-16 include:
1. Learning about the goals of the Park and Recreation Department and its
Commission goals.
2. Using social media to inform residents of FSP programs and projects and leadership
opportunities i.e. Discover Stillwater, the updated City web site, the Stillwater
Current, etc. and expanding our e-mail list.
3. Partnering with the Washington Soil and Water Conservation District to work on
conservation projects that pertain to Stillwater and with Pollinator Friendly Alliance
on a community event to plant pollinator friendly habitat in forage areas or under
utilized parkland, trails and ravines. Advocating accessibility.
4. Helping to sponsor the Twinkle Parade held the first Saturday of December.
5. Using opportunities to refer residents that want to volunteer in parks to see the City's
web page or to contact the City Parks Department.
6. Managin a grant program for residents to conduct events in Stillwater Parks that
are a ucationa , recrea io-`n�entert na n� i g and that are family and children friendly.

Friends of Stillwater Parks (FSP) is a non-profit is a 501 ( c3 ) community
organization. FSP is dedicated to promoting:

• Advocating for the accessibility and community enjoyment of parks and
trails.
Friends of Stillwater Parks Is Dedicated To Community Involvement
Friends of Stillwater Parks funds local neighborhood and community -wide
activities each year such as the Twinkle parade, Summer Tuesdays and Art in the
Park. FSP provided the North Hill Community Garden a significant grant to
create cedar timber raised garden beds and filled with healthy soil. Our grant
enabled the garden to offer growing plots at an affordable cost to city residents.
FSP Grants Program
FSP grant applications are available on the City's web site for activities in parks
and trails.
Stillwater residents - individuals, groups of friends or neighbors, and
neighborhood associations may apply for help in funding community events held
in Stillwater's parks. Examples include entertainment at a neighborhood
community event, organizing music events, a photo and/or art exhibit in parks,
organizing nature walks, a buckthorn or invasive plant reduction project on
Stillwater's parkland, or funding minor improvements to a park.
Friends of Stillwater Park's Commemorative Bench and Brick Program
Residents, visitors, families and friends of Stillwater are invited to pay tribute to a
person(s) or occasion by purchasing a commemorative park bench or brick
paver.
Commemorative Brick are installed in the Pioneer Park Friendship Walk.
Commemorative benches are installed in a public park or a selected city right of
way. The approved location of a bench installation depends on proposed future
development within a park, the location of underground utilities, and other site
restrictions. Some parks may already be at capacity and therefore a bench may
not be made available for that park.
How to request a commemorative benches or brick paver
To place a request for a commemorative benches or brick pavers please
complete the order form on the City website and submit with your payment by
mail to the address listed on the form. If you have any questions, please

Funding of FSP Programs and Projects
Programs and Projects are funded by donations from the community, fundraisers
and the proceeds from the Brick and Bench program. FSP is a 501(c)(3) non-
profit organization and donations are tax deductible

Residents are welcome to contact FSP with inquiries, if they are interested in
serving on the FSP board, or would like to volunteer and help manage this
dedicated organization serving the City of Stillwater and its residents.

Please separate the North Hill Community Garden and the City's flower from

The City's Flower Garden Volunteers
Each year volunteers are needed to plant and help the City maintain flowers
beds in City parks. Contact the Parks Department for further information.
North Hill Community Vegetable Garden
The community garden is located at 1004 No.Martha St N on the corner of
No.Martha St. and W.Aspen St. A small group of volunteers plan activities and
improvements, monitor and direct maintenance, and serve as liaison with the
community and Stillwater Parks Commission. The North Hill Community Garden
group designed the garden plans which include perennial food plants, native
planting, a common sitting area and several different sized raised beds that can
be rented for the growing season. For more information on obtaining your own
