Note, The Commission did not hold a meeting in July 2012. David will forward the approved minutes to the Stillwater city clerk's office. Wolf request for reserved parking Patricia Wolf has received a license from the City Council to operate a multiple- person tour cycling business in downtown Stillwater. Bill presented her request to reserve one on- street parking space for her tour bike to load and unload guests. The commission was asked to approve a spot to park and to set cost of the reserved parking space. The space requested is on the west side of Water Street immediately north of Myrtle Street. The commission had concerns with this spot, i.e., (1) the bike would be facing the wrong way to start the tour route and logistically it would be difficult to get it pointing the correct way, and (2) there is a lack of space in this area for customers to safely congregate before and after a ride. Bill suggested a spot on Water Street N and Commercial Street in the new Main Street Pedestrian Walkway; the commission liked this idea. The fee for the reserved on- street parking space was then discussed. The commission wanted the 2012 fee schedule to be used to establish the rate, however the City Council reduced the Commission - recommended fee schedule for the Stillwater Trolley Company's reserved parking. So the commission agreed to charge Patricia the same as the Stillwater Trolley Companies. A motion was made and seconded to allow Wolf Brewery Bierbike to reserve the agreed upon spot at the Main Street pedestrian Walkway at a charge of $3 per day with the applicant paying for the cost of manufacturing and installing the reserved sign. The motion passed in a unanimous voice vote. Bill will forward commission's recommendation to City Council. agenda discussion action parking system revenue & rate structure study Bill presented a master plan for capital improvements and proposed a phasing schedule for rate increases to cover operation and capital costs. Many ideas were discussed at length including: raising the parking tickets to $10, giving residents of Stillwater a parking sticker, increasing the monthly permit parking fee and increasing all parking lots to a $4 flat rate. Mead Stone asked if changes in the rate structure would effect his parking agreement with the City. Bill assured him the city would honor his parking agreement. Bill said he would prepare a summary of the discussion for the next meeting and develop a spreadsheet so the commission can assess the revenue as changes are make in the rate structure. Commission will continue the discussion next meeting. Bill will come back next month summarizing ideas discussed and develop a spreadsheet so comparison can be made. Harvest Fest Bill presented the request from the 2012 Harvest Fest sponsors (Summer Tuesday, Inc; Stillwater Convention and Visitor's Bureau; and the Partnership Plan) for parking spots. After discussion a motion was made and seconded to approve the request with the fee being set by the 2012 fee schedule for a total cost of $783. The motion passed in a unanimous voice vote. Bill will forward commission's recommendation to City Council. ' update on city council decisions Bill reported the city council approved the Parking Commission's recommendation to hire a parking ramp attendant. general discussion The commission discussed having the meeting minutes tape- recorded and professionally typed. Bill will bring a cost estimate to the next meeting for having meeting minutes typed. next meeting The next meeting will be Thursday, September 20, 2012 at 8:30 a.m., Conference Room 213, City Hall. David will send out a draft of the minutes before the next meeting. This would be a total of $60 per meeting. That's fine with me. I have more time now that I'm done with HOPE. So far, it usually takes me the time to listen (ie 2 hrs) plus almost the same amount of time to do the minutes, for starting and stopping the tape, rewinding, formatting etc. So about double the m eeting time total, but I expect that will go faster as I get to know their voices. The format of the Downtown Parking Commission that you attached were a different format altogether. If that format is used, where only the basics are recorded in a table format like that, and very few quotes or comments are attributed to any body, then it would go faster. I'm sure Sharon did them pretty quickly after that many years. Behind the building is City Parking Lot 15 (see attached map). At the time the lot had a gravel surface and the building owner wanted it to be upgraded by the City. However, since it did not receive enough regular use for the City to justify paving it, the building owner proposed to improve it himself with pavement, storm sewer and parking lot lights. In return the owner requested a lease agreement that gave his building exclusive use of the lot during regular business hours. The City agreed. (Even with the lease $10 monthly permits are required for each of the 20 spaces.) The ten year lease expires on October 2, 2012. So, the building owner has requested a ten year extension of the lease. Discussion The City Administrator and City Attorney have reviewed the requested lease extension. Since the lot is not a high demand lot, and the building owner has been regular about the $200 per month payment for the 20 spaces, they both view the request favorably. With one exception, they recommend extending the terms of the first lease. The exception is that the term of the extended lease should be month by month instead of the requested 10 year period. Action Requested Please consider the request and make a recommendation that will be forwarded to the City Council. bt attachments: Parking Lot Map Existing Lease • • • PARKING LEASE AGREEMENT THIS AGREEMENT is made this day of , 2002, between THE CITY OF STILLWATER, a Municipal corporation ( "City "), and ARCOLA DEVELOPMENT COMPANY, LLC, a Minnesota Limited Liability Company ( "Arcola "), RECITALS A. City is the owner of land, (the "Property ") located in the City of Stillwater, County of Washington, State of Minnesota, legally described as set forth on Exhibit "A" attached hereto. B. Arcola desires to lease a portion surface parking lot on the part of the Property described in Exhibit "B" attached hereto (the "Parking Area "), and to create the necessary leasehold rights for joint use of portions of the Parking Area by Arcola and the City. NOW, THEREFORE, in consideration of the mutual covenants contained herein, it is hereby agreed that: 1. Exclusive Possession of Parking Area. City reserves exclusive use of the twenty (20) parking spaces between the hours of 6:00 p.m. and 5:00 a.m., Monday through Friday, and at all times on Saturday and Sunday and any National holiday. At all other times, exclusive use of the Parking Area is reserved in Arcola. 2. Rent. Arcola is not obligated to pay rent to City during the term of this Agreement. However, Arcola, its agents and tenants must purchase Downtown Parking Permits for each of the twenty parking spaces reserved for their exclusive use. Permits are now issued at the rate of $10.00 per month, per permit, and may be adjusted by the City from time to time upon the recommendation of the Downtown Parking Commission.- 3. Use. Arcola shall be.permitted to use the Parking Area during its period of use as an area to park motorized vehicles; and the City for its period of use for public parking purposes and for law enforcement purposes for the benefit of Arcola and the Public. 4.. Construction. Arcola will, at its sole expense and subject to the approval of the City, design and construct a surface parking lot ( "Parking Lot ") on the Parking Area in the following manner: a. The Parking Lot must have bituminous surface; b. The Parking Lot must consist of approximately 20 parking spaces; c. There must be vehicular access to and from the Parking Lot to Mulberry Street; and d. Arcola will maintain Parking Lot in acceptable condition and be responsible for all necessary repairs. e. Arcola will be responsible for snow removal and sweeping of the Parking Lot. 5. Signage. Arcola must, at its sole expense and subject to the approval of the. City, design and install signage that clearly identifies the Public Use Periods provided for by this Lease Agreement. 6._ Li tin . Arcola must install lighting on the parking area, subject to approval of the City, however, the City will be responsible for utility charges for electrical use of the lighting. 7. Insurance. Arcola must maintain comprehensive liability insurance, naming City as an additional insured in 'an amount equal to at least $1,000,000 per occurrence for the use of the Parking Area by the City and the Public. 2 • 8. Indemnity. Arcola hereby indemnifies, defends and saves City, and its employees, agents, insurers, assigns and affiliated partnerships and corporations, harmless from and against all claims, actions, costs (including without limitation reasonable attorneys' fees and costs and witnesses' fees and costs) or damages of every kind and description (including without limitation claims for property damage or personal injury), fees, judgments, expenses, liabilities, liens and suits, known or unknown, liquidated or unliquidated, which accrue to or are suffered by any person or property resulting from acts or omissions of Arcola, its employees, agents and licensees in connection with the use of the Parking Area. 9. Term. This Agreement will have an original term ( "Term "), of five years and, thereafter, is cancelable at the will of either party upon one (1) year written notice from one party to the other. If, however, the City elects, after the five (5) year original term to construct an elevated parking ramp on the property, upon thirty (30) days notice to Arcola, the Cityy may suspend use of the parking lot. In that event, however, the City will allow Arcola at least one year .of use of twenty (20) parking spaces in the completed facility during the time set forth in Section 1 of this Lease without charge. 10. Notices. All notices provided herein must be in writing and be deemed delivered when personally served or when sent by first class certified mail, return receipt requested, served or addressed as follows: If to the City: City of Stillwater 216 North Fourth Street Stillwater, MN 55082 Attention: Larry D. Subordination, Nondisturbance and Attornment. This Agreement is and shall be subject and subordinate at all times to all existing and subsequent mortgages placed on or against the Property, including all extensions, renewals, amendments and supplements thereof, provided that the rights of Arcola under this Agreement are recognized. The City hereby agrees to promptly execute and deliver upon written request by Arcola all necessary subordination documents required by Arcola's lenders or purchasers if a lender or purchaser delivers a nondisturbance agreement to the City. 12. Surrender. Subject to the terms of this Agreement, on termination of this Agreement, Arcola will peaceably and quietly surrender the Parking Area and remove its trade fixtures and personal property ( "Personal Property"), if any, from the Property. Personal Property not so removed will be deemed abandoned and become the property of the City. 13. Governing Law. This Agreement is governed by Minnesota law. CITY OF STILLWATER Jay L. Several rate increase scenarios were discussed. Each scenario was based upon variable rates related to the location of the lot. After considerable thought the Commission decided against variable rate scenarios in favor of a flat rate option. Though the actual rate was not decided upon, the Parking Commission reached a consensus on the following items: 1. Increase parking tickets from $5 to $10. a. Without the increase, the parking ticket is in some cases no more costly than the parking fee. So there is little incentive to pay the fee. 2. Charge for parking in all lots east of Main Street. a. Lot 9 will not be become an hourly pay lot, since it will be the trailhead lot for the state trail. 3. Institute a parking pass system for Stillwater residents. a. This would not be good for overnight parking. b. This parking pass would not be valid for employee parking or business owner parking. 4. The parking fee should be the same in all surface lots. 5. During the off season all pay lots would be free for 3 or 4 hours, depending upon the location of the lot. 6. Monthly parking passes could be purchased for any lot except Lots 1 and 2. City staff was asked to bring back information on the amount of revenue that would likely be raised if a flat rate of $2, $3, $4 or $5 were instituted. That information is attached. September 12, 2012 Page 2 Discussion If the assumptions are correct concerning the amount of revenue likely to be raised per space each year in the individual lots, then it would appear that a minimum rate of $3 would have to be charged to cover costs. However, since additional seasonal employees may need to be hired to take care of the new paved lots and all of the new revenue machinery, a $4 rate may be necessary. And, if the assumptions are not accurate (this is very possible since there is no historical data for any lots other than Lots 1 and 2), then it may be conservatively correct to charge $5. Another item that needs further consideration is whether on- street parking will continue to be free for 4 hours. The Commission has talked about metering Main Street's parking spaces. The purpose of the meters would be to create turnover, not necessarily to raise revenue. Alternatives The Parking Commission could: 1) Decide upon a recommendation to the City Council that addresses both: a) a rate structure for the surface lots; and b) whether to adopt a metering system for on- street parking on Main Street (and possibly other downtown streets as well); or 2) Request further information to be brought back to the next Commission meeting. The venue of the event is proposed to be North Lowell Park together with City parking lot #4 and part of lot #5. Vendors would set up their booths beginning at noon on Friday, October 5. The Art & Jazz Festival would be open to the public on Saturday, October 6 from 10 am to 5 pm and again on Sunday for the same hours. Tear down would occur from 5 pm to 8 pm Sunday evening. All 46 parking spots in Lot #4 and 46 spots in Lot #5 will be reserved all day Friday through Sunday. The lots will be posted for the event on Thursday evening. The parking fee as established by Resolution 2012 -11 and applied to this event is presented in the table below. The Council approved a fee of $848 (Parking Commission recommended $848). The fee scheduled was revised for 2012 to allow a Page 2 of 2 discounted fee during the off season (beginning October 1). Therefore, the fee this year will be considerably less.
