SPECIAL MEETING
November 24, 1981 6:30 P. M.
The meeting was called to order by Mayor Junker.
Present: Councilwomen Avise and Bovlovick, Councilmen MacDonald and
Peterson and Mayor Junker
Absent: None
Also Present: Finance Director /Coordinator, Kriesel

CABLE COMMUNICATIONS JOINT POWERS AGREEMENT
MR. MAGNUSON explained the changes that were made to the Joint Powers Agreement.
A sentence was added to Article I - PURPOSE providing that the agreement did not
restrict or otherwise pre -empt the member City Councils' authority to grant and issue
non - exclusive franchises. MR. MAGNUSON said that this was put in the agreement
because the cable franchise itself is non - exclusive and there remains the possibility
that a City would want to negotiate a separate franchise with another company. MR.
MAGNUSON did not think that this would ever happen because of economic reasons;
however, it could still happen. Another change was that the members appointed to
the Joint Powers Board would serve at the will of his /her municipality and could be
removed at any time with or without cause by that municipality.
MR. MAGNUSON pointed out that the agreement did contain a withdrawal provision;
however, the provisions required a unanimous vote of the member cities before with-
drawal could take place.
MAYOR JUNKER, COUNCILWOMAN AVISE, COUNCILMAN MAC DONALD AND COUNCILMAN PETERSON
expressed concern about entering into a long term contract and not having the ability
to withdraw from the agreement. The present Council did not want to bind future City
Councils with an unpopular agreement and did not want to have an agreement that would
in any way restrict the Stillwater residents from having the best cable communicaton
system available. There was also a concern that the agreement did not give Stillwater
representation proportioned to its size.
COUNCILWOMAN BODLOVICK said that as a member of the Citizens Advisory Committee she
did not push for a withdrawal provision; however, she said she would not oppose a
decision by the Stillwater Council to require the provision.
MAYOR JLNKER asked Mr. Magnuson what he thought would be the best way to handle the
agreement.
MR. MAGNUSON suggested that the City of Stillwater set up a meeting with the Council
members of Bayport and Oak Park Heights. All of the concerns could be expressed at
this meeting and perhaps the Cities could be pursuaded to change the agreement to
accommodate all of the concerns.
City Coordinator, Kriesel was directed to setup a meeting with Bayport and
Oak Park Heights City Councils at 4:30 P. M. Tuesday, December 8, 1981 (possibly at
Oak Park Heights City Hall.
LABOR RELATIONS SEMINAR
MR. KRIESEL requested attending a seminar on Labor Relations that would be held on
December 11, 1981. The seminar would be put on by Labor Relations Associates and
the League of Minnesota Cities at a cost of $115.00. MR. KRIESEL felt that this
would be a highly informative meetung and that someone should attend the seminar.
On motion of Councilwoman Bodlovick, seconded by Councilwoman Avise, the
Council authorized Mr. Kriesel to attend the seminar. (all in favor)
AUDITOR
MR. KRIESEL requested retaining DeLaHunt & Voto Co. as the City's Auditor for the
1981 audit.
(Councilman Peterson said to put this on the agenda for the next regular
meeting).

MR. MAGNUSON informed the Council that he had learned that there was a possi-
setlasideaor an injunction
onhis the
West Olive Street.
MR. MAGNUSON said that if this was the case, then the courts would decide the
issue of whether or not the City could be more restrictive than the State as
far as the number of residents was concerned.

On motion of Councilman Peterson, seconded by Councilman MacDonald, the meeting
adjourned at 8:00 P. M.
