This memo is a reminder to Council that a Special Meeting is scheduled for
Tuesday afternoon, April 11, 1989 at 4:30 P.M. and 7:00 P.M. in the City Hall
Council Chambers located at 216 North Fourth Street, Stillwater, Minnesota to
discuss the following:

1. This is the day and time for the Public Informationar Hearing to consider
the Financing Plan for Capital Improvements in the Downtown Area to
implement the Downtown Plan.
Notice of the hearing was published in the Stillwater Gazette on
April 3, 1989 and copies were mailed to affected property owners.
2. Any other business Council may wish to discuss.
3. Possible adjournment to Executive Session for Labor Relations discussion.

Re:
Economic Development Authority
The Enclosed Resolution authorizes the creation of an Economic
Development Authorit. The Statutes require a public hearing
preceded by the proper publication of notice, and a copy of the
Notice is included. It must be published twice, on two
consecutive weeks; the first publication must appear not more
than thirty days from the date of the public hearing..
The enclosed Ordinance must be used to transfer authority from
the Washington County Housing and Redevelopment Authority to the
Ci ty and can be changed or modified before adoption based upon
what particular powers the City wishes to exercise and which they
would like the Housing and Redevelopment Authority of Washington
County to retain.
After the Economic Redevelopment Authority is created, it must
adopt Bylaws and Rules, and elect Officers for carrying out of
its purpose. It must appoint a Treasurer and a Depository and
comply with other reporting Rules that are part of the Statute
allowing for the creation of the 'Authority.
While the Authority has many interesting powers, one that might
pr@vide immediate interest to the City is the authorization for a
.75 mill levy for benefit of Authority that- is not subject to
levy limits. The Authority may also authorize the issuance of
revenue bonds to construct and improve buildings and pledge the
income from the buildings to the retirement of the revenue bonds.
These bonds do not pledge the full faith and credit of the City.
The Authority may also issue general obligation bonds that are
backed by the full faith and credit of the City that are due in
not more than three years and not more than twenty years from the
date of issuance. The Authority may also operate and maintain
public parking facilities or other public facilities in the City
needed to promote development in an Economic Development
District. I would recommend that the Council direct the staff to
explore all of the ways in which the Economic Development
Authority could assist in the implementation of the Downtown Plan
and that this information be provided to the Council in a
comprehensive report prior to the hearing on the adoption of the
Economic Development Authority which has been tentatively set for
April 18, 1989.

RESOLUTION
AN ENABLING RESOLUTION ESTABLISHING AN ECONOMIC
DEVELOPMENT AUTHORITY IN THE CITY OF STILLWATER
THERE IS HEREBY ESTABLISHED in the City of Stillwater
pursuant to the terms of Minnesota statutes ~ 469.090 to
~ 469.108 an Economic Authority that will hereafter be known as
the Stillwater Economic Development Authority.
1. POWERS. The Authority shall have without limitation,
all of the powers of an Economic Development Authority contained
in Minnesota Statutes ~ 469.090 to ~ 469.108; and all of the
powers, without limitation, of a Housing and Redevelopment
Authority under Minnesota Statutes ~ 469.001 to ~ 469.047 or
other law, and of a City under Minnesota Statutes ~ 469.124 to
469.134 or other law.
2. Section Powers Not Limited. The Economic Development
Authority shall have none of the limitations of its powers that
are set forth in Minnesota Statutes ~ 469.092.
3. COMMISSIONERS. The members of the City Council shall
serve as the Commissioners. A vacancy is created in the
membership of the Authority when a City Council member of the
Authority ends Council membership. The term of each Commissioner
shall coincide with the term of office of the member of the City
Council.
Adopted by unanimous vote of the City Council this 18th day
of April, 1989.

NOTICE OF HEARING
Notice is hereby given that the City Council of the City of
Stillwater will hold a public hearing at 7:00 p.m. on Tuesday,
the 18th of April, 1989, at the City Council Chambers in the City
Hall at 214 North Fourth Street, Stillwater, Minnesota, to
determine whether or not the City should enact an enabling
resolution that will create an Economic Development Authority in
the City. An Economic Development Authority will allow the City
to have broader powers in promoting economic development,
promoting housing opportunities for low income and elderly
people, and to take a more active role in the redevelopment of
dilapidated or vacant portions of the City.
All persons desiring to be heard should appear at this
hearing and make their comments known to the City Council.

ORDINANCE NO.
AN ORDINANCE DIVIDING ECONOMIC DEVELOPMENT, HOUSING
AND REDEVELOPMENT POWERS BETWEEN THE NEWLY CREATED
ECONOMIC DEVELOPMENT AUTHORITY OF THE CITY OF STILLWATER
AND THE WASHINGTON COUNTY HOUSING AND REDEVELOPMENT AUTHORITY
The City Council of the City of Stillwater does ordain:
1. Transfer of Authority. From and after April 18, 1989,
the Economic Development Authority of the City of Stillwater
shall assume exclusive authority over any economic development,
housing, and redevelopment powers granted to the Economic
Development Authority of the City pursuant to Sections 469.001 to
469.047 ,and Sections 469.090 to 469.108 of the Minnesota
Statutes, except as hereinafter set forth in this ordinance.
2. Authority Retained. The Washington County Housing and
Revelopment Authority shall retain all economic development,
housing, and redevelopment powers available to it under Minnesota
Statutes Section 469.001 to 469.047 with respect to any project
initiated by them prior to April 18, 1989, and also with respect
to any contract executed before April 18, 1989. It shall also
retain the authority to administer a housing program for the City
of Stillwater as evidenced by an Agreement between the City of
Stillwater and the Washington County Housing Development
Authority dated , 1988.
3. Limi ts. The transfer of authority set forth in this
Ordinance from the Washington County Housing and Redevelopment
Authority to the Economic Development Authority of the City of
St"illwater shall not be applied in a manner that impairs the
security of any bonds issued or contracts executed to the
detriment of the holder of the bonds or obligations of any
contracting party.
4. This Ordinance shall be in full force and effect from
and after its passage and publication according to law.

RE: DOWNTOWN PLAN FINANCING
Background
At the council meeting on January 10, 1989, the city council directed me to
prepare a rough draft of a financing plan for the downtown area. The financing
plan that follows is derived from projects and their estimated costs as described
in the "Stillwater Downtown Plan". The total estimated costs for the downtown
are approximately $10 million and this did not include land acquisition or
additional engineering costs.
Analysis
. To begin to tackle this financing project, some initial assumptions were made.,
1. The council's priority for improvements in the downtown appeared to
be focused toward public utility improvements and parking.
2. Raising $10 million to finance all the projects in the downtown plan
without phasing was not reasonable.
3. Some of the proj~cts were specifically listed as special projects
that could be completed at anytime (i. e., when funds become
available) .
4. Plans for the parking ramp are still in the study phase and can't
be finalized because of other factors (location, etc.).
5. Mulberry Point projects have been postponed until the land
acquisition.
Schedule A (attached) shows the net project costs without special projects to
be a total of $6,023,540 and Schedule B shows total funding sources available
for the same amount.
Additional details for funding sources:

additional future increments available for future projects.

from AFSCME LOCAL 517 and a copy of the proposal that was sent to AFSCME on
February 22, 1989.

A bill has been recently introduced in the Minnesota Senate which
proposes to change the Fiscal Disparities Formula Senate File 891,
which awaits action in the Senate Tax Committee, would have a
significant negative impact on the tax base in your community.
Enclosed for your review is a booklet containing, among other
materials, background information on Fiscal Disparities and a table
illustrating the "loss" in tax base your community would face should
the bill become law.
On Saturday, April 15, 1989, a meeting has been scheduled for

Hines of House Research wrote that.,

How not to 'save' fiscal disparities
The Twin Cities area's controversial fiscal-dispari-
ties law has done exactly what it was supposed to
do - make tax bases more nearly equal and
thereby allow "have-not" communities unable to
attract economic growth to Join in the region's
overall prosperity. It's a good program. The Legis-
lature should reject proposals that would ,weaken
the law's tax-base shanng and would thus encour-
age those who want to scrap it altogether.
The fiscal-disparities law requires that 40 percent
of commercial-industnal tax-base growth since
1971 be contributed to a pool, from which it is
redistributed to all metropolitan area communities
accordi ng to population and overall tax base.
Now_ however. the law faces a two-pronged attack.
From one flank come the "have" communities,
eager to scrap fiscal disparities and keep the bene-
fits of growth to themselves. This charge is cur-
rentl~ led by Hennepin County, the only one of
seven metro-area counties that loses more tax base
to fiscal disparities than It gets back.
From the other flank come fiscal disparities'
'\vould-be protectors - the Association of Metro-
. politan \funicipalttics and others who would save
the concept from destruction bv weakening it
- instead. A bill to that effect now awaits actlon in
the Senate Tax Committee. It should be allowed to
dIe there or be radically amended.
The bill ",'ould correct some nagging inequities in
the present law. such as exempting tax-increment
districts from the 40 percent sharing requirement
and allOWing a few wealthy "bedroom" communi.

But those gains could be more than offset, espe-

fiscal-dIsparitics opponents. Instead. it \S more

(a) There shall be subtracted from its gross tax capacity,
in each municipality in which the governmental unit exercises ad

and 473F.07 in respect to that municipality as the total
preceding year's gross tax capacity of commercial-industrial
property which is subject to the taxing jurisdiction of the

Sec. 9. Minnesota Statutes 1988, section 473:.13,
subdivision 1, is amended to read:

it, or is 'newly incorporated, the secretary of state shall

immediately certify that fact ~o the commissioner of revenue.

revenue the current popu~a~ion of the new, enlarged, or

successor municipality, if determined by the Minnesota municipal
board incident to consolidation, annexation, or incorporation

proceedings. The population so certified shall govern for
purposes of sections 473:.01 to 473:.13 until the metropolitan
council files its first population estimate as of a later date

with the commissioner of revenue. If an annexation of
unincorporated land occurs without proceedings before the
Minnesota municipal board, the population of the annexing
municipality as previously determined shall continue to govern

This bill introduced by Senator Ember Reichgott,
:, modifies the fiscal disparities law in
several ways.
Section 1 removes a reference in the purpose section
of the fiscal disparities law that refers to the municipal
equity accounti which is abolished under this bill. The
municipal equity account was a feature of the original
fiscal disparities law that provided a mechanism for
distributing money to local units of government. It was
never implemented. This section also requires use of the
proceeds of the area-wide tax for nor~al tax expenditure
purposes.
Section 2 provides that, if any debt is incurred in
connection with a pre-1979 tax increment district after
1989, any increase in tax base after 1989 would be included
in the definitions of "commercial~industrial property" used
to determine the contribution. This section also strikes a
reference to an obsolete exemption relating to a sinking
fund for the City of St. Paul, and provides that vacant
land is not included in the definition of co~mercial-
industrial property.
Section 3 adds personal property to the market value
definition, thereby adding utility property as we~l as
manufactured homes to the distribution value.
Section 4 eliminates the exemption for the City of
South St. Paul, establishing 1988 as the base year for the
city and phasing out the city's exemption by five percent
per year over a 20-year period.

Section 5 requires adjustment of comrnercial-indust~ial
values by ~he median commercial-industrial sales ratio of
the municipality. If the municipality's sales ratio is
greater than 90 percent, the ratio used will be 90 percent.
If it is less than 90 percent, three pe~cent will be added
each vear to the actual median commercial-industrial sales
ratio. until it reaches 90 percent.

This section also phases out the exemption for
pre-1971 commercial-indust=ial values over a period of 20
years, reducing that exemption by five percent per year.
The current 40 percent contribution rate is also reduced by
two percent per year until it reaches 30 percent.

Section 6 elimina~~s the factor of two and the minimum
population provision t. ~ the distribution formula.
I
Sections 7 and 8 change reference~ to the contribu-
tion percentage from 40 percent to the new phased-in
percentages.
(
Section 9 eliminates a reference used in relation to
the municipal equity account.

Section 10 repeals municipal equity account
provisions.
(
Section 11 provides that this act applies to the
seven-county metropolitan area.
(
Section 12 provides that the bill is effective for
taxes payable in 1990 and subsequent years.

Explanation of Table
In an effort to better understand the economic impact on
cities, townships and legislative districts, of implementing
the AMM proposal the following tables have been created using
figures supplied by the City of Minneapolis.
The table illustrates the impact of the AMM proposal in 1990,
1992 and 1994. The first column under the heading "Current
Law" is the amount cities or townships presently contribute or
receive. The second column headed by "AMM Proposal" is the
amount they would receive or contribute if the AMM proposal is
adopted. The third column under the heading of "Loss/Gain"
lists the amount a city or township would lose or gain as a
result of implementing the AMM proposal versus retaining the
existing law. The total amount that each legislative district
would lose or gain under the AMM proposal compared to the
current law is listed at the bottom of the "Loss/Gain" column.
In some instances, a city or township contributes under both
the current law and the AMM proposal. If a municipality
contributes less under the AMM proposal than it would under the
existing law, this is considered a gain~ Conversely, even if a
municipality ultimately gains revenue, if that municipality
receives less under the AMM proposal than under existing law,
it is considered a loss.
