Stillwater, Mn., to-discuss the following: '
1. Tax Increment Financing Workshop pertaining to Industrial Park
Development.
2. Assessment Reapportionment for Oak Glen_ 8th Addition, payable 1988.
3. Application to Consume - 3M Softball Team picnic at Pioneer Park, July 19,
1988, 40 people.

NOTICE OF HEARING
Dear Ms. Ackerman:
Please consider this letter notice that the Stillwater City Council will meet
at 6:30 P.M., Tuesday, July 12, 1988 in the Council Chambers of the Stillwater
City Hall, 216 North Fourth Street, Stillwater, Mn., to consider revocation of
the Peddler1s License issued to you on May 1, 1988.
REASON FOR REVOCATION
The basis for the possible revocation of the Peddler1s License is that you
violated the conditions of the permit as follows:
1. Unauthorized use of Stillwater Area Chamber', of Commerce electrical
ut il it i es; an d
2. Violation of City's Nuisance OrdinanceCChapter 38.01, Subd. 2 (2)
(ee)] by using a gas driven generator emitting loud noises.
NATURE OF THE HEARING
At this Hearing you wi 11 be given an opportunity to answer these charges and
to show why your Peddler's Permit should not be revoked.

Section 1. Permit and License Required. It shall be un1a\.;ful for
any person to engage in the btlSiness of peddler as defined in Section 2 of
this ordinance Nithin the corporate limits of the City of Stilh;atcr without
first obtaining a permit and license therefor as provided herein.
Section 2. Definitions.
(a) TIle '~ord "person" as used herein shall include any person, firm,
or corporation, or any other organization.
(b) The \wrd "peddler" as used herein shall include any person, \.;hether
a resident of the City of Stilllmter or not, traveling by foot, ,...agon,
automotive vehicle, or any other type of conveyance, offering or making
sales and delivering articles to purchasers, or \,ho, \dthout travelling
from place to place, shall seU or offer the same for sale frofJ a Hagon,
automotive vehicle, railroad car, or other vehicle or conveyance. This
ordinance shall not, hOl...ever, apply to one selling products of the farm,
garden or orchard actually produced by the seller.
Section 3. Application. Applicants for permit and license under this
ordincUlce must file Id th the City Clerk a SHorn application in hTi ting (in
duplicate) on a form to be furnished by the City Clerk, which shall give the
folloNing information:
(aJNarne and description of--tlre--applicant-;
(b) Address;
(c) A brief description of the nature of the business and the goods to
be sold;
(d) If employed, the name and address of the employer, together \.;i th
credentials establishing the exact relationship;
(e) The length of time for \~hich the right to do business is desired;
(f) If a vehicle is to be used, a description of the same, together with
license number or other means of identification;
(g) Evidence of compliance Hi th all regulations and rules of the
Department of Health of the State of Minnesota.

Section 6. Transfer. No license issued under the provisions of this
ordinance shall be used by any person other than the one to whom it was.issued.
Section 7. Loud Noises and Speaking Devices. No peddler, nor nnr person'
in his behalf, shall shout, make any cryout, blow a horn, ring a bell or use any
sound device, including any loud speaking radio or sound amplifying system upon
any of ~he streets, 3jlleys, parks or other public places of said city or upon
any private premises

Section 8. Use of Streets and Parks. No peddler shall have any exclusive
right to any location in th~ public streets or parks nor shall an)' be pemitted
a stationary location, except by express permission of the Ci tr Counei I, nor
shall he be pennitted to operate in any congested area "here his operations
might impede or inconvenience the public. For the purpose of this ordinance,
the judgment: of a police officer, exercised in good faith, shall be deemed
conclusive as to whether the area is congested or the public if-Jpeded or
inconvenienced. The City Council reserves the right to deny a license to any
peddler'if the number of peddlers in any park or location will cause congestion
or impede or inconvenience the public.

Section 9. Exhibition of License. . Peddlers are required to exhibit their
licenses at the request of any citizen.
Section 10. Duty o~ Police to Enforce. It shall be the duty of any police
officer of the City of Stilh...ater to require any person seen peddling, and \-;ho
is not known by such officer to be duly licensed, to produce his peddler'S license
and to enforce the provisions of this ordinance against any_ person found to be
violating the same.
Section 11. Records. The Chief of Police shall report to the City Clerk
all convictions for violation of this ordinance and the City Clerk shall r::aintain
a record for each license issued and record the reports of violation therein.
Section 12. Revocation of License.

may be revoked by the City Council of the City of Stillwater after notice and
hearing. for any of the following causes:
(1) Fraud, misrepresentation, or false statement contained in the
application for license;
(2) FratJ4, misrepJ'~sen1:lltion or f~lse statement made in the course
of carrying on his business as peddler;
(3) Any violation of this ordinance;
(4) Conviction of any crime or misdemeanor involving moral turpitude;
(5) Conducting the business of peddling in an unlawful manner or
in such a manner as to constitute a breach of the peace or to constitute
a menace' to the health, safety or general welfare of the public.

(b) Notice of the hearing for revocation of a license shall be given in ·
writing, setting fortll specifically the grounds of complaint and the time and
place of hearing. SUfh notice shall be mailed, postage prepaid, to the licensee
at this last known adiress at least five (5) days prior to the date set for hearing.,
Section 13. Ex iration of License. All licenses issued under the
provisions of this orl inance shall expire on the 31st of December in the year

when issued. Other than annual licenses shall expire on the date specified in
the license.
Section 14, Pel alty. Any person violating any of the provisions of this
ordinance shall, upon conviction thereof be punished by a fine not to exceed
Five
Hundred Dollars 1($500.00) or by imprisomnent not to exceed 90 days or both

LETTER TO THE EDITOR AND BOB UTECHT:
A friend of mine provided me with a copy of your column which appeared in the
July 6, 1988 edition of the Stillwater Gazette. Now I normally do not react to
uninformed newspaper articles or other media misinformation by writing letters
to the editor. However, your article implied that the City is sitting on its
backside in regard to traffic and parking problems in the downtown area and it
"baffles me" that someone who writes for a local newspaper, like yourself, can
be so unaware of what is actually happening in our one-of-a-kind city. I
realize that you have not lived in this area for over twenty years, but to my
knowledge you have neither attended Council meetings or talked to City
officials and staff to determine how the City is addressing parking and
traffic issues mentioned in your article. For instance, the City property
South of the Brick Alley parking lot is under lease to Aiple Barge and Towing
until 1998. Therefore, this property is not available until that time. The
City Council has made several attempts in the-past to terminate or renegotiate
this lease. We will continue our efforts to obtain this property but we must
also honor our lease with Mr. Aiple.
Perhaps my biggest disappointment and surprise is that you appear to be
totally unaware of the Downtown Plan that is presently being developed. The
City has committed considerable resources, financial and human, in making
downtown Stillwater a showplace for Minnesota, including adequate parking and
traffic systems. This plan has been the subject of at least three public
hearings and has been given ample coverage in our local newspapers.
The fireworks display, paid for by the Freighthouse, was excellent. I know the
citizens of Stillwater enjoyed the display and those attending had a good
time.

INCSTAR first opened its Sti~lwater facility in 1981: Since that time, the
manufacturer of medical testing! kits has expanded its faci 1 ity and employment
to 130. INCSTAR is currently! completing construction of a 35,000 square foot
manufacturing/office facility a!nd have plans to construct an office addition
and within five years a poss!ible second manufacturing addition. The attached
site plans show future INCSTAR idevelopment plans.
REQUEST FOR CITY FINANCIAL DEVELOPMENT ASSISTANCE
INCSTAR is requesting City edonomic development assistance in the form of tax
increment financing for land puirchase and site improvements. The assistance is
needed in order for INCSTAR to carry out their expansion plans according to
the request. The benefits to the City would include new jobs and increased
property tax base. According to the request, they plan to construct an
approximately 2.5 million dollar office building behind the existing office
building on Northwestern Aven~e. Construction of the building would begin this
fall and be completed by mid 1989. In the next three to five years INCSTAR
plans to build additional 30~000 square foot manufacturing building along
Northwestern Avenue north of their newest addition.
TAX INCREMENT ASSISTANCE
The INCSTAR property is within the Scattered Site Tax Increment District.
Increment from recent constructiion will be available in 1989. The IIL" shaped
lot proposed for future expansion, not currently owned by INCSTAR, is also
within the district so new impriovements will generate City tax increment. The
Finance Director has estimateld tax increment generated by the office project.
Based on the figures, approx~mately $300,000 will be generated. The land
purchased with tax increment financing could be released to INCSTAR as
construction plans progress to ensure the land is used for the intended
purpose.

The applicant has requested that other land improvement cost besides the land
purchase be considered for assistance. These costs could include site
clearing and grading with an estimated cost of $100,000.These additional costs
may not be supported by ten year tax increment fro~ the office project=
GUIDELINES FOR USE OF TAX INCREMENT FINANCING
As the Council is well aware, other public improvements are needed in parts of
the Scattered Site Tax Increment District. It would be possible, based on the
need for improvements and type of desired economic development, to set
guidelines for use of Tax Increment Funds. Such guidelines could describe the
type of assistance available, grant or loans, determine the extent of
assistance or identify the period of project assistance. These guidelines for
use of Tax Increment Financing will become more important as the competition
for TIF increases.
It is suggested that, in the next year, the City develop an Economic
Assistance Policy along with a Master Plan for the Tax Increment Districts to
provide clear guidelines for City participation in economlc development
activity and use of TIF funds.
It is further suggested that the City Council set aside a minimum of 2% of TIF
Bond proceeds for a City economic development account. This would eliminate
use of general funds for City economic development activities and provide seed
money for future projects.
. RECOMMENDATION:
- That the City Council consider providing economic assistance to INCSTAR by
purchasing and providing land for the construction of the office and
manufacturing buildings and eligible site preparation activities to the extent
supportable by ten years of tax increment.
- That 2% of the TIF Bond proceeds be set aside in an economic development
account.
- That INCSTAR provide necessary documentation of need for City TIF
assistance.
- That INCSTAR provide assurances to the City regarding the future development
of the manufacturing building on the site.
- That the City Attorney be directed to work with INCSTAR representatives on
the Development Agreement and other necessary documents.

Proposed Tax Increment Project

Request: INCST AR Corporation is requesting Tax Increment
Financing from the City of Stillwater for the purchase and
improvement of land adjacent to the Company's current facility.
This will allow the Company to expand and consolidate its
operations in Stillwater and provide adequate room for future
growth.
.
Reason for Assistance: INCST AR Corporation is requesting
assistance from the City in order to help finance its rapid expansion.
The accelerated growth rate of the Company has put a strain on its
capital resources. During fiscal 1988 the Company borrowed
approximately $10 million to finance its expansion. The assistance
provided by the City would help INCSTAR in obtaining financing for
the construction of a new office facility which in turn would allow
the Company to continue its rapid growth.
Benefits to the City: The City has already benefitted by the
increased tax base due to the $3.3 million dollar manufacturing
facility which was completed in April. The construction of the $2.5
million office building beginning in October of this year will provide
sufficient tax increment to cover the requested assistance.
The City would realize further tax increment from the Company's
planned expansion of the manufacturing facility in 1990 (estimated
cost $4-5 million) and planned expansion of the office facility in
1992 (estimated cost $2-3 million).
In addition to increases from the future building expansion, INCST AR
will currently be improving the land and generating more tax revenue
for the City on the vacant land prior to building.

INCSTAR will also be contributing indirectly to the community by
increasing its number of employees. The following table illustrates
current and anticipated employment by INCSTAR.

development of the Stillwater area. Orwin Carter, INCST AR's
president, is serving on the Board of SAEDC. Charlie Truffer, Vice
President of Sales and Marketing, is working with SAEDC to develop
a brochure and video on why industry should locate in the Stillwater

SCHEDULED TV PRODUCTION ON JULY 19TH
I have been contacted by Ms Kelly Pratt of the Mn. Motion Picture
Board for the American Broadcasting Corp. (ABC). Ms Pratt advised me
that ABC was going to be filming the nationally broadcasted TV show
The Home Show from the Dock Cafe on July 19th. The times of the
filming will be from 6:00 am to dark if necessary. The production
entourage includes a 40 ft. semi truck and 4 rv's measuring from 26
ft to 35 ft. Ms Pratt stated that the semi would have to be parked
on Nelson St. in front of the Dock Cafe and the rest of the vehicles
could be parked anywhere nearby.
The purpose the the filming is to promote Minnesota as a fun place to
come in the summer. ABC is filming five shows in Minnesota. Of the
five, two are going to be filmed in Stillwater, both on the 19th. The
program is on the air weekdays at 11:00 am.
At your suggestion I looked at the possibility of blocking of the
levy road for the rv's and at the area of Nelson St. to see if it was
large enough to hold the semi. I feel that both areas are adequate.
I would recommend that the Streets Department block off Nelson St.
just east of the entrance to the Dock Cafe on the south side of
Nelson St. and the east side of the river parking lot on the north
side of Nelson St. Also that the Street Department block off the
levy road just to the south of the road that goes up to Chestnut St.
I would recommend that this be done early on the morning of the 19th
before people begin gathering and parking in the area. No parking
sign on the south side of Nelson St. in front of the Dock Cafe would
also be helpful.
Please advise me of your decision regarding this matter tomorrow
morning (Wed. July 13th) so that I can contact Ms. Pratt and advise

Robert Thomas. The license request is for the day of the Lumber Jack
Days Parade. The purpose of the license is to sell canned soft
drinks from a push cart along the parade route.

peddlet~ is prohibited from operating in any congested ~rea where his
operations might impede or inconvenience the public. It is my

This letter is to confirm our phone conversation on Monday,
July 11th, regarding a variance to Stillwate'r'sPeddlers
Ordinance.
Our family would like to sell cans of pop from one or pos-
sibly two small carts for the July 24th parade, along the
parade route only. Our intent is to provide ,a service that
we have previously not seen provided, and not to compete
with local'vendors or stands already established. That is
why we will limit our sales to the parade and parade route.
The City Clerk informed me that the Peddlers Ordinance
requires' a fifty dollar cart permit fee, plus a twenty-five
dollar background investigation fee, both good through Dec-
ember 31st. We have paid the twenty-five dollar fee and have
been contacted regarding their investigation. Because we
will be selling the pop for only one to four hours, we would
like to be granted a variance to your ordinance requiring the
fifty dollar fee.
Your attention to and consideration of this matter is greatly
appreciated. We would be happy to answer any questions you
