1. Discussion of No. Third St. house built on public pro~erty.
Consultlng Englneer Moore presented lntormatlon on thlS item, explaining
that the traveled roadway is different from the platted right-of-way which
has two homes within the area. He reviewed methods to change the platted
road which would require a variance of 11 ft. for homes on each side. He
further explained the costs for improvement of the road and discussion of
drainage and erosion in the ravine followed. City Attorney Magnuson also
explained the problems and offered some suggestions for solution of the
prob 1 em.
Darlene Bruce, representing her mother, Marie Bruce, 2013 No. Third St.,
stated her mother is attempti ng to sell her home and woul d 1 ike to move
forward with this.
Jennifer Pidde, a neighbor to the Bruce residence, asked what kind of
turn-around would be constructed and Mr. Moore explained.
Tim Hassett, representing Mike Robinson, who is the contract purchaser of
the Bruce home, explained that they had expected to move into the house in
August and then discovered, through a survey, that the house exists in a

public right-of-way. He requested the Council consider the original
solution whereby the City would abandon the road and the street would
remain as it is.

Councilmember Kimble stated he reviewed the site at the request of the

foundation of the Br ce house could be in trouble. Further discussion
included drainage an parking problems, and who to assess when correcting
the problems. Mr. M ore suggested further engineering review of the bank
and Mr. Magnuson sug ested preparing a license for people to have their
house on the street ith condemnation of the road and then vacation of the
platted street.
Gene Schleusner, Rea Estate Agent for the Bruce's, asked if the City
would be liable for illing or cleaning up the ravine.

condemnation proceedings as it relates to the No. Third Street right-of-way.

Repair of Old Railroad Bridge on Highway 95/Main St.
Mr. Moore explained that when Mn/DOT reconstructed Highway 95/Main St.,
they raised the surface of the road six inches under the bridge which
makes it difficult for trucks to get through. Mn/DOT has requested
placing signage at Main and Elm Streets directing trucks to turn around.
Mr. Russell pointed out that considerable effort was made during the
Downtown construction to eliminate blight on No. Main St., including extra
signage, and suggested that Mn/DOT should correct the situation.
Motion by Councilmember Funke, seconded by Councilmember Kimble to install a
temporary sign alerting trucks to the low Railroad Bridge near Main/Alder St.
and inform Mn/DOT to correct the problem with the bridge. (All in favor).
6. City Coordinator ~
Request for blockage of street for Sam Bloomer festivities
Motion by CounCllmember Funke, seconded by Councilmember Bodlovick to approve
the request of Clayton Patterson to block off and park trailers on Walnut St.
near the Historic Courthouse for approximately two hours during the Civil War
Muster ceremonies on October 9. (All in favor).
7. Community Develogment Director
Presentation of IS System
Mr. Russell summarized information regarding purchase of a computer and
development of a GIS (Geographic Information System) system for the
Planning Dept. John Carpenter, President of Insight Mapping &
Demographics, Inc. was present to provide information on what their
company would do in providing service for the City of Stillwater. After

1. Recognition of Robert Murphy, Civil Defense Director
Mayor Hooley presented a plaque honoring Civil Defense Director Robert
Murphy for his service to the City as he retires.
2. Continuation of discussion of NO.Third St. problems
Mayor Hooley summarized the proceedings of the afternoon meeting regarding
the homes built in the platted right-of-way of NO.Third St. for interested
residents who were unable to attend.
3. Continuation of discussion by Insight Mapping for new Planning Dept.
computer & Consultant Services.
John Carpenter, of Insight Mapping & Demographics, Inc., presented a video
explaining the services they would provide to the City which would be
helpful to the Planning Dept., Police & Fire Depts., Public Works and
other City departments. -
Mr. Russell explained the costs and stated Insight Mapping will provide
services to develop a base system for completion of the first phase of the
Comprehensive Plan.
Motion by Councilmember Funke, seconded by Councilmember Kimble to approve the
purchase of a computer and contract for GIS Comprehensive Plan information
with Insight Mapping. (All in favor).

lmprovements.
Mr. Russell explaine that the County is planning to make improvements to
County Road 5 and th State will improve the interchange at County Road 5
and Highway 36. The e improvements could impact access to the First Star
Bank at that locatio

to renew. City Coor inator Kriesel presented the financial history of the
arena, stating that he loss for 1992-93 was approximately $17,000 which
did not include depr ciation or capital outlay.
Further discussion i cluded whether the Council authorized drafting a
lease for management of the Ice Arena, the process followed and whether
the City should have sought bids for this process.
Motion by Councilmember unke, seconded by Councilmember Cummings to enter
into a Lease Agreement w'th St. Croix Catering for management of the Lily Lake

minutes of the Special Meeting of Sept. 14, and Regular Meeting of September
21, 1993 as presented. (All in favor).

-Amendment to Resolution No. 93-192, Myrtle St. Ravine Project
Motion by Councilmember Kimble, seconded by Councilmember Funke to amend
Resolution No. 93-192 to include the date of Nov. 9, 1993, -7:00 P.M. for the
Improvement Hearing for the Myrtle Street Drainage Project., L.I. 284. (All
in favor).

Report on Levee Wall
Ed Cain, Legislative Consultant, reported that funding has been
appropriated for the Levee Wall reconstruction and the process involved.
He added that the construction process could begin in approximately six
months.

NEW BUSINESS
1. Consideration for first reading of Shoreland Ordinance.
City Planner Pung-Terwedo stated this ordinance will regulate development
along shoreland and is part of the implementation of the Brown's Creek and
Middle River Surface Water Management plans. She then presented a summary
of the regulations regarding setbacks, accessory structures and
maintenance of an open space buffer along creeks, also cutting of
vegetation, placement of roads, parking areas, watercraft mooring and
agricultural areas.
Discussion followed by Council regarding the above points, especially
cutting of vegetation, which it was felt is too restrictive.
Motion by Councilmember Funke, seconded by Councilmember Kimble to table
action on the proposed Shoreland Ordinance until further review is completed
by the Planning Commission, including changes discussed by the City Council.
(All in favor).
2. Consideration for first reading of RV Outside Storage Regulation.
CounCll had some concerns regardlng thlS ordinance, statlng they had
received complaints from residents who said some of the items stored were

action on the proposed Ordinance amendment regulating storage of recreational

Recessed Meeting
Mayor Hooley presented a proposal to Council for clean-up of the
riverfront starting at Sunnyside Marina to Stillwater, using IISentence to
Servell workers. It was noted that DNR approval would be needed.
Motion by Councilmember Funke, seconded by Councilmember Kimble directing
Staff to check with the DNR regarding cutting of brush and small trees along
the river on the south end of the City. (All in favor).

Mr. Moore reported that bids were received on Tuesday, October 5 with the
low bid from West Star Curb & Concrete, Inc. of Watkins, Minnesota in the
amount of $213,629.50 for all three areas.
Motion by Councilmember Kimble, seconded by Councilmember Bodlovick to adopt
Resolution No. 93-193, awarding the bid to West Star Curb & Concrete, Inc. for
the Sidewalk Repair Project, L.I. 274. (Resolution No. 93~193)

Discussion of construction of Sewer & Water on McKusick Rd. between Maple
& Owens Streets
Mr. Moore reported that Shafer Contracting gave quotes of $20,490 for
sewer and $5,700 for water line construction which he felt were excessive.
It would be necessary to coordinate this project with Shafer since they
are the contractor for the McKusick Lk. Rd. project.
Motion by Councilmember Kimble, seconded by Councilmember Funke directing
Staff to negotiate with Shafer Contracting for installation of sewer and water
between Maple and Owens St. in connection with the McKusick Lk. Rd. project
and return to Council with results; or if unable to do so, to drop the
construction plans for sewer and water in this area. (All in favor).

RE: WAGE INCREASE FOR LA VONNE SIMON, SENIOR ACCOUNT CLERK
Back~ound :
The City Council has previously approved the early retirement option for
City of Stillwater employees. The City Council has also previously approved
the promotion for a long-time employee (C. Michael Wilson) that is expected'
to retire under the early retirement option.
Analysis
La V onne has been employed with the City of Stillwater for over 28 years.
LaVonne's performance over the years has been excellent. LaVonne is a
dedicated and conscientious employee that has given a superior quality of
work to the payroll and accounts payable function. LaVonne is definitely
a team-player that can always be relied upon. It is my opinion that the
meritorious service given by LaVonne to the City of Stillwater for so many
years should be rewarded.
Conclusion
Although the City does not currently have a position above Senior Account
Clerk into which LaVonne could be promoted, there is another method by which
the City could reward La V onne for her many years of exceptional service.
The City Council could adopt a resolution stating "The City Council hereby
makes available an additional $140 per month to those employees hired prior
to September 14, 1965 and having the classification of Senior Account Clerk"
(this $140 represents a 5 percent monthly salary increase). The AFSCME
Union would then need to act on this. (Similar to the manner in which the
pay equity issues were handled by the City.) Nile and I have discussed this
method with Cy Smythe, and it appears that this would not adversely impact
the comparable worth reports for the City.
Recommendation
It is my recommendation that the City Council adopt the appropriate
resolution for LaVonne Simon authorizing the availability of a monthly
salary increase of $140 for LaVonne.

RE: WAGE INCREASE FOR SHIRLEY MONTBRIAND, SECRETARY
Background:
The City Council has previously approved the early retirement option for
City of Stillwater employees. The City Council has also previously approved
the promotion for a long-time employee (C. Michael Wilson) that is expected
to retire under the early retirement option.
Analysis
Shirley has been employed with the City of Stillwater for over 22 years.
Shirley's performance over the years has been excellent. Shirley is a
dedicated and conscientious employee that has given a superior quality of
work to the Planning and Building Department functions. Shirley is
definitely a team-player that can always be relied upon. It is my opinion
that the meritorious service given by Shirley to the City of Stillwater for
so many years should be rewarded. As you can see (from the plaque on the
south wall), Shirley was elected by her fellow employees as "Employee of the
Year" for 1992.
Conclusion
Although the City does not currently have a position above Secretary into
which Shirley could be promoted, there is another method by which the City
could reward Shirley for her many years of exceptional service. The City
Council could adopt a resolution stating "The City Council hereby makes
available an additional $140 per month to those employees hired prior to
September 14, 1971 and having the classification of Secretary" (this $140
represents a 5 percent monthly salary increase). The AFSCME Union would
then need to act on this. (Similar to the manner in which the pay equity
issues were handled by the City.) Nile and Diane have discussed this method
with Cy Smythe, and it appears that this would not adversely impact the
comparable worth reports for the City.
Recommendation
It is my recommendation that the City Council adopt the appropriate
resolution for Shirley Montbriand authorizing the availability of a monthly
salary increase of $140 for Shirley.

We have contacted the St. Paul District of the Corps of Engineers regarding the levee wall
project. Personnel at the St. Paul District office informed us that they will receive the project.
The first step is for the St. Paul District to receive guidance from the Corps of Engineers
headquarters in Washington D,C. The St. Paul District said they cannot give us a schedule until
they receive these guidance orders. They anticipate receiving the guidance anywhere from two
weeks to one month after the President signs the bill, This would meaJ:'l that the St. Paul District
should have some idea of scheduling around the first of November of this year.
We anticipate contacting the St. Paul District Corps of Engineers about the 1st of November to
set up a meeting with the council. We anticipate having one of the members with the St. Paul
District Corps of Engineers attend a council meeting and discuss the procedures with the council
for the design and construction of the levee wall.
We would be pleased to discuss this with you further and answer any questions that we can at

After Tuesday nights meeting, city Staff conferred and made a
proposal to both the steve Fiterman and Courage Center. These
proposals were sent by fax to both of these parties and copies are
attached to this memo.

Courage Center responded by letter declining our offer to settle,
and asking that they have their assessments forgiven and also be
paid the appraised value of the land needed for an easement for
future Orleans Street work.
Fiterman responded by saying he was in agreement with everything in
the proposal but, still objected strenuously to being charged
73.83% of $94,871.21 worth of utility work that was done in the
Orleans right of way as part of this project.
He asks that he pay 50% of the Orleans street work or $47,435.60.
The difference is $22,606.66.
Fiterman's objections to the higher percentage are:
1. That the increased water pressure was an equal benefit to
the entire water district covered by the pressure
increase.
2. The sewer and water utilities in Orleans were not required
for Highlands IV since the development could have been
served with one access and with sewer and water provided
from the west.
3. The Orleans Street work done as part of earlier phases of
Highlands was split 50-50 between the commercial on the
South and the Highlands property. This established a
precedent.

Dear Steven:
After last night's meeting, the City staff has conferred and wish to offer the
following proposal with regard to the assessments for Highlands IV.
First, the West Orleans costs associated with Highlands IV in the amount of
$94,871.21, and your 73.83% share of that amount, appears reasonable in view of
the fact that these costs are largely for utilities and not for street
construction. An area basis formula, then, seems reasonable for these costs, and
we would not recommend a modification of that amount.

Next, we estimate the actual costs associated with the completion of Orleans to
be approximately $160,000, plus $17,500 estimated right-of-way acquisition costs,
for a total of $177,500. The staff recommends that this amount be split 50% to
Highlands and 50% to the industrial commercial properties to the south.
Of the Highlands share of $88,750, the staff would recommend a state-aid credit
be given to Highlands, in the amount of half of the assessment, therefore,
actually spreading against Highlands the amount of $44,375.
The staff also recommends that this amount be divided between 137 lots consisting
of Highlands III-VI, giving a per lot assessment of $324.
The staff further recommends that the assessment roll proposed for Highlands III
and IV be corrected to add an addition $324, representing their share of future
MSA Orleans Street improvement costs.
This approach should give you the total dollar relief that you desire. It would
be helpful if you could respond immediately so that Barry can prepare an amended
assessment roll for circulation with the City Council packets that are prepared
Friday morning.

AN ORDINANCE AMENDING THE STILLWATER
CITY CODE SECTION 51.05
"CALENDAR PARKING"
The City Council of the city of stillwater does ordain:
1. Amendinq. The stillwater City Code, section 51.05 is hereby
amended as follows:
(a) 51.05, Subdivision 1, Subsection l(g) is deleted.
(b) 51.05, Subdivision 5, is amended by changing December to
November in both paragraphs 1 and 2.; by adding the "9th"
day between the 7th and the 11th; and by adding paragraph
"e" to Subdivision 5 that shall hereafter read as
follows:
"e. streets in the CBD Zoning District."
(c) Subdivision 6, is amended by changing the penalty for
misdemeanor violations from $300 to $700.
e 2. Savinq. In all other ways the stillwater city Code shall
remain in full force and effect.
3. Publication. This Ordinance shall be in full force and effect

AN ORDINANCE OF THE CITY OF STILLWATER
AMENDING THE STILLWATER CITY CODE
BY ENACTING LAWS PROTECTING THE PUBLIC'S
PEACE, SAFETY AND WELFARE
The city Council of the city of stillwater does ordain:
Subdivision 1. Amendinq. Chapter 52 of the stillwater city
Code is hereby amended by adding section 52.01 , Subdivision 3,
section 1.
A new Chapter 52.01, Subdivision 3 is hereby added to the
Stillwater City Code that shall hereafter read as follows:
"A. Public Place as defined in the City Code shall include
streets, alleys and sidewalks dedicated to the public use and shall
also include parts of buildings and other premises whether publicly
or privately owned, which are used by the general public or to
which the general public is invited commercially for a fee, or
otherwise, or in or upon which the general public is permitted
without specific invitation.

B. Loiterinq. No person shall loiter on the streets or any
public place or in a place open to the public with intent to do any
mischief or to commit any crime or unlawful act.
C. Begginq. No person, in any public place or private place,
shall beg from strangers for money or other property.
D. Interference with Pedestrian or Vehicular Traffic. No
person, in any public or private place, shall use offensive,
obscene or abusive language or grab, follow or engage in conduct
which reasonable tends to arouse alarm or anger in others, or walk,
stand, sit, lie or place an object in such a manner as to block
passage by another person or vehicle or to require another person
or a driver of a vehicle to take evasive action to avoid physical
contact.
Acts authorized as an exercise of one's constitutional rights
of freedom of speech and assembly and acts authorized by ordinance
or special or conditional use permit of the City Council shall not
constitute interference with pedestrian or vehicular traffic.
E. Lurkinq. No person, in any public or private place, shall
lurk, lie in wait, or be concealed with the intent to do any
mischief or to commit any crime or unlawful act.

D. Misdemeanors. Violations of any section of this ordinance
shall be a misdemeanor, punishable by a fine of up to $700 and/or
a jail sentence of up to 90 days."
Subdivision 2. Skvinq. In all other ways the city Code shall
remain in full force Ind effect.

Background:
As approved and directed by the City Council for the
Territorial Prison Reuse Project, requests for proposals
were sent out for a principal investigator for the
project. These consultants are individuals who specialize
in historic preservation and adaptive reuse. The following
individuals submitted proposals:

had more experience in the economic development aspects of

PROJECT DESCRIPTION:
Territorial/State Prison Reuse Study
City of stillwater - Agency Cooperative Agreement
Federal Project Number: 27-93-80046A.014
1. The purpose of this project is to sponsor and administer a consulting
team to formulate a reuse alternative for the Territorial/State Prison,
a National Register property, and to investigate issues related to the
property's use and development. The project will result in the pro-
duction of a final report which will be used in planning for the future
of the property.
2. The general format for the team process will loosely follow that of
similar teams which have addressed reuse alternatives for such buildings
as Johnston Hall in Faribaulti Tettagouche Camp located near Silver Bay
in Lake CountYi and the Gideon Pond House in Bloomington. The process
will be developed under joint consultation between the SOCIETY and the
CITY as the project evolves. The final report will include alternative
reuse scenarios with analysis of urban design, management and financial
implications and an examination of related issues as they apply to the
current and future uses of the surrounding area.
3. The CITY will assume lead responsibility for assembling a study team to
develop re~se alternatives for the Territorial/State Prison.

As you will note in reviewing the RESUME and SELECTED THOMAS R. ZAHN & ASSOCIATE
PROJECfS components of my proposal, I have served as Writer/Principal Investigator on ten of
the fifteen reuse studies completed in Minnesota. Prior to those consultations, six of the historic
sites were threatened by demolition. To date, not one of the buildings studied have been lost to
the wrecking ball. (Old Main, on the verge of redevelopment, was destroyed by fire this year
and what remained was demolished.) Two of the buildings, following report recommendations,
have been returned to productive reuse: Johnston Hall in Faribault now serves as a medical arts
building for the adjacent county hospital, and the Old Park Headquarters Building in Itasca
State Park has been converted into an American Youth Hostel. The Oty of Bloomington,
following the recommendations in our report, is aggressively pursuing an interpretive use of the
Pond house and farm site,

In reviewing your Request for Proposal I noted two variations on the standard "private reuse"
consultation. If you feel there is potential for a private reuse of the prison property, I would
suggest that an economic development consultant be included in the study team. In past studies
this team member was responsible for economic analysis of the team's recommendations and for
developing private reuse proformas. Also I noted that you have limited the on-site portion of
the study to two days. Past reuse studies generally have required three full days on site. Unless
budgetary restrains dictate otherwise, I would recommend that a three days be devoted to the
on-site consultation. This would allow ample time for: a tour of the site and the surrounding
commercial district; approximately 20-25 half-hour interviews; call-back and add-on
interviews as the consultation progresses; and issue analysis and team assignments.
If selected as PRINCIPAL INVESTIGATOR, I look forward to working with you to evaluate the

The CITY OF STILLWA ER, in a joint effort with the MINNESOTA HISTORICAL SOCIETY, is ..
requesting the services of a qualified individual to serve as Principal Investigator for the -
preservation consulting team study of the Historic Territorial Prison site at 606 North Main
Street in downtown S illwater, Minnesota. The Principal Investigator will coordinate the
consulting team's activi ies in determining the historic significance of the Territorial Prison, its
present condition, and ts potential for a viable reuse. In addition, the Principal Investigator
will be responsible for ublishing the final report on the consultation. This will include four
copies of the final repor and one camera-ready report for printing by the City of Stillwater.
THOMAS R. ZAHN & SSOCIA TES, INC., through its principal, Thomas R. Zahn, proposes to
perform the requested ervices and prepare the products as listed in the City of Stillwater's
Request for Proposals. e contractor is available to coordinate the consultation and the
production of the final eport starting October 1, 1993 with an on-site consultation anticipated
between October 16 an November 15, 1993. The fee for Principal Investigator services and
products is $4,000.00,
PROCEDURES
CONSULTATION TE M FORMATION (6 hours/$180)
The PRINCIPAL INVES IGA TOR will participate in convening the project team, developing the
consultation schedule, d suggesting interview participants. This will require the contractor to
meet with representati es of the City of Stillwater Community Development Department and
the Minnesota Historic Society to assemble a team of qualified consultants, and to review and
evaluate the interview rocedures, consultation site, and potential interview participants.
RESEARCH AND PA KET COMPILATION (10 hours/$300) e
The PRINCIPAL INV STIGATOR, in coordination with representatives of Community
Development Departm nt and the Minnesota Historical Society's Historic Sites Department,
will compile a master packet of historical information on the Territorial Prison, and more
recent materials relatin to the condition, maintenance and proposed reuses for the property.
The packet should i elude information concerning Stillwater's economic climate and
development plans for t e downtown and its historic structures.
Copies of the informati n packet will be distributed to the team members and representatives
of the City of Stillwate and the MHS prior to the consultation. This component, like all other
published components f the consultation, will be supplied through the ASSOCIATES office,
CONSULTATION & NTERVIEWS (24 hours/$720)
The PRINCIPAL INVES IGA TOR will verse the new team members on the consultation process
and facilitate a smoot and productive interview phase. After completing a site visit and
inspection on the first ay of the consultation, the team will begin the interview process. At the
completion of the inter iew phase, the PRINCIPAL INVESTIGATOR and consultation team will
synthesis the consultafon's preliminary findings into alternatives and recommendations. The
PRINCIPAL INVESTIGA OR will then assign the writing of draft components of the final report
to the appropriate tea members.
DRAFT REPORT (60 hours/$1800)
The PRINCIPAL INVEST GATOR will coordinate the compilation of the draft report components.

This section discusses the concept of the consulting team, presents the study purpose,
lists the team members and their backgrounds, reviews the process followed in the
consultation, and develops a chronology of events leading to the study,
Background/Summary of Existing Conditions
This section provides information on the historical background of the Territorial Prison
and Stillwater's downtown, and discusses the building and site's architecture and
physical condition. Additional physical assets or restraints are analyzed in this
section. The physical description is supplemented by historic photographs, floor plans,
site plans, etc,
Issues
This section discusses the various issues that negatively and positively impact the
reuse of the structure under study. Each "issue" section is made up of a narrative
followed by a listing of issues gleaned from the on-site inspections and interviews. In
addition to community, political, economic and design issues, a consultation on the
Territorial Prison and site will probably include a section on interpretive potential issues.
Economic Analysis
This section provides an economic assessment. Included in this component of the report
are a reuse budget/pro-forma and a discussion of alternative uses as they interface with
economic realities.

This component of the report discusses the alternatives generated through the
interviews and the resulting pro-forma, and makes recommendations as to the potential
of reuse for the study structure and site.
Action Plan
This section clearly states what parties should be involved in the reuse of the structure
and how each of these organizations should participate to achieve the goals of the
report.
Appendices
This section includes economic reports, studies, data, maps and plans that are
tangential to the study.
The draft report will be distributed to the reuse study consultation team and representatives of
the City of Stillwater and the MHS Historic Sites Department for review and comment.

FINAL REPORT & PRESENTATION (33 hours/$1000)
The PRINCIPAL INVESTIGATOR will collect the comments generated by the draft report review,
edit the draft report to reflect those comments and recommendations, and publish the consulting
team's final report. The original of the final report will be laser printed (300 dpi) and camera
ready for final printing. All document design and original artwork will be supplied by THOMAS
R. ZAHN & ASSOCIATES, INC.
Upon completion, the final report will be presented by the PRINCIPAL INVESTIGATOR and
consultation team members at a public hearing, providing an opportunity by all interested
parties to review the recommendations and action plan of the consultation.

As the Preservation Planner for the City of Saint Paul from 1982-1986, Mr. Zahn provided
staffing services for the preservation program of over 50 locally designated historic sites and
three historic districts comprised of more than 800 structures. His services included:
. developing the local nomination form and design guidelines for the Lowertown Heritage
Preservation District,
· administering the certification of Saint Paul's Historic Hill Heritage Preservation
District for preservation investment tax credit purposes,
. supervising the publication of the Saint Paul and Ramsey County Historic Sites Survey,
· conceiving and designing the Saint Paul Heritage Preservation Commission Report,
. documentation of existing conditions (age of structure, address, preservation classification,
and photographic documentation) of Summit A venue in preparation for the creation of the
West Summit Avenue District.
In July of 1986 Mr, Zahn formed THOMAS R. ZAHN & ASSOCIATES, an architectural and
planning firm dedicated to addressing the design and planning needs of the preservation
community. Upon the formation of the ASSOCIATES, Mr, Zahn was hired by the National Trust
for Historic Preservation for consulting services on the preservation and reuse of Johnston Hall
in Faribault, Minnesota. He participated in the Preservation Advisory Services Team
consultation and prepared the Johnston Hall Report for publication by the National Trust and
the City of Faribault.

In 1987 Mr. Zahn was hired by the City of Minneapolis to provide historic research,
photographic documentation and a manuscript on the history of the Minneapolis Auditorium
and Convention Center. That contract included:
· writing a manuscript on the history of the Auditorium,
· providing photographs of all major exterior elevations and significant interiors,
· providing recommendations for the reuse of significant architectural artifacts,
. developing a portfolio for historical documents, plans, maps and Auditorium memorabilia.
With the completion of the manuscript, the City of Minneapolis contracted with the
ASSOCIATES to publish the document for limited distribution.
In 1988 Mr. Zahn was selected by the Minnesota SHPO to coordinate a consulting team formed to
provide professional preservation consulting services to out-state communities. The consulting
team, under Mr. Zahn's coordination, completed a consultation on the Sherburne County
Courthouse in Elk River and prepared the Sherburne County Courthouse Reuse Study. Since
that time Mr, Zahn has served as the Principal Investigator for reuse studies on the Burbank-
Livingston-Griggs House, Saint Paul, for the Minnesota Historical Society (1989); the Gillette
Children's Hospital West Wing, Saint Paul, for the Saint Paul Heritage Preservation
Commission (1989); the Mannheimer-Goodkind House, Saint Paul, for the City of Saint Paul;
Old Main, University of Minnesota-Duluth, for the University of Minnesota (1989); the George
Washington Armstrong House, Saint Paul, for the Minnesota Center for Arts Education (1990);
and the Gideon H. and Agnes Hopkins Pond House, for the City of Bloomington (1992). In
addition, Mr. Zahn conducted a state-wide survey and prepared the Analysis of Historic
Buildings Owned by the State of Minnesota for Potential Use as American Youth Hostels for
the Minnesota Historical Society and the Legislative Commission on Minnesota Resources
(1990). Mr. Zahn, serving as Principal Investigator, has just completed the reuse study for the
Cavalry Barracks, Buildings 17 & 18, Historic Fort Snelling for the Minnesota Historical
Society.
From 1990 to 1991 THOMAS R. ZAHN & ASSOCIATES, INC. was under contract with the City of
Minneapolis to develop the City's Preservation Plan. This preservation planning process
included the development of historic contexts for Minneapolis, facilitating a number of
Heritage Preservation Commission workshops, and coordinating the City's preservation efforts
with the Minneapolis Neighborhood Revitalization Program,

In 1991, under contract with the Wisconsin Trust for Historic Preservation, Mr. Zahn
coordinated the Trust's [public education project. Working with Landscape Research, Mr. Zaoo
completed the Wiscon~in Historic Resource Handbook, prepared the Historic Wisconsin _
Preservation Workshop, ar:td developed the scripts for two slide shows representing the goals and .
objectives of the preser~ation movement in Wisconsin and addressing the State's architectural
styles and building type~.
In 1992 Mr. Zahn was ired by the Wisconsin Trust for Historic Preservation to collect slides
and compile slide show on the Wisconsin preservation movement and the State's architectural
styles. Most recently he was selected by the Wisconsin Trust to facilitate and present day-long
workshops throughout the State promoting preservation resource management and local
preservation initiatives. Mr. Zahn presented workshops in River Falls, Marshfield, Janesville,
Milwaukee, and Green ay, and Dodgeville, Wisconsin.
In 1993, under contract with the City of Faribault, Mr. ZaOO completed the City's Downtown
Design Guidelines and facilitated a workshop on their application for Faribault business
owners. Mr. Zahn's offi e also completed the research on, and nominations of, ten Saint Paul
sites for the Saint Paul eritage Preservation Commission.

(Save Outdoor Sculptu e!) Surveys initiated by the National Museum of American Art,
Smithsonian Institute, nd the National Institute for the Conservation of Cultural Property.

Central Neighborhood I provement Association as the Project Manager in the implementation
of the Healy Block Pres ation Plan, a preservation blueprint developed in 1992 by THOMAS R.

Mr. Zahn serves on he Board of Directors of the National Alliance of Preservation
Commissions and as an editor of the Alliance Review, the Preservation Commission national

ON LOT AT WEST CORNER OF BOUTWELL AND COUNTY
ROAD 12 (CASE NO. SS/93-l)-
The Ci ty has received a request to construct a house and
install an on-site septic system on a lot at the corner of
Boutwell Road and County Road #12. (See attached map.)
A soils test has been provided and approved by the
Building Official approving the suitability of the site
for the on-site system.

Water and sewer service is not available in Boutwell. The
owner has indicated that when the lot is further
developed, City sewer and water services will be brought
in and at that time this residence would be connected to
City sewer and water service.
CONDITION OF APPROVAL:
1. The site shall not be subdivided or further
developed without the extension of water and
sewer services to the site and the connection of
this residence to the lines.
RECOMMENDATION:
Approval of on-site sanitation service system with
condition.

Background:
As directed by the City Council, staff and the Park and Recreation
Commission have prepared a plan for the 5.2 acre parcel of property adjacent
to Highlands of Stillwater Development. This plan has been prepared with
input from the residents through distribution of a questionnaire and various
meetings (Le., Ann Bodlovick, Highlands and Orleans Terrace). We have also
contacted Courage Center in order to accommodate some needs they have with
handicap accessibility.
The plan has been reviewed and modified by the Park and Recreation
Commission. The cost of the first year improvements is $40,000 (as
budgeted) plus plans and specifications for grading the site and the grading
itself .

PARK PLAN OVERVIEW
A~D RECOMMENDED PLAN
Background:
As part of the development agreement for the Highlands of Stillwater
Subdivision, 5.2 acres of land plus $5,000.00 were dedicated to the City of
Stillwater for park purposes based on the City's Park Dedication Policy. The
land was dedicated in Phase III of the development. In June, the City Council
directed the Planning Department to work with the Parks Department to develop
a park plan for this parcel. Some land was dedicated to the Water Board for a
pump house.
Methodology for Park Development:
In July, three hundred letters and surveys were distributed to the residents
in the immediate area of the property. Specifically, the areas were the
Highlands of Stillwater Development, Orleans Terrace, Ann Bodlovick Apartments
and Courage Center. The total response rate was very positive which means that
approxi ma tely 30% responded to the su rvey. The resul ts are attached. A meeti ng
was also held with area residents. About fifteen people attended that meeting.
The residents asked to draw a park plan which reflected what they wanted for
their neighborhood. The ideas were very creative. All the information as then
tabulated and comments taken into consideration. Three park plan alternatives
were then drafted.

THE PARK PLAN
Location
The 5.2 acre parcel is located on West Orleans Street directly south of the
Highlands of Stillwater residential development, west of Orleans Terrace and
the Cottages of Stillwater. Directly south of the property is the Business
Park. Future development on this vacant land will be office, light industrial
or medi cal offi ces. The parcel provi des a buffer between office/industri al
uses and residential.
Residential Neighborhood Character
The Highlands of Stillwater is a new development. A majority of its residents
are young families with children. In comparison, the Ann Bodlovick Apartments
is a retirement facility with residents who are elderly and most likely
single. The Cottages of Stillwater and Orleans Terrace is a mixture of retired
persons and families with children.
Park Definition
By viewing the location, age, family type and population of the area, it is
determined the appropriate type park for this parcel of property is a
neighborhood park.

PREPARATION OF lANDSCAPE PLANS FOR COUNTY RUAD

As a part of the County Road #5 road improvement project,
Washington County will install landscaping along the
roadway. To determine where landscaping should be
installed, a landscape plan should be prepared to relate
County Road #5 landscaping to Stillwater Market Place
landscaping/Erickson Post redevelopment.
Once a concept plan is developed for this improvement,
Stillwater entryway, it will be turned over to Washington
County for planting.
There is money in the planning budget (professional
services) to cover the costs of plan preparation. Amy
Stefan has previously worked for the City preparing plans
for Downtown planting areas, Lily Lake Park and Benson
Park.
RECOMMENDATION:
Authorization of expenditure and preparation of County
Road #5 landscape plan.

Thank you for considering Stefan Associates to provide design services for the County Road 5 Landscape Improvement Project from
Pine Street to Hwy 36. Outlined below is our proposed scope of services and related fees in a letter form of agreement.
BASIC SERVICES
Stefan Associates agrees to provide the following services on the project. This scope of services is based upon information we have

For the Basic Services, Stefan Associates provides, it is agreed that Stefan Associates will be compensated at an hourly rate of
$35.00/hour, Our fee is invoiced hourly as not to exceed total based on the scope of work outlined. '

Additional Services beyond the scope of B sic Services will be performed only when authorized by the City of Stillwater. Services will
be billed at our hourly rate. Additional Se ices may include: Illustrative draWings, plant materiallD boards, cost estimates,
construction drawing review, site observati n and neighborhood/council meetings.
Reimbursable expenses are the actual ex nditures made by Stefan Associates in the interest of the project. These expenses are
not included in the Basic Services Fee. E penses may include but are not limited to mileage, film reproduction, printing, facsimile and
mailing.
CLIENT RESPONSIBILITIES
The City of Stillwater agrees to provide the following information and/or services on the project::
1. Information setting forth the city's and p ject objectives, schedule, constraints, budget and other criteria.
2. A surveyor plan acceptable by the city s existing conditions describing physical characteristics, legal limitations, utility locations
and existing structure location and elev tion.

MISCELLANEOUS
Stefan Associates will invoice you monthly for the Basic Services any Additional Services and Reimbursable Expenses. Payment is
due upon receipt of invoice.
It is understood that neither Stefan Associ tes or the City of Stillwater have control over factors that determine construction costs, and
that actual bids or negotiated construction osts may vary from any estimates of such costs that Stefan Associates may prepare.
This agreement may be terminated byeith r party upon seven days written notice should either fail to substantially perform in
accordance with its terms, through no fault of the party that initiates the termination. In the event of termination, Stefan Associates
shall be compensated for all services pel1 rmed and expenses incurred to the date.
This letter is intended to be the entire agre ment between us. Any changes or additions to this agreement must be made in writing
and signed by both of us.
This copy, and an additional copy of this Ie ter agreement, has been signed by me on behalf of Stefan Associates. If this agreement is
satisfactory, please sign and date as indic ted below. Once you have signed both copies, please return one to Stefan Associates, _
and retain the other for your file. Our recei t of the fully signed copy will constitute our authorization to proceed. ,.,

RE: Oak Glen Purchase Agreement:
Dear Mayor Hooley and Council:
The purchase agreement that Oak Glen has submitted to the City
Council for review calls for a cash payment to Oak Glen on $3.2
million on December 1, 1993. In addition to that payment, it
provides that $60,000 each year should be paid to David Johnson for
consultant services for a period of seven years. This amounts to
a total of $420,000 more in total consideration.

Oak Glen has submitted to me by fax their proposed distribution of
the $3.2 million. I enclose that letter as Exhibit A.
The City loan to Oak Glen was $260,844.74, made November 27, 1990.
Johnson asks that the City accept the principal balance of this
loan and forgive interest, which amounted to $62,226.34 on Monday,
the 18th of October, and interest is continuing to accrue on the
principal at the rate of $58.93 per day.
I have talked to Pat Hennessy, the attorney for the first mortgage
holders who have also been approached for a reduction of the first
mortgage amount, and Hennessy predicts that his client is unwilling
to grant any reduction, since it is the first mortgage holders'
opinion that any benefit would go to enhance the position of the
second mortgage holders, the former owners of First National Bank
of stillwater.
It appears that unless the City'S forgiveness could be tied into
some kind of consideration, it would be difficult to find a public
purpose for the action. That is, since the purchase price is
nearly $200,000 more than would be needed to pay the first mortgage
holder and the city their entire debt plus interest, it is
difficult to suggest that the forgiveness of this much money is
based upon the uncertainty of getting the full amount, should the

Councilman Cummings h s suggested that we approach Oak Glen to ask
in return for the forgiveness of interest, that Oak Glen convey to
the City Outlot F and Outlot Z of Oak Glen, neither of which is
being sold in the pre ent contract.
Outlot Z is the walkw y area on the west side of McKusick's Lake
and could be transfer ed to the City subject to any interests of
the homeowners. Outlo F contains the property on the lake side of
McKusick's Lake Road nd includes the knob on the end of Amundson
Drive and the parking rea on the curve by the Oak Glen Townhouses.
This property would, according to Councilman Cummings, tie in
nicely with the propos d walkway on the new road, since it would be
a good spot for picni tables and the like. While the decision is
for the council, it ap ears that a transfer of this property to the
City in return for the forgiveness of interest would be
justifiable.

Dear Mr. Magnuson:
This is to set out in writing our request to the City of
Stillwater for forgiveness of the interest portion of the loan
from the City of Stillwater to Johnson's Oak Glen Golf, Inc.
(Oak Glen) .

As you know, Oak Glen is negotiating a sale of the golf course
to a company controlled by Mr. Ken Wilson. Although some of the
terms are still being negotiated, the parties have agreed on the
sale price, which is $3,200,000,00. In order to be able to sell
the golf course at that price, Oak Glen needs some concessions
from creditors. The second mortgage holders have agreed to an
additional $100,000.00 reduction in the amount owed to them.
We are asking the City to accept the principal amount of its
tax advance loan in settlement of the amount due it on that
loan.
Finally, we will be asking the first mortgage holder to take a
slight reduction in the amount payable to it.
The $3,200,000.00 cash payment at closing will be applied as
follows:
$2,640,000.00 (approximate)
268,000.00 (city loan)
300,000.00 (2nd mortgage)
$3,208,000.00
20,000.00 (anticipated closing costs including deed tax

Yesterday, October 18, 1993, I've agreed to perform legal services for Student
Assurance Services, Inc., an insurance company doing business in Stillwater and
owned by Mark L. Desch.
I advise you of this since Mark L. Desch is the redeveloper in a development
agreement made with the City of Stillwater, executed June 19, 1990, that provides
for tax increment payments to Mr. Desch and also for lease payments made to Mr.
Desch for municipal parking privileges in his private parking lot.

I did not represent Mr. Desch or Student Assurance Services in any way before
October 18, 1993, or during the negotiation of the tax increment agreement or the
lease, and I represented only the city. Mr. Desch was represented in these
negotiations by Richard Peterson, Esq., of the law firm of Best & Flanagan.
Since the development agreement and the lease agreement are for a fixed sum, I
do not think the representation will be adverse to either the City or Student
Assurance Services, nor do I believe that the representation will adversely
affect the relationship with either the City or Student Assurance Services.
The potential for conflict is apparent, however, and if such a conflict arises,
I will inform both clients so that we could proceed mindful of the rules that
prohibit lawyers from participating in conflicts of interest. Please let me know
if you have any problems with this.

Let me take this opportunity to introduce myself, or reintroduce myself to many of you
who I already know, as your new representative to the Regional Transit Board. I am
excited about the opportunity to work on transit programs and policies that will be
important to the future of the Twin Cities area.
Metropolitan agency districts have been changed by 1993 legislative action based on the
1990 census. As a result, the district I represent includes most of suburban Ramsey
County (except Mounds View, New Brighton, Lauderdale, and Falcon Heights) and all of
Washington County, except the southern tier of communities. The district includes 32
cities and 9 townships.
For those C?f you who I do, not know, let me give you a little information about myself. I
am the Mayor of White Bear Lake and have served in this capacity for three years. Prior
to that I served on the White Bear Lake City Council for two years. In addition, I have
been active in numerous civic and government organizations.
I am pleased to be representing you on transit issues. I would be willing to meet with you
at anytime to talk about how transit issues impact your community. Please call me at my

We have contacted the St. Paul District of the Corps of Engineers regarding the levee wall
project. Personnel at the St. Paul District office informed US that they will receive the project-
The first step is for the St. Paul District to receive guidance from the Corps of Engineers
headquarters in Washington DoC. The St. Paul District said they cannot give us a schedule until
they receive these guidance orders, They anticipate receiving the guidance anywhere from two
weeks to one month after the President signs the bill. This would mean that the St. Paul District
should have some idea of scheduling around the first of November of this year.
We anticipate contacting the St. Paul District Corps of Engineers about the 1st of November to
set up a meeting with the council. We anticipate having one of the members with the St. Paul
District Corps of Engineers attend a council meeting and discuss the procedures with the council
for the design and construction of the levee wall.

SUBJECT: UPDATE ON PERRO POND AND CREEK STUDY
BACKGROUND:
A Sub-Watershed Committee was formed last year to study the flooding problems
of Perro Pond and Creek in the City of Bayport. Stillwater, Oak Park Heights,
Bay town Township and Bayport are the communities involved in this Sub-
Watershed. A study has been recommended with funding to be shared by the
communities based on acreage or contribution to the Watershed. The following
is a breakdown:

Stillwater, Oak Park Heights, and Bayport have all committed their share in
the funding. The Bay town Township representative on the Sub-Watershed had
committed their $12,000 portion of the budget; however, when it was presented
to the Bay town Town Board the funding was denied.
The study has been put on hold. Stillwater, Bayport, and Oak Park Heights
could add up the $12,000 portion of the study and divide this cost based on
their share in the Watershed or the Sub-Watershed could approach Washington
County for assistance.
I do not feel the City of Stillwater should be burdened with additional costs
for this study. We contribute so little to this Watershed. Bayport and Oak
Park Heights are adjacent to Bay town Township.
Washington County will be approached by the Sub-Watershed for funding of this
study as part of the County Road #21 improvements. If they aren't willing to
assist, then this study may not even occur.
I will keep the City Council updated.
