RESOLUTION NO. 92-232

WHEREAS, the City Council of the city of stillwater,
Washington County, Minnesota, (the "City") on October 20, 1992,
considered and passed its Resolution No. 92-227 approving a
development contract, (the "Contract") between the city and the
Minnesota Zephyr, (the "Zephyr") a Minnesota corporation; and,
WHEREAS, in order to complete the action contemplated by the
Contract, it is necessary that certain documents be prepared and
executed by certain officials of the city.
NOW, THEREFORE, BE IT RESOLVED:
1. That the City Attorney, Community Development Director and
the city Clerk are hereby authorized to prepare certain documents
consistent with the development contract and to review documents
prepared by others in furtherance of the contract.
2. The Mayor and the city Clerk be and they hereby are
authorized to execute such documents, deeds and mortgages,
subordination agreements and estoppel letters as might reasonably
be required to further the purposes of the development agreement
and to transfer real estate to the Zephyr in furtherance of the
development contract.
