APPROVAL OF AGREEMENT TO TERMINATE
A DEVELOPMENT AGREEMENT BETWEEN
THE CITY OF STILL WATER AND COLONIAL CRAFT
BE IT RESOLVED by the City Council of Stillwater, Minnesota, that the Agreement to
terminate a development agreement, free the land and clear the title for sale, attached
hereto as exhibit A, by and between the City of Stillwater and Colonial Craft, is hereby
approved, and the appropriate city staff is authorized to sign said Agreement.
Adopted by Council this 2nd day of December, 1997.

AGREEMENT TO TERMINATE
AGREEMENT FOR PRIVATE REDEVELOPMENT
THIS AGREEMENT to terminate is made this ~y of November, 1997, between the City
of Stillwater ("City"), a Home Rule Charter City of the Third Class having its office at City Hall, 216
North Fourth Street, Stillwater, Minnesota 55082, and Rasmussen Millwork, Inc., a Minnesota
corporation, d/b/a Colonial Craft ("Redeveloper") having its office at 2772 Fairview Avenue North, St.
Paul, Minnesota 55113.
INTRODUCTION
1. The parties entered into a Memorandum of Agreement for Private Redevelopment effective
the 17th of April, 1996, providing for redevelopment of property in the Prime Site Subdivision of the City
by Colonial Craft's construction ofa new manufacturing facility. On June 11, 1997, Colonial Craft
. informed the City that their current customer needs and expected demands for a major expansion of the
Colonial Craft facilities plan for Stillwater was not warranted at that time.
2. The parties, therefore, agree that the Memorandum of Agreement for Private Redevelopment
is hereby terminated and in all respects is canceled without any costs to either party and whether known
or unknown, any costs claims or damages that either party might have against the other or that might
arise in the future be and the same hereby are released and forever discharged.
