Estelle Hersey and others to the City of Stillwater,also subject to all rights in and to the trackage on said property referred to desribed and covered in and by two certain contracts in writing between Chicago,8t. Paul,Nlnneapolis and Omaha Railroad Company and the City of Stillwater,eaid contracts being dated re- spectively September 5 and September 6,1929. Also subject to any rights of way or for the maintenance of poles or structures thereon of the Northern States Power Company and Trl State Telephone and Telegraph Company by virtue of which said companies have erected poles,wites and other structures thereon. Said contract shall reserve to the City the right to maintain and keep in repair,and enter upon said premises at all reasonable times for such purposes,all sewers extending over and across said property. The City of Stillwater,in and by said contract,reserves a right of way over the land to be conveyed to said Parent,throughout the entire extent thereof,to Government Lot Three (3) in Section Thirty four (34),Township Thirty (30),Range Twenty (20),title to which is reserved to the City of Stillwater for the purpose of permitting the city, its agents,servants and employees,successors and assigns and licensees, to have access by roadway to said lands owned by the City in said Lot Three (3) over the property is be sold to said Parent in and by the terms of said contract and for such purpose to construct any and all roads or highways that may be necessary to have access to and egress from said Lot Three (3). Said contract shall also provide that said Parent ehall keep the crane, machinery and other equipment and personal property used in connection with said property to be conveyed and the treesel and terminal itself in good con- . dltlon and repair and to replace all worn outibarts so as to maintain the same in as good condition and repair as the same id at present and in case said , tressel or any part of said terminal property shall be damaged from and cause Whatever the same shall be immediately repaired and restored and put in as good condition as the same now is. Said contract shall also require said Parent to operate said terminal property so as to serve all barges and water craft landing there and continuous- ly during the navigation season on the St. Croix River and said Parent shall j:; furnish said terminal facilities to all persons applying therefor upon equal rates and charges without any discrimination whatever and that all the rates and charges for the services of said terminal and imposed or collected for th'e use tLereof,ot its facilities,shall, during the existence of such contract,be deter- mined by a board of three persons,one to be appointed by the City Council,one by the St illwater ofsany atwo offsaid lboarddshallnfix andadeterminenallyofathe aforesaid terme,ratee and charges and a schedule thereof shall be filed in the office of the City Clerk. Said Parent shall also agree to pay, prior to the time the same shall be- come delinquent,all taxes and assessments upon said premises hereafter levied thereon and shall provide that if default be made in the payment of any of the installments of principal or interest due under such contract or any part there- of to be paid by said Parent or in case said Parent shall fail to pay the taxes or assessments upon eaid land or fail to perform any of the covenants,terme, conditions,and agreements therein contained to be by said Parent kept and per- formed the said City of Stillwater may,at its option,declare said contract ter- minated and cancelled and all improvements made upon the premises and all pay- ments made hereunder shall belong to the City of Stillwater as liquidated damag- es for breach of contract,such notice to be in accordance with the statute in such case made and provided and shall provide that no extension of the time of City payment yor any of of et agents,orofficemoney ue under ucontract rsofanyofitsrightsto declare nor any asuch contract forfeited by reason of any breach thereof,shall in any manner affectthe right of - the City to cancel such contract because of defaults subsequently maturing and *:. no extension of time shall be valid unless made by a resolution of the City Coun- cil Of the City of Stillwater.
