RECREATION BOARD MEETING
JANUARY 19, 1983
The meeting was called to order at the Recreation Headquarters building by chair-
person Linda K1uy.
Members present: L. K1uy, D. Nelson, J. Rahm, D. Sullivan, B. MacDonald, J. Benson,
B. Avise, D. McCabe, and J. Kimble. (No Absentees)
Others present: D. B1eckum, J. Fackler, J. McDonough, A. Beau1iew, W. Orn, and J.
Walsh.

Minutes of December 15, 1982 meeting, were unamous1y approved on resolution by D.
Sullivan and seconded by J. Benson.
A motion was made and unanimously approved to hold all future commission meeting
in the Council Chambers at City Hall.
On a nomination by D. McCabe, Linda K1uy was elected Chairperson and D. Sullivan
Secretary for year 1983, with unanimous approval.
Mike Po1ehna representing the J.C. 's addressed the Commission on a proposal to
develop a ball park on the land owned by School Dist. 834, located near the old
city dumpf He stated that in order to do this they need the old city dump for
parking space. He was advised that the Commission gave approval to the ball park
concept, but that use of City property for parking must be approved by the City
Council as the Commission had no control over the old city dump property.

Mr. Jack Walsh, Attorney for W. Orn, addressed the Commission and stated that he
has offices, downtown Stillwater, and before that he was a cost accountant and
lawyer for Minnesota Mining Company. He stated that he disagreed with the taking
of fixed costs and adding them to the operating costs of the summer hockey school
in determining rates per hour for usuage, without allocation of fixed costs to the
winter hockey cost. (Note: the Commission discussions advocated that fixed costs
be added to the total arena operating costs and that the summer ice time rental
would share in them on a percentage basis. Also, we shou1q note the home residence
for Mr. Walsh is listed as R. R. 1, Somerset, Wisconsin).

Mr. Walsh then requested the Commission to reinstate the summer school to Mr.
Orn that was rescinded by Mr. Magnuson's letter of January 11, 1983 as a result of
legal confrontation.
The Commission advised Mr. Walsh that under the circumstance and advice of
Mr. Magnuson not to proceed with granting time slots to either party. The Commis~
sion felt that if the two parties involved in the time slot dispute could not
solve it between themselves, the Commission would not make a decision.
A motion was made by J. Rahm, seconded and unanimously approved that we sell
ice time for summer hockey school, providing it is cost effective or cost plus, so
that there is no loss to the City of Stillwater as a result of this operation.
A motion was made by D. Nelson seconded by J. Swanson and unanimously approved
to advise school Dist. 834., Athletic Dept., that based on their current hours pur-
chased, next years cost for ice time will be about $90.00 per hour. This is subject
to the City Council's approval of the 1983 arena budget.
Discussion was carried on by the Commission members on the possibility of sell-
ing commercial advertising at the Ice Arena, using this revenue. to off set arena
operating costs. The commission seeks information and guidance from the City Council
regarding if it is permissab1e for the Commission to sell advertising, what kind or
nature of advertising is permissab1e. Advice is needed as how to sell this advertis-
ing, such as by bids, by customer proposals, also, what contract terms may be used,
in general any advice so the Commission does not drtl,w the City into any legal con-.
frontations. (Note: Information should be in writing).
The motion was made by D. McCabe, seconded by J. Benson, unanimously approved
to ask the City Council to advise us on the possibility of selling commercial ad-
vertising at the Ice Arena, providing the revenues were used to off set arena oper-
ating costs.
In the final action for the evening, the Commission agreed to hold a meeting
February 2, 1983 for budget review purposes.
A public hearing was set for February 9th, 1983 so the public could give in-
put to the arena operations, costs, rates, etc.
On February 16th, 1983 the regular meeting, the Commission will set rates and
other matters regarding arena operations.

The Recreation Commission and I made agreements concerning the operation of
the Pro Shop at Lily lake Arena and the summer ice time for 1983 according to the
minutes of past Commission meetings. Based upon those agreements, I have made
a considerable financial investment into the Pro Shop and the 1983 St. Croix Valley
Hockey School and leagues.
The St. Croix Valley Summer Hockey School, leagues and Fall Clinic have
operated on the same dates for seven years and have paid $42,200 for ice time
rental during that period of time to the City of Stillwater. I have cooperated
completely with the City, Recreation Commission and lily Lake Arena staff during
that seven year time. Irregardless of the threats, claims and accusations by
the tlaggrieved persons It and for the Recreation Commission to act reasonabl e and
fair, they are bound to honor the agreements made in good faith and by a unanimous
vote last September.
I want the Recreation Commission to fully understand the importance of ti~e
in this matter. The winter season will soon be over and the Pro Shop could not
start operation until next season. Secondly, the St. Croix Valley Hockey School
1 ike all other reputable schools, has already begun advertising for the summer of
1983. Delay in decisions will have an obvious disastrous effect upon enrollment
resulting in likely cancellation of the summer program.
Furthermore, one month has passed without a word concerning an evaluation
about the need for the Pro Shop or summer hockey school. In the September 9,1982
Recreation Commission minutes the Commissionconcensus was that tithe service (Pro
Shop) is needed". Enrollment figures the past two summers indicate that over
400 families in the St. Croix Valley area believe that the St. Croix Valley Hockey
School and Leagues are "advisible" and needed.
The real motives behind the actions of the "aggrieved persons" are apparent
to those who follow the total hockey program in the St. Croix Valley. I'm afriad
it goes beyond the fact that the St. Croix Valley Hockey School enrollment allowed
the purchase of 141.5 hours of ice time last summer compared to 41.5 hours by the
competing hockey school.
As you know, the tuition fee for the St. Croix Valley Hockey School has always
been considerably lower than the competition around the Metro area. Placing ice
time up for bids will likely result in high tuition rates, thus denying many children
in Stillwater the opportunity to participate any more. There will be so many
unanswered questions concerning the bidding process and results that time will defeat
the possibil ity of operating a successful summer hockey school in 1983

In consideration of the intention to act and appear fair, the importance of
time, the considerable financial investment based upon the agreements and for the
benefit of the youth hockey players in the City of Stillwater, I ask that the
Recreation Commission immediately reconsider their action of December 15, 1982
and honor the agreements made with me in good faith concerning the Pro Shop and
summer hockey school for 1983.

The meeting was called to order in the City Council Chambers by
Chairperson, Linda Kluy.
Members Present: Linda Kluy, Duane Nelson, John Rahm, Dennis Sullivan

Also Present: John McDonough, Wayne Orn, Jack Walsh, John O'Neal,

APPROVAL OF MINUTES
On motion of John Benson, seconded by Darlene McCabe, the Commission
approved the minutes of the February 11, 1983 meeting as written.
(all in favor)
DAVE MAGNUSON addressed the Commission and explained his contract
proposal for summer ice time rental. After various questions and
dlscussion two changes were made - Table 1: No.5 was added"applicant
must disclose all sub-lease agreements, and/or plans thereof".
Schedule (a) added the following: "The Commission reserves the
right to approve, or reject any sub-lease agreements".
~ A motion was made to approve this contract proposal with the
aforementioned changes by Duane Nelson which was seconded by Darlene
McCabe and unanimously approved by the commission.
NILE KRIESEL addressed the commission and explained his estimated
cost and recovery for the winter arena operation. His estimated costs
were projected at $150,JOO for this period, He projected a net
operatin~ loss of($S3,125) for 1,300 hours at $60 per hour, ($26,625)
loss at $65 per hour and ($20,125) loss at $70 per hour. After much
discussion regarding depreciation costs, which were determined did not
affect the cash flow to the arena operations, the following motion
was made by Jay Kimble and seconded by Brad MacDonald:
To establish the following rates - $65.00 per hour up to
500 hours purchased and $60.00 per hour for all hours if over 500
are purchased. Motion was unanimously approved.
A general discussion took place regarding seeking outside funds to . .y~
help offset arena operating losses. John McDonough, Duane NelSOn~} 7/~f
and John O'Neal agreed to meet in the near future and explore this {,
possibility.
The next meeting was set for March 2, 1983.

INTRODUCTION
The purpose of this Request for Proposals is to seek qualified
applicants to rent and/or to provide for summer hockey and skating
instructions to the citizens of the City of Stillwater, Washington
County, Minnesota, and to other persons who are interested.
This Request for Proposals contains general application instructions,
requirements and desires of the Commission and the criteria and priorities
by which the applicant will be evaluated and judged.
APPLICATION INSTRUCTIONS
Filing of Proposals:
Fifteen (15) copies of each applicant's proposal shall be submitted to:

Proposals must be notarized, submitted in sealed containers, or by registered
mail and will be accepted at Stillwater City Hall until 2;00 P.M. Tuesday,
March 1, 1983, after which time proposals will be opened. The authority
reserves the right to extend the deadline, if necessary.
CLARIFICATION OF PROPOSAL DOCUMENTS
In the event any applicant may have any doubt as to any terms, conditions
or provisions of the specifications contained in this Request for Proposals or
the meaning thereof, the applicant may request information or clarification

Requests for information must be submitted no later than February 23, 1983.
A written response to the request will be made as soon as possible and will
be sent to all who have been supplied with copies of this Request for Proposals.
AMENDMENTS TO PROPOSAL
Substantive amendments to proposals will not be accepted.
USE OF UNIFORM DATA
Table 1 contains data that must be used by all applicants in their
proposals. Failure to do so will be considered grounds for disqualifying
an applicant for consideration for the rental.
INFORMATION REQUESTED OF APPLICANTS
DEMONSTRATED EXPERIENCE IN OPERATING INSTRUCTIONAL SCHOOLS
Information must be submitted about the applicant's experience, if any,
in operating summer hockey or skating schools or leagues in other communities.
As part of its evaluation process, the authority representatives intend to

will be expected to adhere to all federal, state and local requirements

FINANCIAL PLANS
An important feature of the proposal is an adequate demonstration of
financial capability to perform in accordance with the applicant's proposal.
Failure to provide the detailed financial information requested may be
interpreted by the authority as evidence that the applicant is not properly
qualified to receive the rental.

AGREEMENT FOR USE OF ARENA
The Recreation Committee has made preliminary decisions regarding the
use of the arena and have incorporated them into a preliminary form of agreement
for the use of the Lily Lake Arena. The authority has approved the draft of
this agreement and the applicants must indicate a willingness to comply with
the terms and conditions stated therein. The Committee reserves the right to
exercise legislative discretion to alter or amend this agreement prior to its
final execution. The Agreement is attached hereto as Exhibit "A".
EVALUATION PRIORITIES
The Committee will grant the right to use the arena to the applicant or
applicants that demonstrate the overall ability and willingness to provide the
best recreational opportunity at a reasonable and fair rate.
The Recreation Committee herein set forth their priorities and preferences
which are herein set forth in order of priority.
1. The residents of St, Croix Valley are eager to avail themselves of the
most sophisticated skating and hockey instruction possible. Priority will be
given to the applicants proposing the most sophisticated services at reasonable

2. The Committee will examine the applicant's experience in providing
similar services at other times to other communities. Priority will be given
to the applicants that have demonstrated the ability and willingness to
improve its operating services during its term in a community. The successful
applicant must have a proven record of sound management, good community
citizenship, strong fiscal responsibility and responsive instruction.
3. The applicant must indicate a willingness to pay at least an amount
set forth in the attached table, as the fair rental charge, that will be
imposed by the Committee. The Committee invites applicants to exceed this
minimum rate schedule.
4. The Committee considers the number of days that the facility is
available for use, the continuity of the days available for use, and the hours
of operation available for use in each day, to be one of the most important
aspects of a summer rental program. Priority will be given to the applicant
or applicants proposing the most intensive and flexible use of the facilities
during each rental period.

LILY LAKE ICE ARENA
The City of Stillwater (the "City") is the owner of the Lily Lake
Ice Arena (the "Arena").

(2) Janitorial Services. City agrees to furnish all necessary
janitorial services. City in its sole discretion, shall
determine what is "necessary".
(3) Parking. City agrees to furnish an adequate parking area
for User's use. City in its sole discretion, will determine
what is an "adequate" area.

parking lot, during the Term of this Agreement, shall be damaged
by the act or failure to act of User, its members, agents or
invitees, City may deduct from the damage deposit the sum that
is necessary to restore the premises to its present condition,

User will pay to City the additional amount required to complete
repairs.
D. Release of Claims Against City. City is expressly released and
discharged from any and all liabilities for loss, injury or
damages to person or property that 'may be sustained by User, its
members, agents or invitees while on the Arena property or in the
Arena parking lot during the Term of this Agreement. In the event
such loss, injury or damage occurs, User agrees to indemnify City
against all claims resulting therefrom.
E. Removal of User's Personal Property. City reserves the right to
remove from the Arena all personal property of User, its members,
agents and invitees therein after the expiration of the Term, to
store the effects at User's expense, and to sell such personal
property after the passage of 30 days from the expiration of the
Term.

F. Default by User. City reserves the right to cancel this Agreement
for any default by User in the terms of this Agreement.
G. Right to Reschedule. City reserves the right, in its discretion,
to reschedule the Term of this Agreement if User is given notice
of the rescheduling at least 10 days prior to commencement of the
original Term. Notice shall be deemed to be given upon mailing
thereof. User shall have the right, within 5 days of the giving
of such notice of rescheduling, to either accept the rescheduled
Term, all other terms and conditions of this Agreement remaining
the same, or cancel the Agreement with the City entirely. The
User, after notice of rescheduling, shall not have the right to
bind the City to the original Term of the Agreement.
H. City's Right to Cancel. In the event of mechanical failure or
other unforeseen occurrence that renders the fulfillment of this
Agreement by City impossible or impracticable, this Agreement shall
terminate and User waives any claim for damages or compensation
should this Agreement be so terminated.
J. This Agreement is subject to such further terms, conditions and
limitations as are set forth on Schedule "A" attached heteto.

The terms, conditions and limitations set forth hereunder are
a part of the Agreement for use of Lily Lake Ice Arena to which
this Schedule A is attached.

Liability Insurance, In the case of use of the facility for
20 hours of use or more as determined from Paragraph 1, User
will provide City within 20 days after execution of this Agreement,
but no later than 5 days immediately preceding the date of commence-
ment of the term of this Agreement, a policy of public liability
and property damage insurance for the term of this Agreement. The
policy shall have limits of $500,000 per person and $1,000,000
per accident for bodily injury and $500,000 per accident for
property damage and shall have as named insured City and User
~nd shall contain such further provisions and be in such form
and issued by such issuer as shall be acceptable to City. The
policy shall also contain an endorsement to the effect that no
change or cancellation in the terms of the policy shall be effective
unless written notice is received by the Lessor at least 10 days
prior to the change or cancellation.

SUMMARY OF PROPOSAL:
This proposal has been submitted with the understanding that it
does not exactly conform to the requested instructions. It is the
contention of the St. Croix Valley Hockey School, Inc. that the extremely
late date in organizing and advertising for a summer hockey program
seriously jepordizes the chance for success. Therefore, the St. Croix
Valley Hockey School proposes a minimum of 122 hours of ice time at
$75 per hour for a three week period between June 11 and July 1.
At $3150 per week the ice time cost for a three week summer
hockey program including a one week start up is (3150 X 4) $12600.
The St. Croix Valley Hockey School, Inc. will pay $9150 for 122 hours
of ice leaving a balance of $3450. Dividing $3450 by $75 per hour
results in 46 hours of ice time to sell and break even for the three
week period. There are 118 available hours for sale between June 11
and July 1. Please refer to the graph on the last page. The Lily
Lake Arena personnel can make contact with the Figure Skating groups,
Old Timers, previous summer renters and advertise the ice time to
various hockey associations plus promote several sessions of public
skating.
Because of the low profit potential and the investment necessary
(approx. $5000) in jerseys, equipment, advertising, and postage before
June 11, the St. Croix Valley Hockey School, Inc. requests that the
City of Stillwater insure themselves against mechanical failure or
other unforeseen occurrence.
The St. Croix Valley Hockey School, Inc. requests that a decision
be reached on March 2 so that advertising can be started immediately
to secure sufficient participation to make summer hockey a success at
Lily Lake Arena in 1983.

The meeting was called to order by Chairperson, Linda K1uy, at the
Lily Lake Park Headquarters, at 7:00 P. M.

LIFEGUARDS
On motion by Darlene HcCabe, seconded by John Rahm, wage rates were
set for the Lily Lake lifeguards - $3.80 per hour - 5~ additional for
one year seniority and 5~ additional for S. C. Training. The head
lifeguard was set at $4.30 per hour. Motion carried 4 to 1.
BALLFIELD ATTENDAl~T
On motion of Duane Nelson, seconded by Brad MacDonald the salary for
the ballfield attendant was set at $3.50 per hour. ~10tion carried
unanimously.
ICE ARENA
On motion of John Rahm, seconded by Duane Nelson, the Commission
urged that the City Council purchase a plastic tarp covering for
use over the ice arena during the time when the arena has no ice -
(this would reduce the need for the use of the humidifier). Motion
carried unanimously.
The meeting adjourned at 7:18 P. H.
After the meeting the Commission was taken on a tour of the Parks
and Recreation facilities by Dick B1ekum - refreshments were served
during the tour at the Linda K1uy residence.

Based upon the Recreation Commission action on September 9 and November 17, 1982
granting my request for summer ice time and the continuation of the Pro Shop,a
considerable amount of expense was incurred by the St. Croix Valley Hockey School.
The Commission rescinded all agreements on December 15, 1982.
I bel i eve the agreements were made in good faith and resulted in the St. Croi x
Valley Hockey School making numerous committments to provide the proper services
and programs. Obviously, if the motions had not passed, these expenses would not
have been incurred. Therefore, I am submitting the following claim to the Recreation
Commission payable to the St. Croix Valley Hockey School.

No new wildings will be erected, a trailor may be brought in to
house an attendant.
A manager will be in the area during all tines that the site is
open. Charges per day, per ooat would not be over $10.00. The
financial records of this operation would be available for audit
to the Lessor at any time.
The Lessee shall be responsible for the condition of the premises
during the entire year. 'rhe premises as neeck.>d shall be available
to the City of Stillwater for the discharge of firev.orks twice a
year, on two weeks advance notice. This Lease may be renewed from
year to year at the option of the Stillwater Recreation O::xnmission.
The Lessee shall irrlicate its desire to renew the Lease for the
following year by a written request to the Stillwater Recreation

The meeting was called to order by Chairperson Linda Kluy at the
Stillwater City Council Chambers at 7:30 P. M.

Minutes of July 13, 1983 were corrected as follow and approved:

Upon recommendation of Jim Faclker, a motion was made by Duane Nelson,
seconded by Jim Swanson to set this seasomwage rates for the following

The motion was unanimously approved.
WAYNE ORN addressed the commission about making a decision on providing
ice time for Summer Hockey in June 1984. He stated that in order for
him to plan on running a school next year he wants to have his cost
amount for ice time next year by December 1, 1983.
After a lengthy discussion on the "pros and cons" of ice time for
1984, the following motion was made by John Rahm, seconded by Duane
Nelson and unanimously approved:
To request that Nile Kriesel furnish the Recreation Commission
with new projected figures, based on the current financial data
available for 1984 Summer Ice Time and have the information
available by the October 26th, 1983 meeting.
WAYNE ORN also asked whether he would have to put ice time bid follow-
ing last year's procedures and the Commission agreed that no doubt,
the basic for bids would have to follow those set up by David Magnuson
last year in order to prevent any legal problems.

Dear Mr. Kriesel:
The Recreation Commission has asked that I review a proposed
lease between Bayport Marina Associates and the City of Stillwater
for the use of Legion Beach, South of the Interstate Bridge on the
Wisconsin shore.

I have reviewed the lease for con.formity with Minnesota
Statutes, the City Charter and ordinances and other restrictions
of title and find that the lease would be legally acceptable.
It appears to allow for the use of the property by the general
boating public and also appears to protect the property from
commercial exploitation which is a restriction in the nature of
a trust which was created when the City acquired title to the
property from the East Side Lumber Company.
I would, however, ask that a Section 7 be added to the addendum
to the lease that would provide as follows:
"7. The Lessee agrees that during the term of the lease and
any lawful extension thereof, there will accrue no vested
rights of any nature or sort whatever in this lease or
in the real property that is subject to the lease."
With this language, it seems to me the City would be adequately
protected and could freely enter the lease agreement.

RECREATION BOARD
November 16, 1983
The meeting was called to order by Linda Kluy at the Stillwater
City Council Chambers at 7:00 p, M.
Members Present: Linda Kluy, Dennis Sullivan, Brad MacDonald,
John Benson, James Swanson, John Rahm
Members Absent: Duane Nelson, Darlene McCabe, Jay Kimble
Minutes of the October 26, 1983 meeting were approved
Also Present:
James Fackler, Wayne Orn, J. R. Blekum
GATE SPLIT
On motion of Dennis Sullivan, seconded by James Swanson and
unanimously approved the Board accepted a request by the SCVHA
to have the "gate split" waived for their fund raiser game in
February with the Falcons.
SUMMER ICE TIME RENTAL
At the previous meeting the Board decided to wait until this evening
before they decided as to what to do about summer ice time for 1984.
The Board was informed that the St. Croix Valley Hockey Assn. was
not interested in a summer hockey program. Also we were informed
that School District No. 834 was only partially interested but
would have to run the program according to their Recreational
policies.
On motion of John Benson, seconded by John Rahm and unanimously
approved the following:
To publish in the Stillwater Gazette and the Minneapolis Tribune
for sale of summer ice time, period June 6 thru July 3, 1983,
hours 8:00 A. M. to 10:00 P. M. Minimum bid of $9,600. A 10%
Performance Bond required seven days after the bid is awarded. Due
date for bids is December 1, 1983, must be sealed and delivered to
the City Clerk by 10:00 A. M.
(Brad MacDonald agreed to meet with Dave Magnuson and
incorporate these statistics into the formal bid used
for this purpose last year by the Board).
KOLLINER PARK lease negotiations was continued to the next meeting
because the details were incomplete.
The meeting adjourned at 8:40 P. M.

users.
The bidders agree to be bound by Exhibit "A" (agreement for use
by Lily Lake Ice Arena) attached to bid proposal specifications.
Submitted herewith is a cashier's check payable to the City of
Stillwater in the amount of $1,200.00, representing ten percent
(10%) of the bid as a guarantee that bidder will enter into a
contract with the City of Stillwater, pursuant to Exhibit A, if
successful.
