RESOLUTION NO. 7063
RESOLUTION ORDERING IMPROVEMENT AND PREPARATION OF PLANS, AUTHORIZING JOINT
POWERS AGREEMENT, LOCAL IMPROVEMENT NO. 195.
WHEREAS, a resolution of the City Council adopted the 6th day of April, 1982,
fixed a date for a Council hearing on the proposed improvement of South Third
Street from Chestnut Street to Walnut Street.
AND WHEREAS, ten days' published notice of the hearing through two weekly
publications of the required notice was given and the hearing was held thereon
on the 20th day of April, 1982, at which all persons desiring to be heard were
given an opportunity to be heard thereon.
NOW,THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF STILLWATER, MINNESOTA:
1. Such improvement is hereby ordered as proposed in the Council resolution
adopted the 6th day of April, 1982.
2. The designated engineers are directed to prepare plans and specifications
for the making of such improvement.
3. The Mayor and Clerk are hereby authorized to enter into a Joint Powers
Agreement with the County of Washington to accomplish this purpose on such terms
and conditions as have been approved and agreed to.

RESOLUTION RECEIVING REPORT AND CALLING HEARING ON LOCAL IMPROVEMENT NO. 196.
WHEREAS, pursuant to resolution of the Council adopted March 16, 1982, a report
has been prepared by Short--Elliott-Hendrickson, Inc. with reference to the
improvement of sewer, water, streets and other appurtenances to serve Lots One
thru Nine of The Dallager Estates Plat and this report was received by the
Council on May 4, 1982.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF STILLWATER, MINNESOTA:
1. The Council will consider the improvement in accordance with the report
and the assessment of benefited property for all or a portion of the cost of the
improvement pursuant to Minnesota Statues Chapter 429 at an estimated total cost
of the improvement of $79,722.
2. A public hearing shall be held on such proposed improvement on the 18th
day of May, 1982 in the Council Chambers of the City Hall at 7:30 P. M. and the
Clerk shall give mailed and published notice of such hearing and improvement as
required by law.

RESOLUTION RECEIVING REPORT AND CALLING HEARING ON LOCAL IMPROVEMENT NO. 198.
WHEREAS, pursuant to a motion of the Council adopted April 20, 1982 a report
has been prepared by Short -Elliott -Hendrickson, Inc. with reference to improvements
of sanitary sewer, water services, street construction and other appurtenances
along Oakgreen Avenue and St. Croix Avenue, and this report was received by the
Council on May 4, 1982.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF STILLWATER, MINNESOTA:
1. The Council will consider these improvements in accordance with the
report and the assessment of benefited property for all or a portion of the
cost of the improvements pursuant to Minnesota Statutes Chapter 429 at an

RESOLUTION APPROVING EMPLOYMENT OF VOLUNTEER FIRE FIGHTERS.
BE IT RESOLVED, by the City Council of the City of Stillwater, Minnesota, that
the employment of the following as members of the Stillwater Volunteer Fire
Department from and after May 4, 1982, for a probationery period of six months,
be, and the same is hereby approved:

RESOLUTION AUTHORIZING ISSUANCE AND SALE OF $400,000 GENERAL OBLIGATIJN
IMPROVEMENT BONDS OF 1982.
BE IT RESOLVED by the City Council of the City of Stillwater, Minnesota, as
follows:
1. Bonding Authorization. This Council has heretofore ordered the local
improvements designated below to be constructed in or acquired by the City, and
has contracted or will contract for the construction or acquisition of said
improvements pursuant to Minnesota Statutes, Chapter 429. The designation and
estimated total cost of such improvements is as follows:

It is hereby found and determined that it is necessary and expedient for the City
to issue and sell its General Obligation Improvement Bonds of 1982 in the principal
amount of $392,200 to finance the cost of said improvments, pursuant to Minnesota
Statutes, Chapter 429; .ind to obtain the best bid for said bonds at public sale,
to sell and issue an additional $7,800 principal amount of like bonds representing
interest together with said bonds, pursuant to Minnesota Statutes, Section 475.56.
2. Sale Terms. Springsted Incorporated, bond consultants to the City, has
pre sented to this Council a form of Official Terms of Offering of the sale of the
bonds, and a form of Notice of Sale for publication, which forms are attached hereto
and shall be placed on file in the office of the City Clerk. Each and all of the
provisions of the Official Terms of Offering and are hereby adopted as the terms and
conditions of said bonds and of the sale thereof , and shall be made available to
all prospective purchasers of the bonds. The City Clerk is authorized and directed
to cause the Notice of Sale to be published once in the official newspaper of the
City, and once in the Commercial West, a financial periodical published in Minneapolis,
at least ten days before the date of sale.
3. Sale Meeting. This Council shall meet on Tuesday, June 15, 1982, at
7:30 P. M., to receive, open and consider the bids received for the purchase of the
bonds, and to take such actions thereon as is deemed in the best interest of the
City.

RESOLUTION APPROVING PLANS FOR LOCAL IMPROVEMENT NO. 195.
WHEREAS, plans for Project No. C.P. 82-23-275 showing proposed alignment,
profiles, grades and cross -sections for the construction, reconstruction of
improvement of County State -Aid Highway No. 23 within the limits of the City
as a County Project have been prepared and presented to the City.
NOW, THEREFORE, BE IT RESOLVED: That said plans be in all things approved.

RESOLUTION NO. 7071
RESOLUTION FOR PARKING REGULATIONS - LOCAL IMPROVEMENT NO. 195.
WHEREAS, the County of Washington has prepared the plans and specifications
for the improvement of 3rd Street South from Walnut Street to Chestnut Street
in Stillwater, and
WHEREAS, the approved state -aid standards are applicable to this project limit
and restrict all parking to that which is parallel with the curb.
NOW, THEN, BE IT RESOLVED that said City of Stillwater shall require that
parking of all vehicles within the corporate limits on this County State -Aid
Highway be parallel with the curb in accordance with the State -Aid Standards.

NOTE RESOLUTION - COUNTRY HOUSE, INC., PROJECT.
BE IT RESOLVED by the City Council of the City of Stillwater, Minnesota,
as follows:

DEFINITIONS, 7FfdT AUDIDRIZATICN AND FINDINGS
1-1. Definitions. OmN
The terms used herein, unless the context hereof shall require otherwise shall have
the following meanings, and any other terms defined in the Loan Agreement shall have the same meanings
when used herein as assigned to them in the loan Agreement unless the context or use thereof indicates
another or different meaning or intent.
Act: the Minnesota Mmicipal Industrial Development Act, Minnesota Statutes, Chapter 474 as
Assignment of leases and Rents: the agreement to be executed by the Borrower assigning all the
leases, rents, issues and profits derived from the Project to the Lender to secure the repayment
of the Mate and interest thereon;
Bond Counsel: the firm of Briggs and Morgan, Professional Association, of St. Paul and Minneapolis,
Minnesota, and any opinion of Bond counsel shall be a written opinion signed by such Counsel;
Borrower. Country House, Inc., a Minnesota Corporation, its successors, assigns, and any surviving,
resulting or transferee business entity which may assume its obligations under the Loan Agreement.
City: the City of Stillwater, Minnesota, its successors and assigns;
Construction Fund: the fund established by the City pursuant to this Resolution and into which
the proceeds of the Note will be deposited:
Construction loan Agreement: the agreement to be executed by the City. the Borrower and the
Lender, relating to the disbursement and paym nit of Project Costs out of the Construction Fund for
the acquisition of the Land and the construction and installation of the Improvements,
Guarantors: Gregory N. Johnson and Terrance K. .7duson;
Guaranty: the personal guaranty to be executed by the Guarantors in favor of the Lender;
Improvements: the structures and other improvements, including any tangible personal property,
to be constructed or installed by the Borrower on the Land in accordance with the Plans and
Specifications;
land: the real property and any other easements and rights described in Exhibit A attached
to the Loan Agreement;
Lender: First National Bank of Stillwater, Stillwater, minmuesota, its snrressors and assigns;
Leann Agreement: the agreement to be executed by the City and the Borrower, providing for the
issuance of the Note and the loan of the proceeds thereof to the Borrower, including any enenamets
or supplements thereto made in accordance with its provisions;
Mortgage: the Mortgage, Security Agreement and Fixture Financing Statement to be executed by
the Borrower, as mortgagor, to the Lender, as mortgagee, securing payment of the Note and interest
thereon;
Note: the $179,000 C®er'cial Industrial Development Revenue Note of 1982 (Country house, Inc
ProjectYto be issued by the City pursuant to this Resolution and the Loch Agreement;
Note Register: the records kept by the City Clerk to provide for the registration of transfer
of ownership of the Note;
Plans and Specifications: the plans and specifications for the construction and installation
of the Improvements on the Land, which are approved by the Lender, together with such modifications
thereof and additions thereto as are reasonably determined by the Borrower to be necessary Or
desirable for the completion of the Improvements and are approved by the Lender;
Pled Agreement: the agreement to be executed by the City and the Lender pledging and assigning
the loan Agreement to the Lender;
Principal Biance: so much of the principal sum on the Note as remains unpaid at any time;
Project. the Land and improvements as they may at any time exist;
Project Costs: the total of all "Construction Costs" and 'Town and Carrying Charges," as those
terms are defined in the Loan Agreement;
Resolutions: this Resolution of the City adopted May 18, 1982, together with any supplement or
amendment thereto.
All references to this instr neat to designated "Articles," "Sections" and other subdivisions
are to the designated Articles, Sections and subdivisions of this instrument as originally executed.
The words "herein," 'hereof" and "hereunder" and other words of similar import refer to this Resolution
as a whole not to any particular Article, Section or subdivision. ,„J
1-2. Legal Authorization.
The City is a political subdivision of the State of Minnesota and is authorized under the
Act to initiate the revenue producing project herein referred to, and to issue and sell the note for
the purpose, in the manner and upon the terns and conditions set forth in the Act and in this
Resolution.

1-3. Findings.
The City Council has heretofore determined, and does hereby determine, as follows:
(1) The City is authorize.: by the Act to enter into a Loan Agreement for the public purposes
expressed in the Act;
(2) The City has made the necessary anangernertswith the Borrower for the establishment within
the City of a Project consisting of certain property all as more fully described in the loan Agreement
and which will be of the character and accomplish the purposes provided by the Act, and the City has
by this Resolution authorized the Project and execution of the Loan Agreeent, the Pledge Agreement,
the Note and the Construction loan Agreement, which documents specify the terms and conditions of
the acquisition and financing of the Project;
(3) in authorizing the Project the City's purpose is, and in its judgment the effect thereof
will be, to praiote the public welfare by• the attention, encouragement and development of
econnnrmically sound industry and commerce so as to prevent, so far as possible, the emergence of
blighted and marginal lands and areas of chronic unemployment; the development of revenue -producing
enterprises to use the available resources of the m®nity, in order to retain the benefit of the
cananity's existing investment in educational and public service facilities; the halting of the
movement of talented, educated personnel of all ages to other areas thus preserving the economic
and lumen resources needed as a base for providing governmental services and facilities; the pro-
vision of accessible employment opportunities for residnets in the area; the expansion of an adequate
tax base to finance the cost of governmental services, incouding educationsl services for the school
district serving the comity in which the Project is situated;
(4) the mount estimated to be necessary to partially finance the Project Costs, including the
costs and estimated costs permitted by Section 474.05 of the Act, will require the issuance of the
Note in the principal amount of $179,000 as hereinafter provided;
(5) it is desirable, feasible and consistent with the objects and purposes of the Act to issue
the Note, for the purpose of partially financing the Project;
(6) the Note and the interest accruing thereon do rot constitute an indebtedness of the City
within the mewing of any constitutional or statutory limitation and do not constitute or give rise
to a pecuniary liability or a charge against the general credit or taxing powers of the City and
neither the full faith and credit nor the taring powers of the City is pledged for the payment of
the Note or interest thereon; and
(7) The Note is an industrial development bond within the meaning of Section 103(b) of the Internal
Revenue Code and is to be issued within the exemption provided under subparagraph (A) of Section
103(b) of the Code with respect to an issue of $1,000,000 or less; provided that nothing herein
shall prevent the City from hereafter qualifying the Note under a different exemption if, and to the
extent, such exemption is permitted by law and consistent with the objects and purposes of the Project.
1-4. Authorization and Ratification of Project.
The City has heretofore and does hereby authorize the Borrower, in accordance with the
provisions of Section 474.03(7) of the Act and subject to the terms and conditions set forth in the
Construction loan Agreement, to provide for the construction and installation of the Project pursuant
to the Plans and Specifications by such means as shall be mailable to the Borrower and in the manner
determined by the Borrower, and without advertisement for bids as may be required for the construction
and acquisition of mmicipal facilities; and the City hereby ratifies, affirms, and approves all
actions heretofore taken by the Borrower consistent with and in anticipation of such authority and
in compliance with the Plans and Specifications.

NOTE
2-1. Authorized Amount and Form of Note.
The Note issued pursuant to this Resolution shall be in substantially the form set forth
herein, with such appropriate variations, omissions and insertions as are permitted or required by
this Resolution, and in accordance with the further provisions hereof• and the total principal
amont of the Note that may be outstanding hereunder is expressly limited to $179,000 unless a
duplicate Note is issued pursuant to Section 2-7. The Note shall be in substantially the following
form:

FOR VALUE RECEIVED the CITY OF SIMI/ATER, Washington County, Minnesota (the "City") hereby
promises to pay First National Bands of Stillwater, in Stillwater, Minnesota (the "Lender"), its
successors or registered assigns, from the source and in the manner hereinafter provided, the
principal sun of ONE HUNDRED SEVENTY-NINE THOUSAND DOLLARS ($179,000) , with interest on that portion
of the principal sun which remains unpaid from time to time (the "Principal Balance") at the rate
or rates hereinafter in any coin or currency which at the time or times of payment is legal tender
for the payment of public or private debts in the United States of America. This Note is payable
installments as follows:

2. Monthly principal payments of $1,375.00 shall be due and payable commencing October 1, 1982
and continuing on the first day of every month thereafter to and including May 1, 1993 at which time
the remaining Principal Balance and accrued interest shall be due and payable in full (the "Final
Maturity Date").
3. Interest for any calendar month or portion thereof shall be computed on the Principal
Balance from and after the date hereof during such calmdar month or portion thereof at a rate per
annun equal to 80% of the Primate Rate (the daily prime rate of interest as determined and announced
by the First National Bank of Minneapolis at its principal banking office in Minneapolis, Minnesota
as such rate changes from time to time) with all changes in the interest rate hereunder to take effect
on the dace of such change in the Prime Rate. Interest shall be computed on the basis of a 360 day
year, but shall be charged for the actual days elapsed in a year of 365 days.
4. Unpaid interest accrued for each calendar north or portion thereof this Note is outstand-
ing shall be due and payable within 10 days after receipt by the Borrower of a written note of the
amount due given by the Lander to the Borrower. All payments under this Note shall be applied first
to interest due on the Principal Balance and thereafter to reduction of the Principal Balance.
J. If the interest on this Note should become subject to federal income taxation pursuant to a
"Determination of Taxability" as that term is defined in Section 4.07 of the Loan Agreement herein-
after referred to, and the Lender delivers to the Borrower a copy of the notice of the "Determination
of Taxability", the interest rate shall be immediately changed and shall thereafter be equal to an
annual rate equal to the greater of 2% in excess of the Prhne Rate of 12%. In addition the Lender shall
be entitled to receive upon demand an amount equal to the aggregate difference between (i) the monthly
interest payments theretofor made to the Lender an this Note between the 'Date of Taxability" as that
term is defined in the loan Agreement, and the date of receipt by the Borrower of notice of such
"Determination of Taxability", and (ii) the monthly interest payments which would have been made during
such period if the increased interest rate had been in effect throughout such period.
6. Principal and interest due hereunder shall be payable at the principal office of the Lender,
or at such other place as the Lender may designate in writing.
7. This Note is issued by the City to provide funds for a Project, as defined in Section 474.02, (.—
Subdivision la, Minnesota Statutes, consisting of the acquistion of real estate, and the construction
of a convenience store and gas station thereon, pursuant to a loan Agreement of even date herewith
between the City and the Borrower (the 'loan Agreement"), and this Note is further issued pursuant
to and in full compliance with the Constitution and laws of the State of Minnesota, particularly Chapter ,
474, Minnesota Statutes, and pursuant to a resolution of the City Council duly adopted on May 18, 1982
(the "Resolution').
8. This note is secured by a Pledge Agreement of even date herewith by the City to the Lender (the
"Pledge Agreement"), a Mortgage, Security Agreement and Fixture Financing Statement, of even date here-
with between the Borrower, as mortgagor, and the lender as mortgagee (the ""Mortgage"), a Personal
Guaranty of even date herewith Fran Gregory W. Johnson and Terrance K. Johnson to the Lender (the
"Guaranty") and an Assign ent of leases and Rents, of even date herewith, from the Borrower to the
Lender (the "Assignment of Leases and Rents"). The proceeds of the Note shall be placed in the Con-
struction Fund established pursuant to the Resolution and the Construction loan Agreement (herein-
after referred to), and the disbursement of the proceeds of this Note from the Construction Fund is
subject to the terms and conditions of a Construction Loan Agreement of even date herewith among the
Lender, the City and the Borrower (the "Construction Ivan Agreement").
9. The Lender, with the consent of the City, may extend the times of payments of interest
and/or principal of or any service charge or premium due on this Note, including the Final Maturity
Date, without notice to or consent of any party liable hereon and without releasing any such party.
However, in no event may the Final Maturity Date be extended beyond thirty (30) years from the date
hereof. t.,..
10. This Note may be prepaid in whole or in part at any time without penalty.
11. This Note is further subject to prepayment by the City, at any time, without a premiss,
in whole or in part, upon the occurrence of certain events of damage, dentruction or condemnation of
the property secured by the Mortgage, as specified in Section 2.04 of the Mortgage. This Note is
also subject to the prepayment to the extent that there are any surplus sun held in the Construction
Fund as provided under Section 6.11 of the Construction Loan Agreement.
12. The monthly payments due hereunder shall continue to be due and payable in full until
the entire Principal Balance and accrued interest due on this Note have been paid regardless of any
partial prepayment made hereunder.
13. As provided in the Resolution and subject to certain limitations set forth therein, this
Note is transferable upon the books of the City at the office of the Clerk, by the Lender in person
or by his agent duly authorized in writing, at the Lender's expense, upon surrender hereof together
with a written instrument of transfer satisfactory to the Clerk, duly executed by the Lender or his
duly authorized agent.
Under such transfer the Clerk will note the date of registration and the name and address of
the new registered Lender in the registration blank appearing below. The City may deen and treat the
person in whose name the Note is last registered upon the books of the City with such registration
noted on the Note, as the absolute owner hereof, whether or not overdue, for the purpose of receiving
payment of or on the account, of the Principal Balance, redemption price or interest and for all other
purposes, and all such payments so made to the Lender or upon his order shall be valid and effective
to satisfy and discharge the liability upon the Mote to the extent of the sun or sins so paid. and
the City shall not be affected by any notice to the contrary.
14. All of the agreements, conditions, covenants, provisions and stipulations _stained in
the Resolution, the Mortgage, the Assignment of Leases and Rents, the Loan Agreement, the Pledge
Agreement and the Construction loan Agreement are hereby made a part of this Note to the same extent
and with the same force and effect as if they were fully set forth herein.

15. This Note and interest thereon and any penalty or premium due hereunder are payable
solely from the revenues and proceeds derived from the Loan Agrenent, the Mortgage, the Guaranty
and the Assignment of Leases and Rents, and do not constitute a debt of the City within themeaning
of any constitutional or statutory limitation, are rot payable from or a charge upon any funds other
than the revenues and proceeds pledged to the payment thereof, and do not give rise to a pecuniary
liability of the City or, to the extent premitted by law, or any of its officers, agents or employees,
and m holder of this Note shall ever have the right to compel any exercise of the taxing power of
the City to pay this Note or the interest thereon, or to enforce payment thereof against any property
of the Cty, and this Note does not constitute a charge, lien or enmmbrance, legal or equitable, upon
any psuperty of the City, and the agreement of the City to perform or cause the performance of the
covenants and other provisions herein referred to shall be subject at all times to the availability
of revenues or other funds furnished for such purpose in accordance with the Loan Agreement, sufficient
to pay all costs of such performance or the enforcement thereof.
16. It is agreed that time is of the essence of this Note. If an Event of Default (as that
team is defined in the Mortgage, the Assignment of Leases and Rents, the Construction loan Agreement
or the Loan Agreement) shall occur, then the lender shall have the right and option to declare, upon
thirty (30) days written notice,the Principal Balance and accrued interest thereon, immediately due
and payable, but solely from sums made available under the Loan Agreement, the Guaranty, the Corr
struction loan Agreement, the Assignment of Leases and Rents and the Mortgage. Failure to exercise
such option at any time shall not constitute a waiver of the right to exercise the same at any sub-
sequent time.
17. The remedies of the Lander, as provided herein and in the Mortgage, the Assignment of
teases and Rents, the Guaranty, the loan Agreement, the Pledge Agre net and the Construction Loan
Agreement, are not exclusive and shall be cumulative and concurrent and may be pursued singly, success-
ively or together, at the sole discretion of the Lender, and may be exercised as often as occasion
therefor shall occur; and the failure to exercise any such right or remedy shall in no event be
construed as a waiver or release thereof.
18. The Lender shall not be deemed, by any act of omission or commission, to have waived
any of its rights or remedies hereunder unless such waiver is in writing and signed by the Leder
and, then only to the extent specifically set forth in the writing. A waiver with reference to one
event shall not be construed as continuing or as a bar to or waver of any right or remedy as to a
bar to or waiver of any right or remedy as to a subsequent event.
19. This Note has been issued without registration undr state or federal

2-2. The Note.
The Note shall be dated as of the date of delivery, shall be payable at the times and in the
manner, shall bear interest at the rate, and shall be subject to such other terns and conditions as
are set forthterein.
2-3. Execution.
The Note shall be executed on behalf of the City by the signatures of its Mayor and Clerk
and shall be sealed with the sale of the City. In case any officer whose signature shall appear
on the Note shall cease to be such officer before the delivery of the Note, such signature shall
nevertheless be valid and sufficient for all purposes, the sane as if had remained in office until
delivery. In the event of the absence or disability of the Mayor or the Clerk such officers of the
City as, in the opinion of the City Attorney, may act in their beheld, shall without further act or
authorization of the City Cmmcil execute and deliver the Note.
2-4. Delivery of Note.
Before delivery of the Note there shall be filed with the Lender (except to the extent waived
by the tender) the following items:
(1) an executed copy of each of the following documents:
(A) the Loan Agreement;
(B) the Pledge Agreement;
(C) the Mortgage;
(D) the Assignment of leases and Rents;
(E) the Construction loan Agreement;
(F) the Gauranty;
(G) a Cost Certificate signed by the Borrower certifying the use of the proceeds of the Note.
(M) the lease of the Project from the Borrauer to Food-N-Fuel, Inc.
(2) an opinion of Counsel for the Borrower as prescribed by Bond Counsel;
(3) the opinion of Bond Counsel as to the validity and tax exempt status of the Note;
(4) such other documents and opinions as Bond Counsel nay reasonably require for purposes of
rendering its opinion required in subsection (3) above or that the Lender nay reasonably require for
the closing.
2-5. Disposition of Note Proceeds.
There is hereby established sith the Lender a Construction Fund to be held by the Lender as
a separate account of the City as provided in the Construction Loan Agreement. Upon delivery of the # �
Note to Lender, the proceeds of such Note shall be credited to the Construction Fund held by the
Lender on behalf of the City, at which time the entire principal amount of the Note shall be deemed
advanced, and the Lender shall, on behalf of the City, disburse funds from the Construction Fund for
payment of Project Costs upon receipt of such supporting documentation as the lender nay dean reason-
ably necessary, including compliance with the provisions of the Construction Loan Agreehent. The
Borrower shall provide the City with a full accounting of all funds disbursed for Project Costs.
2-6. Registration of Transfer. f�..
The City will cause to be kept at the office of the Clerk a Note Register in which, subject+
to such reasonable regulations as it may prescribe, the City shall provide for the registration of
transfers of ownership of the Note. The Note shall be transferable upon the Note Register by the
lender in person or by its agent duly authorized in writing, upon surrender of the Note together with
a written instrument of transfer satisfactory to the Clerk, duly executed by the Lender or its duly
authorized agent. Upon such transfer the Clerk shall note the date of registration and the name and
address of the nee Lender in the Note Register and in the registration blank appearing on the Note.
2-7. Mutilated, Lost or Destroyed Note.
In case any Note issued hereunder shall beans mutilated or be destroyed or lost, the City
shall, if nt then prohibited by law, cause to be executed and delivered, a new Note of like outstanding
principal amount, amber and tenor in exchange and substitution for and upon cancellation of such
nultilated Note, or in lieu or and in substitution for such Note destroyed or lost, upon the Lender's
paying the reasonable expenses and charges of the City in connection therewith, and in the case of a
Note destroyed or lost, the filing with the City of evidence satisfactory to the City that such Note
was destroyed or lost, and furnishing the Citywith indemnity satisfactory to it, all in confotonce with
Minnesota Statutes Section 475.70 and 475.69. If the mutilated, destroyed or lost Note has already
matured or been called for redemption in accordance with its terms it shall not be necessary to issue a
new Note prior to payment.
2-8. Ownership of Note.
The City nay deem and treat the person in whose name the Note is last registered in the Note
Register and by notation on the Note whether or not such Note shall be overdue, as the absolute owner
of such Note for the purpose of receiving payment of or on accomt of the Principal Balance, redemption
price or interest and for all other purposes whatsoever, and the City shall not be affected by any
notice to the contrary.

011 2-9. Limitation on Note Transfers.
The Note has been issued without registration under state or other securities laws,
pursuant to an exertion for such issuance; and accordingly the Note may not be assigned or
transferred in whole or part, nor may a participation interest in the Note be given pursuant
to any participation agreement, except in accordance with an applicable exemption from such
registration requirements.
ARTICLE TREE
GEN1RAL ODVENANIS
3-1. Payment of Principal and Interest.
the City covenants that it will promptly pay or cause to be paid the principal of and
interest on the Note at the place, on the dates, solely from the source and in the manner provided
herein and in the Note. The principal and interest are payable solely from and secured by revenues
and proceeds derived from the Loan Agreement, the Pledge Agreement, the Ibrtgage, the Construction
Loan Agreement, the Guaranty and the Assignment of Leases and Rents, which revenues and proceeds are
hereby specifically pledged to the payment thereof in the mummer and to the extent specified in
the Note, the Loan Agreement, the Pledge Agreement, the Mortgage, the Construction than Agreement,
the Guaranty and the Assignment of Leases and Rents; and nothing in the Note or in this Resolution
shall be considered as assigning, pledging or otherwise encumbering any other finds or assets of
the City.
3-2. Performance of and Authority for Covenants.

the hands of the Lender is and will be a valid and enforceable special limited obligation of the City
according to the terms thereof.
3-3. Enforcement and Perfonmance of Covenants.
The City agrees to enforce all covenants and obligation of the Borrower under the Loan
Agreement and Construction loan Agreement, and to perform all covenants and other provisions
pertaining to the City contained in the Note, the loan Agreement and the Construction Loan Agreement
and subject to Section 3-4.
3-4. Nature of Security.
Nonoitbstandi g anything contained in the Note, the Mortgage, the Assignment of Leases and
Rents, the loan Agreement, the Pledge Agreement or any other document referred to in Section 2-4
to the contrary, under the provisions of the Act the Note may not be payable from or be a charge
upon any fiords of the City other than the revenues and proceeds pledged to the payment thereof, nor
shall the City be subject to any liability thereon, nor shall the Note otherwise contribute or give
rise to a pecuniary liability of the City or, to the extent permitted by lau, any of the City's officers,
employees and agents. No holder of the Note shall ever have the right to compel any exercise of the
taxing power of the City to pay the Note or the interest thereon, or to enforce payment thereof
against any property of the City other than the revenues pledge under the Pledge Agreement; and the
Note stall not constitute a charge, lien or enctbrance, legal or equitable, upon any property of
the City; and the Note shall not constitute a debt of the City within the meaning of any con-
stitutional or statutory limitation; but nothing in the Act impairs the rights of the Larder to
enforce the covenants made for the security thereof as provided in this Resolution, the Loan Agreement,
the Pledge Agreement, the Mortgage the Assignment of Leases and Rents, the Construction Loan
Agreement, the Guaranty and in the Act, and by authority of the Act, the City has made the covenants
and agreements herein for the benefit of the Lender; provided that in any event, the agreement of
the City to perform or enforce the covenants and other provisions contained in the Note, the loan
Agreement, the Pledge Agreement and the Construction loan Agreement shall be subject at all times to
the availability of revenues under the Loan Agreement sufficient to pay all costs of such performance
or the enforcement thereof, and the City shall not be subject to any personal or pecuniary liability
thereon.
ANITCLE FOUR
MISCLLANEOUS
4-1. Severability.
If any provision of this Resolution shall be held or denied to be or shall, in fact, be
inoperative or unenforceable as applied. in any particular case in any jurisdiction or jurisdictions
or in all jurisdictions or in all cases because it conflicts with any provisions of any constitution
or statute or rule or public policy, or for any other reason, such circumstances shall not have the
effect of rendering the provision in question imperative or unenforceable in any other case or cir-
cumstance, or of rendering any other provision or provisions herein contained invalid, imperative,
or unenforceable to any extent whatever. The inavlidity of any one or more phrases, sentences, clauses
or parageraphs in this Resolution contained shall not affedt the remaining portions of this Resolution
or any part thereof.

4-2. Authentication of Transcript. rem
The officers of the City are directed to furnish to Bond Counsel certified copies of this
Resolution and all documents referred to herein, and affidavits or certificates as to all other
matters which are reasonably necessary to evidence the validity of the Note. All such certified
copies, certificates and affidavits, including any heretofore furnished, shall constitute recitals
of the City as to the correctness of all statements contained therein.
4-3. Registration of Resolution. ^'
The Clerk is authorized and directed to cause a copy of this Resolution to be filed with the
County Auditor of Washington County, and to obtain tram said County Auditor a certificate that the
Note as a bond of the City has been duly entered upon his bond register.
4-4. Authorization to Execute Agreements.
The forms of the proposed loan Agreement, the Pledge Agreement and the Construction Loan
Agreement are hereby approved in substantially the fora heretofore presented to the City Council
together with such additional details therein as may be necessary and appropriate and such
modifications thereof, deletions therefrom and additions thereto as maybe necessary and appropriate
and approved by Band Counsel prior to the execution of the documents, and the Mayor and Clerk of the
Cuty are authorized to execute the Loan Agreement, the Pledge Agreement and the Construction loan
Agreement in the tome of and on behalf of the City and such other documents as Bond Counsel consider
appropriate in connection with the issuance of the Note. In the event of the absence or disability of
the Mayor or the Clerk such officers of the City as, in the opinion of the City Attorney, may act in
their behalf, shall without further act or authorization of the City Council do all things and ever++te all
instruments and documents required to be done or executed by such absent or disabled officers. The
execution of any instrument by the appropriate officer or officers of the City herein authorized shall
be conclusive evidence of the approval of such docments in accordance with the terms hereof.

RESOLUTION ACCEPTING REVISED TRAFFIC ALIGNMENT.
WHEREAS, the Minnesota Department of Transportation has prepared a revised traffic
alignment for T. H. 95 north of Myrtle Street and
WHEREAS, the revised traffic alignment appears to provide a satisfactory alternative
to the present alignment and will also allow additional parking stalls that are important
for local businesses;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF STILLWATER that the
city hereby approves the revised alignment and further agrees to the following conditions:
1. The revised alignment shall be installed on a one year trial basis; and
2. Parking stalls that are allowed under the new alignment will be signed by the
City for short-term parking only and all parking restrictions will be adequately
enforced; and
9. The City will pay all costs assocated with implementing the revised traffic
alignment; and
4. If after consultation with the City, the Minnesota Department of Transportation
determines that unsafe operational problems exist due to the changes, the align-
ment will be changed back to the existing configuration and all costs assoicated
with the second change will be paid by the City.

RESOLUTION CONFIRMING APPOINTMENT OF BEACH PERSONNEL AND FIXING COMPENSATION.
BE IT RESOLVED, by the City Council of the City of StiLlwater, Minnesota, that
the appointment of the following named persons by the Recreation Board of the
City, to render services at the Lily Lake Public Bathing Beach operated and
maintained by the City, be, and the same are hereby, confirmed and that as

RESOLUTION NO. 7079
RESOLUTION AUTHORIZING ISSUANCE, AWARDING SALE, PRESCRIBING THE FORM AND DETAILS
AND PROVIDING FOR THE PAYMENT OF $400,000 GENERAL OBLIGATION IMPROVEMENT BONDS OF
1982.
BE IT RESOLVED by the City Council of the City of Stillwater, Minnesota, as follows:
Section 1. Authorization and Sale.
1.01 This Council, by its Resolution No. 7069 adopted May 18, 1982, authorized the issuance and
public sale of $400,000 General Obligation Improvement Bonds of 1982, of the City, to finance the
cost of the local improvements designated in Section 1 of said Resolution. Said Resolution is incorpor-
ated herein by reference.
1.02 Notice of sale of the Bonds has been duly published, and the Cotmcil, having examined and
considered all bids received pursuant to the published notice, does hereby find and dtetmi„e that the
most favorable bid received is that of BacNorttwest, of Minneapolis, Minnesota, and associates, to
purchase the Bonds at a price of $394,200.00 plus accrued interest on all Bonds to the day of delivery
and payment, on the further terms and conditions hereinafter set forth.
1.03 The sale of the Bonds is hereby awarded to said bidder, and the Mayor and City Clerk are hereby
authorized and directed on behalf of the City to execute a contract for the sale of the Bads in accord-
ance with the tens of said bid. The good faith check of the successful bidder shall be retained by the
City Cleric until the Bonds have been delivered and the purchase price paid. The good faith checks of
other bidders shall be returned to them forthwith.
Section 2. Bond Terms, Execution and Delivery.
2.01 The Bonds shall be designates General Obligation Inprovememt Bonds of 1982, shall be dated
July 1, 1982, shall be issued in the denomination of $5,000 each, numbered serially from 1 to 80, inclusive,
shall mature serially on February 1 in the respective years and amounts stated below, and shall bear
interest from date of issue until paid or duly called for redemption at the respective annual rates set Li
forth opposite such years and ammnts, as follows:

2.02 Bonds maturing in the years 1984 through 1988 shall not be subject to redemption
prior to maturity, but Bonds maturing on or after February 1, 1989, shall be subject to redemption
and prepayment at the option of the City, in inverse order of maturity dates, on February 1, 1988,
and any interest payment date thereafter at a price equal to the principal amount thereof and
accrued interest to the date of redemption. The Bonds shall be subject to redemption and prepayment
in inverse order of maturity and by lot within a maturity, as selected by the paying agent specified
in Section 2.03 on behalf of the City. At least thirty days prior to the date set for rederption of
any Bond prior to its stated maturity date, the City Clerk shall cause notice of the call for
redemption thereof to be published in a daily or weekly periodical published in a Minnesota city
of the first class, or its metropolitan area, which circulates throughout the state and furnishes
financial flews as a part of its service, and mailed to the bank at which principal of and interest
on the Bonds are then payable, but no defect in or failure to give such mailed notice of redemption
shall affect the validity of proceedings for the redemption of any Bond.
2.03 The interest on the Bonds shall be payable semiannually on each February 1 and August 1,
camencing August 1, 1983. The principal of and interest on the Bonds shall be payable at North-
western National Bank of Minneapolis, Minneapolis, Minnesota, which is designated as paying agent,
or in the event of its resignation, removal or incapability of acting as paying agent, at the office
of such successor paying agent as may be appointed by the Council.
2.04 The Bonds, appurtenant interest coupons and certification of legal opinion shall be

made within the City in accordance with the provisions of Minnesota Statutes, Chapter 429, and is
issued pursuant to and in full conformity with the Constitution and laws of the State of Minnesota
thereunto enabling, and pursuant to resolutions duly adopted by the City Council.
Bonds of this issue maturing in 1988 and earlier years are payable on their respective stated
maturity dates without option of prior payment, but Bonds having stated maturity dates in 1989 and
later years are each subject to redemption and prepayment at the option of the City on February 1,
1988 and any interest payment date thereafter, at par and accrued interest. The Bonds are subject to
redemption and prepayment in inverse order of maturity and by lot within a maturity, as selected by

2.05 The Bonds shall be prepared under the direction of the City Clerk and shall be executed
on behalf of the City by the printed facsimile *natures of the Mayor and the City Clerk, and by the
manual signatures of either of said officers. The interest coupons attached to each Bond and the legal
opinion certificate shall be executed and authenticated by the printed facsimile signatures of the Mayor
and the City Clerk. 4Auen the Bonds have been so executed and authenticated, they shall be delivered
by the City Clerk to the purchaser thereof upon payment of the purchase pricein accordance with the
contract of sale heretofore made and executed, and said purchaser shall not be obligated to see to the
application of the purchase price.
Section 3. 1982 Improvement Construction find. There is hereby established on the official
books and records of the City a 1982 Improvement Construction Blind, and an account for each improvement
financed by the Bonds, and the City Clerk shall continue to maintain each account until payment of all
costs and expenses incurred in construction of the improvement for which it is established. To each
accent there shall be credited firm the proceeds of the Bonds, an amamt equal to the estimated cost
of the improver for which the account was established; and such other funds as may from time to
time be appropriated by this Council; and fran each account there shall be paid all costs and exposes
of said impro spun. There shall also be credited to each accaamt all special assessments collected
with respect to the improvenent financed by the Bonds, until all costs of said improvement have been fully
paid. Each account shall be used solely to defray expenses of the improvement for which it was created,
including but not Limited to the transfer to the 1982 Improvement Bond Account, created pursuant to
Section 4 hereof, of amounts sufficient for the payment of interest and principal, if any, due on the
Bonds prior to the completion and payment of all costs of the improvements. After payment of all costs
incurred with respect to each improvement, the account for it shall be discontinued and any Bond proceeds
remaining therein may be transferred to the other fads or accoers established for construction of
other improvements instituted pursuant to Minnesota Statutes, Chapter 429. All special assessments on
hand in each account when terminated or thereafter received, and any Bond proceeds not so transferred,
shall be credited to the 1982 Improvement Bond Accent in the Sinking Find of the City.
Section 4. 1982 Improvement &,nd Account.
The Bonds to be issued shall be payable from a separate and special 1982 Improvement Bond Accent of
the Sinking Fled of the City, which Account the City agrees to maintaum until said Bonds have been
paid in full. If the matey in said Account shunuld at any time be insufficient to pay pri ripal and
interest due on the Bonds, such amounts shall be paid from Honeys on hand in said Sinking Fund or
Fran other moneys c_ hand in other funds of the City, which other funds shall be reimbursed therefor when

sufficient honey becomes available in said Account. The moneys on hand in said Account from
time to time shall be used only to pay the principal of and interest on the Bonds. Into said
Account shall be paid all special assessments collected after the cost of the inprovenent have
been paid in full, all taxes collected pursuant to Section 6 hereof, any excess Bond proceeds,
as provided in Section 3, and any other moneys received and appropriated to the Account by the
City Council fran time to time.
Sedtion 5. Special Assessments. The City hereby covenants and agrees that, for the paym.mt
of the cost of improvements tinanced by the Bonds the City will do and perform all acts and things
necessary for the final and valid levy of special assessments in an anamt not less than 20% of
the cost of each of the improvements financed by the Bonds, and the City hereby authorizes the levy
of said special assessments, pursuant to the Minnesota Statutes, Section 475.55. It is presently
estimated assessments will be levied in the aggregate amount of $387,719. The principal of said
assessments shall be payable in annual installments, with interest on unpaid installments thereof
from time to time at the rate of not greater than 15.0% per aonm, provided that it is presently
estimated that interest on said unpaid installments shall accrue at the rate of not less than
12.0% per maim, and that the principal and interest on such special assessments will be collected
in the years and amounts as follows:

In the event that any such assessment shall at any time be held invalid with respect to any lot or
tract of land, due to any error, defect or irregularity in any action or proceeding taken or to be
taken by the City or by this Council or by any of the officers or mployees of the City, either in
the making of such assessment or in the performance of any condition precedent thereto, the City
hereby covenants and agrees that it will forthwith do all such further things and take all such
further proceedings as shall be required by lad to make such assessment a valid and binding lien
upon said property.
Section 6. Pledge of Taxing Powers For the prompt and full payment of the principal
of and interest on said Bonds as such payments respectively became due, the full faith, credit
and unlimited ravine powers of the City shall be and are hereby irrevocably pledged. In order to
produce suns for the payment of the principal of and interest on the Bonds which, together with Bond
proceeds appropriated to pay interest coming due during the construction period and the collections
of the assessments and interest thereon, are not less than 5% in excess of such principal and
interest when due, there is hereby levied upon all taxable property in the City, a direct, annual,
ad valorem tat cdnich shall be spread upon the tax rolls for the years and in the amounts set forth
below and collected with and as a part of other general taxes of the City in the respective ensuing
collection years:

Said tax shall be irrepealable as long as any of said Bonds are outstanding and unpaid; provided,
that the City reserves the right and power to reduce the levies in the nmmer and to the extent
permitted by Minnesota Statutes, Section 475.61.
Section 7. Ilefeasance. When all of the Bonds issued and all coupons appertaining
thereto have been discharged ed in this section, all pledges, covenants and other rights
granted by this resolution to the holders of the Bonds shall cease. The City may discharge its
obligations with respect to any Bonds and coupons appertaining thereto which are due on any date by
depositing with the paying agent on or before that date a no sufficient for the payment thereof in
full; or, if any Bond or coupon should not be paid when due, it may nevertheless be discharged by
depositing with the paying agent a sun sufficient for the payment thereof in full with interest
accrued to the date of such deposit. The City may also discharge its obligations with respect to
any prepayable Bonds according to their terms, by depositing with the paying agent an or before
that date an amount equal to the principal, interest and redemption premium, if any, which are then
due, provided that notice of such redemption has been duly given as provided herein. The City may
also at any time discharge its obligations with respect to any Bonds, subject to the provisions of
Lew new or hereafter authorizing and regulating such action, by depositing irrevocably in escrow, with
a bank qualified by law as an escrow agent for this purpose, cash or securities which are authorized

Section 10. Arbitrage.
10.01 The City covenants and agrees with the holders from time to time of the Bonds
herein authorized, that it will not take, or permit to be taken by any of its officers, employees or
agents, any action which would cause the interest payable on the Bonds to became subject to taxation
under the United States Internal Fevenue Code of 1954, as amended (the Code) and regulations issued
thereunder, and that it will take, or it will cause its officers, employees or agents to take, all
affirmative action within its powers which may be necessary to insure that such interest will not
became subject to taxation under the Code.
10.02 Fran and after February 1, 1988, the City Clerk shall ascertain monthly the
amount on deposit in the Mcamt referred to in Section 4 thereof. If the amount on deposit therein
ever exceeds by more than $60,000 the aggregate amount of principal and interest due and payable

RESOLUTION ORDERING PREPARATION OF PLANS AND SPECIFICATIONS, LOCAL IMPROVEMENT

WHEREAS, this Council did, on the 15th of June, 1982, receive the preliminary
report of the City Engineer that the following described improvements are feasible,
and may be made as proposed in connection with Local Improvement No. 197:

that the employment of Craig Peterson as a member of the Stillwater Part -Time
Police Force from and after July 6, 1982, for a probationery period of six

the flow and repair or elimination of standby generators at the Brick Street Lift
Station.

bid bond or certified check, payable to the City, for at least ten (10) percent
of the amount of the bid.

RESOLUTION AUTHORIZING, SETTING THE DATE FOR, AND DIRECTING PUBLICATION OF
NOTICE CONCERNING A PUBLIC HEARING ON A PROPOSAL TO UNDERTAKE AND FINANCE
A HOSPITAL FACILITIES DEVELOPMENT PROJECT UNDER THE MUNICIPAL INDUSTRIAL
DEVELOPMENT ACT, MINNESOTA STATUTESCHAPTER 474
WHEREAS, pursuant to Chapter 474, Minnesota Statutes, known as the Minnesota
Municipal Industrial Development Act (hereinafter called the "Act"), the City
of Stillwater, Minnesota (the "City") is authorized to receive, consider and,
upon satisfaction of certain legal procedures, approve proposals for the
financing of hospital facilities development projects by the issuance of the
City's limited obligation revenue bonds;
WHEREAS, the City Council of the City (the "City Council") has received from
representatives of Lakeview Memorial Hospital Association, Inc., a Minnesota
non-profit corporation, (the "Corporation") a proposal that the City, pursuant
to the Act, undertake and finance a hospital facilities development project to
be located in the City (the "Project") through the issuance of revenue bonds
in an aggregate principal amount not to exceed $6,000,000.00; and
WHEREAS, the Act requires that prior to its consideration of the Project proposal,
the City Council conduct a public hearing on such proposal and cause to be
published public notice concerning the Project and such hearing.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Stillwater,
Minnesota, as follows:
1. The,City Council shall meet on August 17, 1982 at 7:30 o'clock P. M.
C.D.T. in the Council Chambers of the Stillwater City Hall, Stillwater, Minnesota
for the purpose of conducting a public hearing on the hospital facilities develop-
ment Project proposed to be undertaken and financed, pursuant to the Act, by the
City and the Corporation.
2. The City Council shall afford all parties who appear at the public
hearing an opportunity to express their views with respect to the proposal to
undertake and finance the Project.
3. Following completion of the public hearing, the City Council shall
consider a resolution giving preliminary approval to the Project and to the
issuance of the City's revenue bonds to finance the Project pursuant to the Act.
4. The City Clerk is hereby authorized and directed to cause notice of the
time and place of the public hearing, stating the general nature of the Project,
an estimate of the principal amount of the Bonds to be issued to finance the
Project and such other information as may be required by Section 474.01, Sub-
division 7b of the Act, to be published once, not less than fifteen nor more
than thirty days prior to the date of the public hearing, in the City's official
newspaper and a newspaper of general circulation in the City.
5. From the date of the notice publication to and including the date of the
public hearing, there shall be placed on file in the office of the City Clerk
and available for public inspection, Monday through Friday, except legal holidays,
from 8:30 o'clock A. M. to 4:30 o'clock P. M., a draft copy of the proposed
application to the Minnesota Department of Energy, Planning and Development,
Business Development Division, for the Project, together with all attachments
and exhibits thereto.

RESOLUTION ORDERING IMPROVEMENT AND AWARDING CONTRACTS FOR LOCAL IMPROVEMENT
NO. 199.
WHEREAS, by motion of the City Council on the 15th day of June, 1982, fixed
a date for a Council hearing on the proposed improvement of East St. Croix
Avenue between North First Street and North Broadway;
AND WHEREAS, ten days' published notice of the hearing through two weekly
publications of the required notice was given and the hearing was held thereon
on the 6th day of July, 1982, at which all persons desiring to be heard were
given an opportunity to be heard thereon.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF STILLWATER,
MINNESOTA:
1. Such improvement is hereby ordered as proposed in the Council motion
of the 6th day of July, 1982.
2. By motion of the Council on July 20, 1982 the Mayor and the Clerk are
hereby authorized and directed to sign an agreement in the name of the City for
the surfacing of East St. Croix Avenue from North First Street to North Broadway
with Topwer Asphalt, Inc., St. Paul, Minnesota in the amount of $6,364.75, of
which $5,000 will be assessed to the benefited property owners and the balance
to be paid by the City; and further that an agreement be signed for a one inch
copper water line in East St. Croix Avenue with Miller Excavating, Stillwater
in the amount of $2,985.00 which is to be assessed to the benefited property
owners; both of these agreements are in accordance with quotations received by
the City of Stillwater for said improvements.

RESOLUTION ACCEPTING PETITION, ORDERING PREPARATION OF PRELIMINARY REPORT
AND ORDERING A HEARING ON STREET IMPROVEMENTS.
WHEREAS, a petition was presented by several property owners; and said petition
was found to be adequate and was accepted by the Council, and it has been proposed
to construct the following described improvements and to assess the benefited
property for all or a portion of the cost thereof, viz:
Bituminous curb and surfacing on West Oak Street from County
Road No. 5 to South Oakes Street and South Oakes Street
from West Oak Street to its terminus.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Stillwater,
Minnesota:
1. That the said proposed improvement be referred to the City's Engineer
for study and report; advising the Council in a preliminary way as to whether the
proposed improvement is feasible and as to whether it should be made as proposed or
in connection with some other improvement, and the estimated cost of the improvement
as recommended.
2. A public hearing shall be held on such proposed improvement on the 17th
day of August, 1982 in the Council Chambers of the City Hall at 7:30 P. M. and the
Clerk shall give mailed and published notice of such hearing and improvement as
required by law.

PROJECT PROPOSED BY LAKEVIEW MEMORIAL HOSPITAL ASSOCIATION, INC. UNDER THE MINNE-
SOTA MUNICIPAL INDUSTRIAL DEVELOPMENT ACT, MINNESOTA STATUTES CHAPTER 474, GIVING
PRELIMINARY APPROVAL FOR THE ISSUANCE OF HOSPITAL FACILITIES REVENUE BONDS TO
FINANCE THE PROJECT, AUTHORIZING THE SUBMISSION OF AN APPLICATION FOR APPROVAL
OF THE PROJECT TO THE MINNESOTA DEPARTMENT OF ENERGY, PLANNING AND DEVELOPMENT
AND AUTHORIZING THE PREPARATION OF NECESSARY DOCUMENTS.
WHEREAS,the purpose of Chapter 474, Minnesota Statutes, known as the
Minnesota Municipal Industrial Development Act (hereinafter called the "Act)
as found and determined by the legislature is to promote the welfare of the
State of Minnesota by the active attraction and encouragement and development
of economically sound industry and commerce to prevent, so far as possible,
the emergence of blighted and marginal lands and areas of chronic unemployment
to prevent economic deterioration; and
WHEREAS, factors necessitating the active prarotion and development of economically sound
industry and camerce in the City of Stillwater, Minnesota (the "City") are the increasing
concetration of population in the City and the rapidly rising increase in the aunt and
cost of governmental services required to meet the needs of the increased population and the
need for development of land use which will provide an adequate tax base to finance these
increased costs and access to employment opportunities for such population; and
WHEREAS, The City Council of the City (the "City Council") has received fran Tak view Manorial
Hospital Association, Inc., a Minnesota non-profit corporation (the "Corporation"), a request
that the City issue its hospital facilities revenue bonds to finance the acquisition, in-
stallation, construction and equipping of hospital facilities located at 919 West Andersen
Street in the City (hereinafter collectively called the "Project") for use by the Corporation
in providing health care services in the City; and
WHEREAS, the City desires to facilitate the selective development of the community, to retain
and improve its tax base and to help it provide the range of services and in particular the
hospital services furnished by Corporation, and eiploymient opportunities required by its
population, and said Project will assist the City in achieving that Objective- and
WHEREAS, the undertaking of the Project and the issuance of revenue bonds to finance the
Project appears to satisfy the legislative objects, purposes and requirements of the Act,
including helping to maintain employment in the City; and
WHEREAS, the Corporation has entered into preliminary discussions with Piper, Jaffray S
Hopwood, Incorporated, as bond underwriter, and the underwriter has reported that the Project
and the sale of revenue Gods therefor are feasible; and
WHEREAS, the City Council has been advised by representatives of the Corporation that con-
ventional, commercial financing to pay the capital cost of the Project is available only on
a limited basis and at such high costs of borrowing that the economic feasibility of operat-
ing the Project would be significantly reduced, but the Corporation les also advised the City
Council that with the aid of revenue bond financing, and its resulting lower borrowing cost,
the Project is econanically more feasible; and
WHEREAS, pursuant to the Act, a public hearing on the proposl to undertake and finance the
Project (the "Public Hearing")has been conducted, following notice of the Public Hearing
complying with the provisions of the Act being published once not less than 15 days nor more
than 30 days prior to the date fixed for the Public Hearing in the official newspaper and a
newspaper of general circulation of the City; and
WHEREAS, at the Public Hearing all parties who appeared were given an opportunity to express
their views with respect to the proposed undertaking and financing of the Project.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SrtaaTER, MDINE9D'I'A AS MIMS:
1. On the basis of information available to the City Council it appears, and the City Council
hereby finds that said Project constitutes properties used or useful in connection with one or
more revenue producing enterprises engaged in providing health care services within the meaning
of Subdivision lc of Section 474.02 of the Act; that the availability of the financing under the
Act and willingness of the City to furnish such financing will be a substantial inducement to the
Corporation to undertake the Project; and that the effect of the Project, if undertaken, will be
to (a) encourage the development of economically sound industry and commerce, assist in the
prevention of the emergence of blighted and marginal land, and chronic unemployment and help retain
and improve the City's tax base by providing necessary hospital facilities to serve the health
care needs of the community and attract economically sound development, (b) contribute to pro-
viding the range of health services and employment opportunities required by the City's population,
(c) discourage the novenant of talented and educated persons out of the state and to areas within
the state where their services may not be as effectively used and (d) promote public health and
welfare of the City and surrounding communities in the state by providing necessary health care
facilities to the end that adequate health care services can be made available to residents
thereof at reasonable cost.

2. The Council hereby gives preliminary approval to the proposal of the Corporation
that the City undertake the Project pursuant to the Act, in accordance with the Corporation's
specifications suitable for the operations described above and to a revenue agreement between
the City and the Corporation upon such terms and conditions, with provisions for revision
from time to time as necessary, so as to produce income and revenues sufficient to pay, when
due, the principal of and interest on the proposed hospital facilities revenue bonds in the
total principal amount not to exceed $6,000,000.00, to be issued pursuant to the Act to
finance the costs of the Project, which revenue agreement or related dot rents may provide
for collateral and guarantee arrangements for the benefit of the purchasers of the bands;
the City hereby undertakes preliminarily to issue, and sell by public offering, its hospital
facilities revenue bonds in accordance with such terms and conditions.
3.- The preliminary approval of the Project hereby given by the City is subject to the approval
of the Project by the Minnesota Commissioner of Energy, Planning and Development, and subject
to final approval by the City Council, the Corporation and the bond underwriters as to the
ultimate details of the financing of the Project.
4. In accordance with Subdivision 7a of Section 474.01, Minnesota Statutes the Mayor of the
City and the City Clerk of the City are hereby authorized and directed to submit the Project
to the Minnesota Commissioner of Energy, Planning and Development, regnesting the Commissioner's
approval thereof. The Mayor, City Clerk, City Attorney and other officers, employees and agents
of the City are hereby authorized to provide the Commissioner with such preliminary information
as the Commissioner nay require. Representatives of the City and Cppenheimer, Wolff, Poster,
Shepard and Donnelly are bond counsel, are hereby authorized in cooperation with the Corporation
and the Corporation's counsel, to initiate the preparation of a proposed indenture of trust,
loan agreement and such other documents as may be necessary or aJPr'ort to to the Project so
that, when and if the proposed Project is approved by the Commissioner and this Council gives
its final approval thereto, the Project may be carried forward expeditiously.
5. The Corporation has agreed and it is hereby determined that any and all costs incurred by
the City in connectionwith the financing of the Project, whether or rot the Project is carried
to completion and whether or not approved by the Commissioner, shall be paid by the Corporation.
6. Nothing in this resolution or in the documents prepared pursnethereto shall authorize the
expenditure of anymunicipal funds on the Project other than the revenues derived from the
Project or otherwise granted to the City for this purpose. The bonds shall not constitute
a charge, lien or encmnrance, legal or euuirshde, upon any property or funds of the City
except the revenue and proceeds pledged to the payment thereof, nor shall the City be subject
to any liability thereon. The holder or holders from time to time of the bonds shall never
have the right to camel any exercise of the taxing power of the City to pay the outstanding
principal on the hoods or the interest thereon or to enforce payment thereof against any
property of the City. The bonds shall recite in substance that the bonds, including interest
thereon, are payable solely from the revenue and proceeds Pledges to the payment thereof.
The bonds stall not constitute a debt of the City within the meaning of any constitutional
or statutory limitation.

WHEREAS, the City Council of Stillwater, Minnesota has authorized the WY Washington
County Housing and Redevelopment Authority to begin the process of applying

housing rehabilitation funds for the City from the U. S. Department of Housing
and Urban Development (HUD) under the provisions of the Community Development
Block Grant Small Cities Program, and
WHEREAS, the Council in the City's Comprehensive Plan has identified the rehabil-
itation of housing in Stillwater to be an important and necessary need, and
WHEREAS, the U. S. Department of Housing and Urban Development requires, as part
of the CDBG application process, the publication of a statement of Community
Development objectives and activities relating to any application for assistance,
said statement being intended to elicit citizen review and participation in the
application process and the development of community development activities to
address community needs,
NOW, THEREFORE, BE IT RESOLVED, that the Stillwater City Council hereby approves
the promulgation of the following statement of Community Development Objectives
in support of its efforts to obtain HUD assistance to alleviate the problem of
deteriortating structures.

STILLWATER HOUSING REHABILITATION PLAN
Administered by the Washington County Housing and Redevelopment Authority
Objectives
1. Rehabilitation of deteriorated:. or substandard housing structures to bring
them up to at least the minmum Section Eight Housing Quality Standards estab-
lished by HUD.
2. To improve the energy efficiency of structures rehabilitated under this
program.
3. Removal of badly deteriorated structures which cannot be made habitable or
reasonably restored.
Activities
1. Provision of deferred loans for persons and families with low incomes to
rehabilitate their homes.
2. Provision of low interest loans for persons and families with moderate income
to rehabilitate their homes.
3. Removal of severely deteriorated structures.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF STILLWATER, MINNESOTA:
1. A hearing shall be held on the 5th day of October, 1982, in the City Hall
at 7:30 P. M. to pass upon such proposed assessments and at such time and place all
persons owning property affected by such improvements will be given an opportunity
to be heard with reference to such assessments.
2. The City Clerk is hereby directed to cause a notice of the hearing on the
proposed assessments to be published once in the official newspaper at Least two
weeks prior to the hearing, and she shall state in the notice the total cost of the
improvement. She shall also cause notice to be given to the owner of each parcel
described in the assessment roll not less than two weeks prior to the hearings.

RESOLUTION ACCEPTING BID FOR CONSTRUCTION OF LOCAL IMPROVEMENT NO. 200.
WHEREAS, the Council aid, by resolution adopted August 25, 1982, authorize and
direct the City Clerk to advertise for bids returnable at 11:00 o'clock A. M.
on Tuesday, September 7, 1982, for the construction of the following described
improvement:
Bituminous surfacing on West Oak Street between the east line of County
Road No. 5 and the east line of Oakes Street and South Oakes Street from
West Oak Street to its terminus.
AND WHEREAS, it appears from the affidavits of publication presented by the City
Clerk that pursuant to said resolution an advertisement for bids for said improve-
ment was duly published in the Stillwater Evening Gazette, official newspaper of
the City; and in the Construction Bulletin;
AND WHEREAS, it appears that Akona Paving Corporation, Anoka, Minnesota is the
lowest responsible bidder for the construction of said improvement with a total
bid of $6,165.00;
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Stillwater,
Minnesota:
1. That the bid of the said Akona Paving Corporation, Anoka, be, and the
same is hereby, accepted; and that the Mayor and the City Clerk are hereby
authorized and directed to enter into a contract in the name of the City with
the said Akona Paving Corporation for the construction of said improvement for
the contract price aforesaid and in accordance with the plans and specifications
therefor.
2. That the City Clerk shall retain the deposits made with the three lowest
bids for 30 days from and after September 7, 1982 or until a contract is signed,
whichever event first occurs.

RESOLUTION NO. 7107
RESOLUTION AUTHORIZING FILING OF APPLICATION AND EXECUTION OF GRANT PROJECT
AGREEMENTS TO ACQUIRE AND DEVELOP OPEN SPACE UNDER THE PROVISION OF THE STATE
NATURAL RESOURCE FUND.
WHEREAS, the State Natural Resources Fund provides for the making of grants
to assist local public bodies in the acquisition and development of outdoor
recreation projects, and
WHEREAS, the City of Stillwater desires to acquire and develop certain land
known as Lowell Park, which land is to be held and used for permanent open apace,
and
WHEREAS, in order for the proposed project to be eligible for approval, there
must be proof that it is part of a comprehensive outdoor recreation plan and
5-year action program (capital improvement),and
WHEREAS, the City of Stillwater has an original or revised 5-year action program
which includes Lowell Park, and
WHEREAS, it is estimated that the cost of acquiring and developing said interests
shall be $157,600, and
WHEREAS, upon project approval the City of Stillwater must enter into formal
grant project agreements with the state for the specific purpose of acquiring and
developing Lowell Park.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF STILLWATER:
1. That an application be made to the State of Minnesota, Department of Energy,
Planning and Development, Office of Local Government for a grant from the
Natural Resource Fund (Minnesota Laws, 1979, Chapter 333, Section 31, Sub-
division 3, paragraphs (c) and (d) for an amount presently estimated to be
$52,500 and the applicant will pay the balance of the cost from other funds
ava1able to it.)
2. That the City Council and City Finance Director/Coordinator are directed to
execute and file (A) such application and (B) the 5-year action program with
the State of Minnesota, Department of Energy, Planning and Development, Office
of Local Government, and to provide additional information and furnish such
documents as may be required by said Department, and (C) to act as the authorized
correspondents of the applicant.
3. That the proposed acquisition and development is in accordance with plans
for the allocation of land for open space uses, and that should said grants be
made, the applicant will acquire, develop and retain said land for use (s)
designed in said application and approved by the Office of Local Government
and the National Park Service (NPS).
4. That the Umited States of America and the State of Minnesota be, and they
hereby are, assured of full compliance by the applicant with the regulations
of the Department of the Interior, effectuating Title VI of the Civil Rights
Act of 1964.
5. That the City of Stillwater enter into an agreement with the State of Minnesota,
Department of Energy, Planning and Development, Office of Local Government to
provide such grants as are specified in numbered paragraphs 1 and 2, above,
for the year 1983.
6. That the City Council and/or the Finance Director/Coordinator are authorized
and directed to execute such agreement and any supplemental agreements thereof.

RESOLUTION AUTHORIZING THE EXECUTION AND SUBMISSION OF GRANT APPLICATION ON
BEHALF OF THE CITY OF STILLWATER, FISCAL YEAR 1982 HOUSING AND COMMUNITY
DEVELOPMENT ACT OF 1974 (AS AMENDED)AND PROVIDING ASSURANCES THEREUNDER.
WHEREAS, the City of Stillwater is eligible to receive assistance from the U. S.
Department of Housing and Urban Development (HUD) under HUD's Small Cities Community
Development Block Grant Program, and
WHEREAS, the Washington County Housing and Redevelopment Authority has prepared an
application for assistance from said program to address the rehabilitation problems
in the City of Stillwater, and
WHEREAS, the HRA has received letters of support for the proposed Community Develop-
ment Block Grant Program entitled Stillwater Rehabilitation Program from DES
Weatherization, Metro Council, HRA and Washington Federal Savings and Loan, and
WHEREAS, the Washington County Board of Commissions has reviewed the proposed
Community Development Block Grant Application for federal assistance and supports
the activities and financing mechanisms contained therein, and
WHEREAS, the Washington County HRA has complied, on behalf of the City of Stillwater
with HUD's citizen participation requirements, and has furnished citizens with
information on the amount of funds available for activities; described the range
of activities that may be undertaken; published a statement of community development
objectives and activities; and held the required public hearing to afford citizens
an opportunity to comment on the proposed application for federal assistance.
NOW, THEREFORE, BE IT RESOLVED, that Nile L. Kriesel, City Coordinator and/or Mayor
David C. Junker, Chief Executive Officer of the City of Stillwater is authorized
and directed to submit the Small Cities Community Development Block Grant application
for federal assistance entitled "Stillwater Rehabilitation Program" to the U. S.
Department of Housing and Urban Development in such form as prescribed by the reg-
ulations of said department, and
BE IT FURTHER RESOLVED, that the Chief Executive Officer and/or the City Coordinator,
is further authorized to execute and submit to the U. S. Department of Housing and
Urban Development any assurances, certifications, or additional information that
may be required by said department during their review of the County's Community
Development Block Grant application for federal assistance.
WHEREAS, the Mayor and the Stillwatate City Council have reviewed the proposed
Community Development Block Grant application prepared by the Washington County
HRA entitled "Stillwater Rehabilitation Program" and recognizes the need to resolve
the problems assocated with deterioration of its housing stock throughout the City
of Stillwater.
NOW, THEREFORE, BE IT RESOLVED, that the Mayor and the City Council hereby goes on

RESOLUTION AUTHORIZING THE COMMISSIONER OF TRANSPORTATION TO ACT ON BEHALF
OF THE CITY.
BE IT RESOLVED that the Commissioner of Transportation is hereby authorized
to act on behalf of the City of Stillwater and is requested to take such steps
as may be necessary to have the proposed improvements hereinafter described
approved by the Federal Highway Administrator as a Federal Aid Project eligible
for the expenditure of Federal Funds thereon and eligible for construction and
the letting of a contract thereof:
The proposed improvement consists of constructing West Orleans
Street between South Washington Street and County State Aid
Highway 5 (Stillwater Boulevard North). West Orleans Street
will be a four lane bituminous roadway, with concrete curb and
gutter. In addition, landscaping and storm water drainage system
will be provided.

RESOLUTION ADOPTING ASSESSMENT LOCAL IMPROVEMENT NO. 199.
WHEREAS, pursuant to proper notice duly given as required by law, the Council has
met and hear&and passed upon all objections to the proposed assessment for the
following improvements:
Construction of a one inch copper water line in East St. Croix Avenue
and bituminous surfacing on East St. Croix Avenue from North First Street
to North Broadway.
NOW, THEREFORE, BE IT RESOLVED,by the City Council of the City of Stillwater,
Minnesota:
1. That such proposed assessment is hereby accepted and shall constitute the
special assessment against the lands named therein, and each tract of land therein
included is hereby found to be benefited by the proposed improvement in the amount
of the assessment levied against it.
2. Such assessment shall be payable in equal annual installments extending over
a period of ten (10) years, the first of the installments to be payable on the first
Monday in January, 1983 and shall bear interest at the rate of 12% per annum from
the date of the adoption of this assessment resolution. To the first installment
shall be added interest on the entire assessment from the date of this resolution
until December 31, 1983. To each subsequent installment when due shall be added
interest for one year on all unpaid installments.
3. The owner of any property so assessed may, at any time prior to certification
of the assessment to the County Auditor, pay the whole or any portion of the assess-
ment on such property, with interest accrued to the date of payment, to the City
Treasurer, except that no interest shall be charged if the entire assessment is
paid within 30 days from the adoption of this resolution; and he may, at any time
thereafter, pay to the City Treasurer the entire amount of the assessment remaining
unpaid, with interest accrued to December 31 of the year in which such payment is
made. Sych payment must be made before November 15 or interest will be charged
through December 31 of the next succeeding year.
4. The Clerk shall forthwith transmit a certified duplicate of this assessment
to the County Auditor to be extended on the proper tax lists of the County, and
such assessments shall be collected and paid over in the same manner as other
municipal taxes.

Lily Lake Recreation Center from and after October 5, 1982, be, and the same is

RESOLUTION AUTHORIZING EXECUTION OF LAND CONVEYANCE.
WHEREAS, Local Improvement No. 198 being the construction and installation of a
street and public utilities in portions of West St. Croix Avenue and Oakgreen Avenue,
necessitated the exchange of certain real estate abutting thereon for the purpose
of obtaining the proper alignment of the newly constructed road and obtaining needed
right-of-way for future road alignment; and
WHEREAS, the City Council of the City of Stillwater having found a lawful public
purpose in the exhange of the aforesaid real estate in order to facilitate the
construction and related assessments for Local Improvement No. 198.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF STILLWATER does authorize the
acceptance of the deed transferring title to the following described property
from Wanda E. Gannon to the City of Stillwater, legally described as follows:
That part of Lots 1 and 2, Block 2, Cooper's Addition, Section 21,
Township 30 North, Range 20 West; City of Stillwater, Washington
County, Minnesota, described as follows:
Beginning at the northeasterly corner of said Block 2, thence westerly
along the south right-of-way of West St. Croix Avenue a distance of
154 feet; thence southerly parallel with the easterly line of Block 2
a distance of 34 feet; thence northeasterly to the easterly line of said
Block 2 along a line that will intersect the westerly right-of-way of Owen

BE IT RESOLVED, that pursuant to Section 161.36, Subdivision 1, through 6,
Minnesota Statutes, 1980, the Commissioner of Transportation be appointed as
agent of the City of Stillwater to let its agent, contracts for the construc-
tion of portions of Municipal Streets, and the Mayor and the Clerk are hereby
authorized and directed for anion behalf of the City Council to execute and
enter into a contract with the Commissioner of Transportation prescribing the
terms and conditions of such contracts in the form as set forth and contained

RESOLUTION NO. 7135
Mayor
RESOLUTION VACATING A PART OF WEST OAK STREET.
WHEREAS, a petition was presented praying for the vacation of a portion of West
Oak Street in the City of Stillwater hereinafter described; and
WHEREAS, the City Clerk did thereupon and thereafter give notice by publication in
the Stillwater Evening Gazette, official newspaper of the City on October 15, 1982
to the eff :t that said petitionhad been filed as aforesaid and stating concisely
its object and that said petition would be heard and considered by the Council at
the Municipal Building in the City of Stillwater, Minnesota, on the 19th day of
October, 1982, at 7:30 o'clock P. M.; and
WHEREAS, at the time and place appointed in said notice, the Council at a duly called
and held meeting thereof, did investigate and consider said matter and did hear the
testimony and evidence on the part of all parties interested, at which meeting and
hearing there was no opposMion to said vacation;
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Stillwater,
Minnesota that the said petition be and the same is hereby granted and that the
following part of said street as presently laid out and dedicated in said City be.
and the same is hereby vacated, absolutely and forever, viz:
The South twenty-five (25) feet of West Oak Street abutting Lot 12,
Block 6, McKinstry & Seeley's Addition from the west line of Hemlock
Street for a distance of 150 feet to the east line of said property
HE IT FURTHER RESOLVED, that the Council deems substantial benefits will accrue to
the City from the vacation of that part of said street as herein provided, and the
public benefits will be such that said vacation is hereby ordered without payment
of compensation;
BE IT ALSO FURTHER RESOLVED, that upon publication of this resolution according to
law, a transcript thereof, together with a duplicate of the plat showing the part
of said street vacated hereby, certified by the City Clerk, shall be filed for record
and recorded in the office of the Register of Deeds of Washington County, Minnesota.

WHEREAS, PURSANT TO WRITTEN CONTRACT SIGNED WITH THE CITY ON THE 23RD DAY OF
AUGUST, 1982, MIKE PAUL ELECTRIC, INC. OF ST. PAUL, MINNESOTA, HAS SATISFACTORILY
COMPLETED CONSTRUCTION OF LOCAL IMPROVEMENT NO. 197 FOR THE DIVERSION OF A
PORTION OF THE FLOW AND REPAIR OR ELIMINATION OF STANDY GENERATORS AT THE BRICK
STREET LIFT STATION IN ACCORDANCE WITH SUCH CONTRACT;
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Stillwater,
Minnesota, that the work completedunder said contract is hereby accepted and
approved, and that a proper warrant be drawn upon the City Treasure and issued
to the contractor for the final payment on said contract.

RESOLUTION APPROVING EMPLOYMENT AND FIXING COMPENSATION OF CARETAKERS.
BE IT RESOLVED, by the City Council of the City of Stillwater, Minnesota, that
the employment:. of Jonathon Reynolds for weekdays caretaker for the warming
house at Staples Field Skating Rink; and Robert Thompson for weekdays at the
Northland Park Skating Rink; and Scott Shelly and Perry Furgale as weekend
relief caretakers from and after the 1st day of December, 1982, be, and the
same is hereby approved and that as compensation for services rendered in
such employment, the said caretakers shall receive the sum of $4.00 per hour.

RESOLUTION NO. 7144
RESOLUTION AUTHORIZING THE MAYOR AND THE CITY CLERK TO SIGN THE MINNESOTA
DEPARTMENT OF TRANSPORTATION FEDERAL AID FORM NO. III.
BE IT RESOLVED that pursuant to Section 161.36, Subdivision 1 through 6,
Minnesota Statutes, the Commissioner of Transportation be £)pointed as agent of
the City of Stillwater, Minnesota to let as its agent, contracts for the
construction of local streets and bridges, and the Mayor and the Clerk are
hereby authorized and directed for an on behalf of the City Council to execute
and enter into a contract with the Commissioner of Transportation prescribing
the terms and conditions of such contracts in the form as set forth and contained
in "Minnesota Department of Transportation Agency Agreement" a copy of which said
agreement was before the Council, assuming on behalf of the City all of the
obligations therein contained.

RESOLUTION NO. 7145
RESOLUTION VACATING A UTILITY AND STREET EASEMENT.
WHEREAS, at a meeting of the City Council held on the 21st day of December, 1982, a
petition was presented praying for the vacation of that permanent easement for the
construction, operation and maintenance of utilities and streets; and
WHEREAS, at said meeting the City Council did determine that the Petition was
properly verified and signed by an owner abutting on the portion of the street
proposed to be vacated; and
WHEREAS, the City Council determined that they are a Home Rule Charter City of the
Third Class and it was proper for them to proceed with the vacation pursuant to
Minnesota Statutes 440.135; and.
WHEREAS, the City Council determined that the proposed vacation would not interfere
or defeat the public interest or adversely affect the public and that it would be
in the best interests of the City of Stillwater and abutting owners that the afore-
said easement and street be vacated.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Stillwater, Minne-
sota, that said Petition be and the same is hereby granted by the City be and the
same is hereby vacated:
Parcel 08-2620, Section 32, Township 30 North, Range 20 West, Washington
County, Minnesota, being described as follows:
The SoutLerly 33 feet of the Easterly 990.34 feet of the Southeast Quarter of the
Northwest Quarter of said Section 32. Also, a temporary easement for the purpose of
constructing roadway slopes, said easement being 10 feet in width and lying North of and
adjacent to the aforedescribed permanent easement, which easements were granted by
Deed of Appurtenant Easement dated September 25, 1979, recorded October 7, 1980, as
Document No. 410009.
BE IT FURTHER RESOLVED, that this action was taken at a regular meeting of the City
Council and that a copy of this Resolution duly certified by the City Clerk shall be
recorded in the office of the County Recorder of Washington County, Minnesota.
Adopted by the affirmative vote of all of the members of
the City Council this 21st day of December, 1982.
