RESOLUTION NO. 6840
RESOLUTION ACCEPTING WORK --LOCAL IMPROVEMENT NOS. 171 AND 173.
WHEREAS, pursuant to written contract signed with the City on the 30th day
of October, 1980, Austin P. Keller of St. Paul, Minnesota, has satisfactorily
completed construction of Local Improvement Nos. 171 and 173 for trunk water -
main, sewermain, street construction and other appurtenances in Washington
Avenue from Curve Crest Boulevard to the extended portion of Orleans Street,
and watermain only from Washington Avenue along the extended Orleans Street
to County Road No. 5 and north cn County Road No. 5 to Croix ood Boulevard;
and Outflow storm sewer drainage facilities, sidewalks, curb and gutter,
watermain and sewer and water services, easements for streets and street con-
struction (County Road No. 66 - Greeley Street and (63rd Street).
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Stillwater,
Minnesota, that the work completed under said contract is hereby accepted and
approved, and that a proper warrant be drawn upon the City Treasurer and iseued
to the contractor for the final payment on said contract.

RESOLUTION NO. 6841
RESOLUTION ACCEPTING PETITION AND ORDERING PREPARATION OF PRELIMINARY REPORT.
WHEREAS, a petition was presented by a property owner; and said petition was
fo',nd to be adequate and was accepted by the Council, and it has been proposed
to construct a watermain and services to serve the lots in Brown Creek Heights
Addition and abutting properties and to assess the benefited property for all
or a portion of the cost thereof.
NOW, THEREFORE, BE IT RESOLVED, by the City Cpuncil of the City of Stillwater,
Minnesota, that the said proposed improvement be referred to the City's
Engineer for study and report; advising the Council in a preliminary way as
to whether the proposed improvement is feasible and as to whether it should be
made as proposed or in connection with some other improvement, and the estimated
cost of the improvment as recommended.

AND WHEREAS, it appears from the affidavits of publication presented by the
City Clerk that pursuant to said motion an advertisement for bids for said
improvement was duly published in the Stillwater Evening Gazette, official
newspaper of the City;
AND WHEREAS, it appears that Orvedahl Construction, Inc., Minneapolis, is
the lowest responsible bidder for the construction of said improvement with
a total bid of 8151,676.00;
NOW, THEREFORE, BE IT RESOLVED, BY THE CITY COUNCIL OF THE CITY OF STILLWATER,
MINNESOTA:
1. That the bid of the said Orvedahl Construction, Inc., be, and the same
is hereby, accepted; and that the Mayor and the City Clerk are hereby authorized
and directed to enter into a contract in the name of the City with the said
contractOrvedahl Construction, nfor construction improvement of said
price aforesaidandin accordance with the plans and sefications
therefor.
2. That the City Clerk shall retain the deposits made with the three
lowest bids for 30 days from and after September 16, 1980 or until a contract
is signed, whichever event first occurs.

RESOLUTION ORDERING HEARING ON SANITARY SEWER AND WATERMAIN IMPROVEMENTS,
LOCAL IMPROVEMENT NO. 186.
WHEREAS, this Council did, on the 16th day of September, 1980 receive the
preliminary report of the City Engineer that the following described improve-
ment is feasible and may best be made as proposed and not in conjunction with
any other improvements at an estimated cost of $14,850.00, said improvement
consisting of the construction of sanitary sewer and watermain and services
for properties on North Center Street north of Myrtle Street for a distance
of approximately 350 feet.
AND WHEREAS, the area proposed to be assessed includes all abutting and non -
abutting property benefited thereby:
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF STILLWATER,
MINNESOTA:
1. That this Council shall meet at the Municipal Building insaid r hCCity
on Tuesday. the 7th day of October, 1980, at 7:30 o'clock P. M.,
purpose of holding a public hearing on the making of the above described improve-
ment.

WHEREAS, pursuant to proper notice duly given as required by laws, the
Council has met and heard and passed upon all objections to the proposed
assessment for the following improvements:
Trunk watermain, sewer main, street construction and other appurtenances
in Washington Avenue from Curve Crest Blvd. to the extended portion of
Orleans Street, and watermain only from Washington Avenue along the extended
Orleans Street to County Road No. 5 and north on County Road No. 5 to Croix -
wood Blvd.
NOW, THEREFORE,
Minnesota:
1. That such proposed assessment is hereby accepted and shall constitute
the special assessment against the lands named therein, and each tract of land
therein included is hereby found to be benefited by the proposed improvement in
the amount of the assessment levied against it.
2. Such assessment shall be payable in equal annual installments extending
over a period of twenty (20) years, the first of the installments to be payable
on the first Monday in January, 1981 and shall bear interest at the rate of 7k%
per annum from the date of the adoption of this assessment resolution. To the
first installment shall be added interest on the entire assessment from the date
of this resolution until December 31, 1981. To each subsequent installment when
due shall be added interest for one year on all unpaid installments.
3. The owner of any property so assessed may, at any time prior to certi-
fication of the assessment to the County Auditor, pay the whole or any portion
of the assessment on such property, with interest accrued to the date of payment,
to the City Treasurer, except that no interest shall be charged if the entire
assessment is paid within 30 days from the adoption of this resolution; and he
may, at any time thereafter, pay to the City Treasurer the entire amount of the
assessment remaining unpaid, with interest accrued to December 31 of the year in
which such payment is made. Such payment must be made before November 15 or
interest will be charged through December 31 of the next succeeding year.
4. The Clerk shall forthwith transmit a certified duplicate of this assess-
ment to the County Auditor to be extended on the proper tax lists of the County,
and such assessments shall be collected and paid over in the same manner as other
municipal taxes.

RESOLUTION ADOPTING ASSESSMENT LOCAL IMPROVEMENT NO. 166.
WHEREAS, pursuant to proper notice duly given as required by law, the Council
has met and heard and passed upon all objections to the proposed assessment for
the construction of a Municipal Parking Lot including the installation of parking
and the construction of curbs and gutters on Main Street from 25 feet north of
Nelson Street to 100 feet south of the Erickson Diversified property and resur-
facing of South Main Street.
NOW, THEREFORE, BE IT RESOLVED, BY THE CITY COUNCIL OF STILLWATER, MINNESOTA:
1. That such proposed assessment is hereby accepted and shall constitute the
special assessment against the lands named therein, and each tract of land therein
included is hereby found to be benefited by the proposed improvement in the amount
of the assessment levied against it.
2. Such assessment shall be payable in equal annual installments extending
over a period of ten (10) years, the first of the installments to be payable on
the first Monday in January, 1981 and shall bear interest at the rate of 7k% per
annum from the date of the adoption of this assessment resolution. To the first

resolution until December 31, 1981. To each subsequent installment when due shall

RESOLUTION NO. 6851
RESOLUTION APPROVING REAPPORTIONMENT OF ASSESSMENTS.
BE IT RESOLVED, by the City Council of the City of Stillwater, Minnesota
as follows:
1. That a Reapport, ament of the Assessments heretofore levied for Local
Improvement Nos. 129-1 and 157 and now on file in the office of the City
Clerk is hereby approved as a reapportionment of the assessments for said
improvements.
2. The City Clerk is hereby authorized and directed to mail notice of this
action to all owners of any parts of the tracts that are affected.
3. Each owner shall have the right to appeal from this reapportionment as
provided in Section 429.081 of the Minnesota Statues and the appeal shall
be made to the City Council within thirty (30) days of the mailing of this
notice.
4. That this reapportionment will not materially impair collection of the
unpaid balance of the original assessments against the tracts.
5. That thirty (30) days from the mailing of this notice, the City Clerk
shall transmit to the County Auditor a certified duplicate of the
reapportioned assessment roll to be extended upon the proper lists of the
County and the County Auditor shall thereafter collect said assessments
in the manner provided by law.

BE IT RESOLVED, by the City Council of the City of Stillwater, Minnesota,
that Resolution No. 6816 is hereby amended as follows:
Delete the name of Arlene Smith, 1110 Nightingale Blvd., as an
Election Judge in the Fourth Ward, Second Precinct and replace
it with the name of Virginia Corrus, 2812 Icerose Lane.

RESOLUTION NO. 6853
RESOLUTION ORDERING IMPROVEMENT AND PREPARATION OF PLANS AND DIRECTING
THE CLERK TO ADVERTISE FOR BIDS.
WHEREAS, a certain petition requesting the extension of sewer and water mains
and services for properties on North Center Street north of Myrtle Street for
a distance of approximately 350 feet was duly presented to the Council on the
1st day of July, 1980; and
WHEREAS, pursuant to a motion of the Council adopted July 1, 1980 a report has
been prepared by Short -Elliott -Hendrickson, Inc. with reference to the improve-
ment, and this report was received by the Council on September 16, 1980:
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF STILLWATER, MINNESOTA:
1. That the Council finds and determines that said petition was signed by
all owners of real property abutting upon said improvement.
2. Such improvement is hereby ordered as proposed in the Council resolution
adopted September 16, 1980.
3. Short -Elliott -Hendrickson, Inc. is hereby designated as the engineer for
this improvement. He shall prepare plans and specifications for the making
of such improvement.
4. The City Clerk shall prepare and cause to be inserted in the Stillwater
Evening Gazette, the official newspaper and in the Construction Bulletin
an advertisement for bids upon the making of such improvement. The
advertisement shall specify the work to be done, shall state that bids
will be received by the Clerk until 1:00 P. M. on October 21, 1980, at
which time they will be publicly opened in the Council Chambers by the
City Clerk and engineer, will then be tabulated, and will be considered
by the Council at 7:30 P. M. on October 21, 1980, in the Council Chambers,
and that no bids will be considered unless sealed and filed with the Clerk
and accompanied by a cash deposit, cashier's check, bid bond or certified
check payable to the Clerk for 10 percent of the amount of such bid.

RESOLUTION RELATING TO A PROJECT UNDER THE MUNICIPAL INDUSTRIAL DEVELOPMENT
ACT: CALLING FOR A PUBLIC HEARING THEREON.
BE IT RESOLVED by the City Council of the City of Stillwater, Minnesota
(hereinafter, the Municipality), as follows:
Section 1. Recitals.
1.01. Immuno Nuclear Corporation, a Minnesota corporation (hereinafter,
the Borrower), has advised this Council of its desire to acquire land near
the Municipality in the Orderly Annexation Area and to construct and equip
thereon a facility for use as a 20,000 square foot office and manufacturing
facility.
1.02. The Municipality is authorized by Minnesota Statutes, Chapter 474
(the Act), to issue its revenue bonds to finance capital projects consisting
of properties used and useful in connection with a revenue -producing enterprise.
The Borrower has requested that the Municipality issue its revenue bonds in an
approximate amount of $1,200,000 to finance a portion or all of the cost f the
Project.
Section 2. Public Hearing.
2.01. Section 474.01, Subdivision 7b of the Act requires that prior to sub-
mission of an application to the Minnesota Commissioner of Securities requesting
approval of the Project as required by Section 474.01, Subdivision 7 of the Act,
this Council shall conduct a public hearing on the proposal to undertake and
finance the Project. Pursuant to that provision, a public hearing on the proposal
to undertake and finance the Project is called and shall be held on November 18,
1980, at 7:30 o'clock P. M., at the City Hall.
2.02. The City Clerk shall cause notice of the public hearing to be pub-
lished in the official newspaper of the Municipality and in the St. Paul Dispatch
or Pioneer Press, a newspaper of general circulation in the Municipality, at
least once not less than fifteen (15) nor more than thirty (30) days prior to
the date fixed for the hearing, such notice to be in substantially the following
form:

CITY OF STILLWATER, MINNESOTA
NOTICE IS HEREBY GIVEN that the City Council of the City of Stillwater,
Minnesota, will meet on November 18, 1980, at 7:30 o'clock P. M., at the City
Hall, 216 North 4th Street, in Stillwater, Minnesota, for the purpose of con-
ducting a public hearing on a proposal that the City issue revenue bonds, in
one or more series, under the Municipal Industrial Development Act, Minnesota
Statutes, Chapter 474, as amended, in order to finance the cost of a project.
The proposed project will consist of the acquisition of land near the City in
the Orderly Annexation Area and the construction and equipment thereon of a
facility to be used as an office and manufacturing facility by Immuno Nuclear
Corporation. The estimated total amount of the proposed %land issue is $1,200,000.
The bonds shall be limited obligations of the City, and the bonds and interest
thereon shall be payable solely from the revenue pledged to the payment thereof,
except that such bonds may be secured by a mortgage and other encumbrance on the
project. No holder of any such bonds shall ever have the right to compel any
exercise of the taxing power of the City to pay the bonds or the interest thereon,
nor to enforce payment against any property of the City except the project.
A draft copy of the proposed application to the Minnesota Commissioner of
Securities for approval of the Project, together with all attachments and exhibits
thereto, is available for public inspection at the office of the City Clerk be-
tween the hours of 8:30 A. M. and 4:30 P. M., Monday through Friday.
All persons interested may appear and be heard at the time and place set
forth above.

RESOLUTION ACCEPTING BID FOR CONSTRUCTION OF LOCAL IMPROVEMENT NOS. 186
AND 188-1980.
WHEREAS, the Council did, by resolution adopted October 8, 1980, authorize
and direct the City Clerk to advertise for bids returnable at 1:00 o'clock
P. M. on Tuesday, October 21, 1980, for the construction of the following
described improvements:
Extension of sewer and water mains and services for properties
on North Center Street north of Myrtle Street for a distance of
approximately 350 feet; and construction of an overflow pipe
on Pine Tree Trail.
AND WHEREAS, it appears from the affidavits of publication presented by the
City Clerk that pursuant to said resolution an advertisement for bids for
said improvement was duly published in the Stillwater Evening Gazette, official
newspaper of the City; and in the Construction Bulletin;
AND WHEREAS, it appears that Julian M. Johnson Construction Corporation, Blaine,
Minnesota is the lowest responsible bidd - for the construction of said improve-
ment with a total bid of $22,853.15;

WHEREAS, the Council did, by motion on September 16, 1980, authorize and
direct the City Clerk to advertise for bids returnable at 10:00 A. M. on
Tuesday, October 21, 1980, for the construction of the following described
improvement:
Sanitary sewers, watermains, storm sewers, surfacing, curb,
gutter and other appurtenances on Curve Crest Blvd. and
Industrial Blvd. within the Feely Plat.

RESOLUTION APPROVING PLANS FOR TRUNK HIGHWAY N0. 95/36.
WHEREAS, the Commissioner of Transportation for the State of Minnesota has
prepared: plans, special provisions, specifications for the improvement of
Trunk Highway No. 95/45, renumbered as Trunk Highway No. 95/36, within the
corporate limits of the City of Stillwater, from 800 feet South of Nelson Street
to Myrtle Street; and seeks the approval thereof:
NOW, THEN, BE IT RESOLVED that said plans and special provisions for the
improvement of said Trunk Highway within said corporate limits of the City,
be and hereby are approved including the elevations and grades as shown and
consent is hereby given to any and all changes in grade occasioned by said

RESOLUTION PROVIDING FOR THE ISSUANCE AND SALE OF $350,000 GENERAL OBLIGATION
BONDS OF 1981.
BE IT RESOLVED by the City Council of the City of Stillwater, Minnesota, as
follows:
Section 1. Recitals and Bond Authorization.
1.01. It is hereby determined to be necessary and expedient for the City
to issue and sell its Corporate Purpose Bonds of 1981 in the principal amount
of $58,825 to finance the completion of the Lily Lake Level Control Project,
pursuant to Section 200 of the City Charter and Minnesota Statutes, Sections
475.52 and 475.58; and to obtain the best bid for said bonds at public sale,
to sell and issue an additional $1,175 principal amount of like bonds represent-
ing interest together with said bonds, pursuant to Minnesota Statutes, Section
475.56.
1.02. This Council has heretofore ordered the local improvements designated
below to be constructed in the City and has entered or will soon enter into a
contract for the construction of each of said improvements, under and pursuant
to Minnesota Statutes, Chapter 429, the designation and estimated total cost
of each of said improvements being as follows:

Purpose Bonds and the Improvement Bonds described above.
Section 2. Terms of Sale; Notice. Springsted Incorporated, bond consultant
to the City, has presented to this Council a form of Official Terms of Offering
and a form of Notice of Sale for publication, which are attached hereto and
shall be placed on file in the office of the City Clerk. Each and all of the
provisions of the Official Terms of Offering are hereby adopted as the terms and
conditions of said bonds and of the sale, thereof, and shall be made available
to all prospective purchasers of the bonds. The City Clerk is authorized and
directed to cause the Notice of the Sale to be published once in the official
newspaper of the City, and once in the Commercial West, a financial periodical
published in Minneapolis, at least ten days before the date of the sale specified
in the Notice of Sale.
3. Date of Sale. This Council shall meet on Tuesday, December 16, 1980, at
7:30 P. M., to receive, open and consider sealed bids for the purchase of the
bonds, and to take such action thereon as is deemed in the best interest of the
City.

RESOLUTION GIVING PRELIMINARY APPROVAL TO A PROJECT UNDER THE MUNICIPAL
INDUSTRIAL DEVELOPMENT ACT: REFERRING THE PROPOSAL TO THE COMMISSIONER
OF SECURITIES FOR APPROVAL: AND AUTHORIZING PREPARATION OF NECESSARY
DOCMENTS.
BE IT RESOLVED by the City Council of the City of Stillwater, Minnesota (the Municipality),
as follows:
SECITIXI 1.
RECITALS AND FINDINGS
1.1. This Caincil has received a proposal that the Municipality finance a portion of all
of the cost of a proposed project under Minnesota Statutes, Chapter 474 (the Act), consisting
of the acquisition of land near the Municipality in the Orderly Annexation Area, and the
construction and equipping thereon of a 20,000 square foot office and manufacturing facility
(the Project) by Immo Nuclear Corporation, a Minnesota Corporation (hereinafter the Borrower).
1.2. At a public hearing, duly noticed and held on November 18, 1980, in accordance with the
Act, on the proposal to undertake and finance the Project, all parties who appeared at the
hearing were given an opportunity to express their vies with respect to the proposal to under-
take and finance the Project. Based on such hearing and such other facts and circumstances as
this Council deems relevant, this Council hereby finds, determines and declares as follows:
(a) The welfare of the State of Minnesota requires active promotion, attraction, encourage-
ment and development of economically sr- d industry and commerce through governmental acts to
present, so far as possible, emergence .,f blighted lands and areas of chronic unemployment, and
the State has encouraged local goverment units to act to prevent such economic deterioration.
(b) The Project would further the general purposes contemplated and described in
Section 474.01 of the Act.
(c) The existence of the Project would add to the tax base of the Municipality, the
County and School District in which the Project is located and would provide increased oppor-
tunities for employment for residents of the Municipality and surrounding area.
(d) This Council has been advised by the Borrower that conventional, commercial financing
to pay the cost of the Project is mailable only on a limited basis and at such high costs of
borrowing that the economic feasibility of operatinm the iroject would be significantly reduced,
but that with the aid of municipal borrowing, and its resulting lower borrowing cost, the
Project is econoically more feasible.
(e) This Council has also been advised by the Borrower, that on the basis of its dis-
cussions with potential buyers of tax-exempt bonds, revenue bonds of the Municipality (which
may be in the fonn of a commercial development revenue note or notes) could be issued and
sold upon favorable rates and terms to finance the Project.
(f) The Municipality is authorized by the Act to issue its revenue bonds to finance
capital projects consisting of properties used and useful in correction with a revenue producing
enterprise, such as that of the Borrower, and the issuance of such bonds by the Municipality would
be a substantial inducement to the Borrower to acquire and construct the Project.
SECTION 2
PRELIMINARY APPROVAL OF THE PROJECT
2.1. On the basis of information given the Municipality to date, it appears that it would be
desirable for the Municipality to issue its revenue bonds under the provisions of the Act to
finance the Project in an amount not exceeding $1,200,000.
2.2. It is hereby determined to proceed with the Project and its financing and the Project is
hereby given preliminary approval by the Municipality and the issuance of revere bonds of the
Municipality in such amount is hereby approved, subject to the approval of the Project by the
Commissioner of Securities, the fulfillment of such other conditions as the Municipality may
require with respect to the issuance of its bonds in connection with the Project, and the mutual
agreement of this Council and the Borrower as to the details of the bond issue and provisions for
their payment. In all events, it is understood, however, that the bonds of the Municipality shall
not constitute a charge, lien or encumbrance, legal or equitable, upon any property of the Muni-
cipality, except the Project, and each bond, when, as and if issued, shall recite in substance that
the bond, including interest thereon, is payble solely from the revenues received Pram the Project
and property pledged to the payment thereof, and shall not constitute a debt of the Municipality.
2.3. The form of the Application to the Commissioner of Securities, with attachments, is hereby
approved, and the Mayor and City Clerk are authorized to execute said documents in behalf of
the Municipality.

2.4. In accordance with Section 474.10, Subdivision 7a of the Mt, the Mayor and City
Clerk are hereby authorized and directed to cause said Application to be submitted Attorney

and other officers, employees and agents of the Municipality are hereby authorized and
directed to provide the Commissioner with any preliminary information the Commissioner may
need for this purpose, and the City Attorney ithorizzed tronitiate aand

the Commissioner.
SECTION 3
General
3.1. If the bonds are issued and sold, the Municipality will enter into a lease, sale or
loan agreement or similar agreement satisfying the requirements of the Mt (the Revenue
Agreement) with the Borrower. The lease rentals, installment sale payments, loan payments
or other amoa,ts payable by the BorTauer to the Municipality under the Revenue Agreement
shall be sufficient to pay the principal, interest and redemption premium, if any, on the
bonds as and wile, the sat shall became due and payable.
3.2. The Borrower has agreed and it is hereby determined that any and all direct and
indirect costs incurred by the Mm'cipality in connectionwith this Project, whether or not
the Project is carried to completion, and whether or not approved by the Commissioner of
Securities, and whether or not the Municipality by resolution authorizes the issuance of the
bonds, will be paid by the Borrower upon request.
3.3. The Mayor and City Cleric are directed, if the bonds are issued and sold, thereafter
to comply with the provisions of Minnesota Statutes, Section 474.01, Subdivision 8.

APPLICATION FOR APPROVAL OF SAID PROJECT TO THE COMMISSIONER OF SECURLTIES
OF THE STATE OF MINNESOTA AND AUTHORIZING THE PREPARATION OF NECESSARY DOCUMENTS
AND MATERIALS IN CONNECTION WITH SAID PROJECT.
WHEREAS,
(a) The purpose of Chapter 474, Mirnesota Statutes, known as the Minnesota
Municipal Industrial Development Act (the „Act") as found and determined by thelegislature

pre�taction and so far as possibleeornibeement and the emergence of

blighted and marginal lands and areas of chronic enevployment;
(b) Factors necessiating the active promotion and development of econamically
sound industry and coerce are the increasing concentration of population in the metropolitan
areas and the rapidly rising increase in the amount and cost of governmental services required
to meet the needs of the increased population and the need for development of land use which
will provide an adequate tax base to finance these increased costs and access to employment
opportunities for such population;
(c) the City Council of the City of Stillwater ("the City") has received
from Oak Glen Development Co., a Minnesota general partnership to be forced by David Johnson
and others (the "Company") a proposal that the City undertake to finance a Project hereinafter
described, through the issuance of a Revere Bond or Bonds or a Revenue Note or Notes (the
"Revenue Bonds") pursuant to the Act;
(d) The City desires to facilitate the selective developer -a- of the community,
retain and improve the tax base and help to provide the range of services and employment
opportunities required by the population; and the Project will assist the City in achieving those
objectives. The Project will help to increase assessed valuation of the City and help
reputationmaintain
a positive relationship between assessed valuation and debt and enhance the image
of the canmmity;
(e) Company is currently engaged in the business of real estate development.
The Project to be financed by the Revenue Bonds is a golf course and club house facility to be
located in the City and consists of the acquisition of land and the construction of buildings
and improvements thereon and the installation of equipment therein, and will result in the
employment of 50 additional persons to work within the new facilities;
(f) The City has been advised by representatives of Cmpany that conventional,
al,
commercial financing to pay the capital cost of the Project is available only on a limited
basis and at such high costs of borrowing that the economic feasibility of operating the Project
would be significantly reduced, but Cmpany has also advised this Council thha�nithhthe aidd of
municipal financing, and its resulting low borrowing cost, the Project is Y
feasible;
(g) Pursuant to a resolution of the City Council adopted on November 5, 1980,
a public hearing on the Project was held on December 2, 1980, after notice was published, and
materials made available for public inspection at 216 North Fourth Street, all as required by
Minnesota Statutes, Section 474.01, Subdivision 7b at which public hearing all those appearing
at said hearing so desired to speak were heard;
(h) No public official of the City has either a direct or indirect financial
interest in the Project nor will any public official either directly or indirectly benefit
financially fran the Project.
N17J THEREFORE, BE IT RESOLVED by the City Council of the City of Stillwater,
Minnesota, as follows:
1. The Council hereby gives preliminary approval to the proposal of Carpa y that
the City undertake the Project pursuant to the Minnesota Mnicipal Industrial Development Act
(Chapter 474, Minnesota Statures), consisting of the acquisition, construction and equipping
of facilities within the City pursuant to Company's specifications suitable for the operations
described above and to a revenue agreement between the City and Cmpany upon such teams and
conditions with provisions for revision fray time to time as necessary, so as to produce income
and revenues sufficient to pay, when due, the principal of and interest on the Revenue Bands in
t' e total principal arrant of approximately $3,500,000 to be issued pursuant to the Act to
finance the acquisition, construction and equipping of the Project; and said agreement may also
provide for the entire interest of Ccupany therein to be mortgage to the purchaser of the Revere
Bonds; and the City hereby undertakes preliminarily to issue its Revenue Bonds in accordance
with such terms and conditions;
2. On the basis of information available to this Council it appears, and the Council
hereby finds, that the Project constitutes properties, real and personal, used or useful in
business within the

stated in Section 474.01, Minnesota Statutes; that the availability of the financing
under the Act and willingness of the City to furnish such financing will be a substantial
inducement to Capany to undertake the Project, and that the effect of the Project, if
undertaken, will be to encourage the development of economically sound industry and camerae,
to assist in the prevention of the emergence of blighted and marginal land, to help prevent
chronic unemployment, to help the City retain and improve the tax base and to provide the
range of service and eaploymeht opportunities required by the population, to help prevent
the movement of talented and educated persons out of the state and to areas within the State
where their services may not be as effectively used, to prorate more intensive development
and use of land within the City and eventually to increase the tax base of the ca®mity;
3. The Project is hereby given preliminary approval by the City subject to the
approval of the Project by the Camdssioner of Securities, and subject to final approval by
this Council, Company, a nd the purchaser of the Revenue Bonds as to the ultimate details of
the financing of the Project;
4. In accordance with Subdivison 7a of Section 474.01 Minnesota Statutes, the
Mayor of the City is hereby authorized and directed to submit the proposal for the Project
to the Commissioner of Securities, requesting his approval, and other officers, employees
and agents of the City are hereby authorized to provide the Cacanissioner with such preliminary
information as he may require;
5. Company has agreed and it is hereby determined that any and all costs incurred
by the City in connection with the financing of the Project whether or not the Project is
carried to completion and whether or not approved by the Canmission will be paid by Capany;
6. Briggs and Morgan, Professional Association, acting as bond counsel, and the First
Corporate Services, Inc., investment bankers, are authorized to assist in the preparation and
review of necessary dooments relating to the Project, to consult with the City Attorney,
Company and the purchaser of the Revenue Bonds as to the maturities, interest rates and other
terms and provisions of the Revenue Bonds and as to the covenants and other provisions of the
necessary documents and to submit such documents to the Council for final approval;
7. Nothing in this resoltuion or in the documents prepared pursuant hereto shall
authorize the expenditure of any nunicipal funds on the Project other than the revalues derived
from the Project or otherwise granted to the City for this purpose. The Revenue Bonds shall
not constitute a charge, lien or ennnbrance, legal or equitable upon any property or funds
of the City except the revenue and proceeds pledged to the payment thereof, nor shall the City
be subject to any liability thereon. the holder of the Revenue Bonds shall never have the
right to compel any exercise of the taxing power of the City to pay the outstanding principal on
the &veue Bonds or the interest thereon, or to enforce payment thereof against any property
of the City. The Revenue Bonds shall recite in substance that the Revenue Bonds including
interest thereon, is payable solely fran the revenue and proceeds pledged to the payment
thereof. The Revenue Bonds shall not constitute a debt of the City within the warning of
any-.canstutitiaal or statutory limitation;
8. In anticipation of the approval by the Cannissioner of Securities and the issuance
of the Revenue Bonds to finance all or a portion of the Project, and in order that completion
of the Project will not be unduly delayed when approved, Company is hereby authorized to make
such expeditures and advances tavard payment of that portion of the costs of the Project to
be financed from the proceeds of the Revenue Bonds as Company considers necessary, including
the use of interim, short-term financing, subject to the reimbursement from the proceeds of the
Revenue Bonds, if and when delivered but otherwise without liability on the part of the City.

weekdays at the Croixwood Skating Rink; and Scott Schley and Connie Bartlett

CITY OF STILLWATER
WASHINGTON COUNTY, MINNESOTA
A RESOLUTION REQUESTING ANNEXATION OF CERTAIN LAND IN THE CITY OF STILLWATER
PURSUANT TO THE JOINT RESOLUTION OF THE CITY AND TOWN OF STILLWATER AS TO
ORDERLY ANNEXATION DATED AUGUST 20, 1975.
WHEREAS, Immuno Nuclear Corporation, a Minnesota corporation and the Spirit
of St. Croix, a limited partnership under the laws of the State of Minnesota
(hereinafter referred to collectively as "Owners") have filed a Petition with
the City Clerk praying that certain lands owned by them, in the Southeast Quarter
of the Southeast Quarter (SEg of SEW) of Section Thirty-two (32) in the Town of
Stillwater (more fully described in Exhibit "A" attached hereto and made a part
hereof by this reference) be annexed to the City of Stillwater, pursuant to the
Joint Resolution of the City of Stillwater and the Town of Stillwater dated
August 20, 1975; and
WHEREAS, it appears that said lands are included within the area designated
for orderly annexation by that Resolution; and
WHEREAS, the City Council has considered the said Petition and finds:
(1) The said property contains approximately fifteen (15) acres.
(2) That approximately three (3) acres of said fifteen (15) acres is owned
by Immuno Nuclear Corporation. The tract owned by Immuno Nuclear
Corporation is legally described as follows:
The North 270.00 feet of the South 915.00 feet of the West
450.00 feet of the Southeast Quarter of the Southeast
Quarter (SE% of SE') of Section Thirty-two (32), Township
Thirty (30) North, Range Twenty (20) West, Stillwater Township,
Washington County, Minnesota.
The other part of said property is owned by Spirit of St. Croix.
(3) The entire fifteen (15) acre tract is unimproved. However, a build-
ing permit has been issued for the construction of a 20,000 square
foot building on the three (3) acre tract owned by Immuno Nuclear
Corporation. That building will be used by Immuno Nuclear Corporation
for its business purposes; that use is a light industrial use.
(4) The property is presently zoned for commercial and/or light industrial
use and Spirit of St. Croix proposes to develop part or all of its
twelve (12) acre tract for mixed commercial and/or industrial use, or sell
part or all thereof to third parties for such purposes.
(5) Municipal services such as water, sanitary sewer and storm sewer
are available to said land and the land is subject to the special
assessments for such services as hereinafter described.
(6) The Owners petitioning for annexation are the only "property owners"
having an interest in the said land within the meaning of Chapter 414
of the Minnesota Statutes.
(7) The said land should be annexed to the City of Stillwater, at this time,
in order to fulfill the purposes of the said Resolution as set out in
paragraph 4 thereof - namely to provide for the annexation of property
which is or is about "to be developed for other than single-family
residential purposes and which will require municipal sewer and water
service."
(8) The proposed annexation does not conflict, in any way, with the
provisions of said Joint Resolution.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Stillwater as
follows:
1. That this resolution be submitted, forthwith, by the City Clerk to the
Executive Director of the Minnesota Municipal Board for the purpose of initiating
proceedings to annex the land described in Exhibit "A" to the City of Stillwater
all as provided by Subdivision 1 of Section 414.0325 of the Minnesota Statutes
relating to orderly annexations within a designaged area.

2. For the purpose of said annexation proceedings, the City Countil
hereby determines that the land described in said Exhibit "A" is now or is
about to become urban and the City of Stillwater is now capable of providing the
municipal services required by that land. It is further determined that the
annexation to the City of Stillwater would be in the best interests of the area
proposed for annexation.
3. After the annexation thereof, the real estate taxes with respect to
the said lands shall be levied as provided by Paragraph 5 of the said Joint Resolu-
tion dated August 20, 1975.
4. With respect to the special assessments levied against said land for

BE IT FURTHER RESOLVED, that a copy of the City of Stillwater Zoning Map
with the said land proposed for annexation designated thereon in writing, shall
be marked as Exhibit "B" and attached to this Resolution.
BE IT FURTHER RESOLVED, that the City Clerk shall file a certified copy
of this Resolution with attached Exhibits with the Minnesota Municipal Board
along with the request that the Minnesota Municipal Board initiate annexation
proceedings in accordance with the provisions of Section 414.0325 of the Minne-
sota Statutes. The Clerk shall further file copies of this Resolution with
attached Exhibits with the Town Board of the Town of Stillwater and the Joint
Powers Board having land use regulation jurisdiction in the so-called "orderly

RESOLUTION AUTHORIZING ISSUANCE, AWARDING SALE, PRESCRIBING THE FORM AND
DETAILS AND PROVIDING FOR THE PAYMENT OF $350,000 GENERAL OBLIGATION BONDS
OF 1981.
BE IT RESOLVED by the City Council of the City of Stillwater, Minnesota, as follows:
Section 1. Authorization and Sale.
1.01 This Council, by a resolution adopted November 18, 1980, authorized the issuance
and public sale of $350,000 General Obligation Bonds of 1981 of the City (consisting of
$60,000 General Obligation Corporate Purpose Bonds of 1981 and $290,000 General Obligation
Inproveiat Bonds of 1981, hereinafter collectively referred to as the "Bonds"), to finance
the completion of the Lily lake Level Control Project in the City and the cost of the local
inprovenents designated in Section 1.02 of said resolution. Said resolution is incorporated
herein by reference.
1.02 Notice of sale of the Bonds has been duly published, and the Council, having
examined and considered all bids received pursuant to the published notice, does hereby find
and determine that the most favorable bid received is that of Dougherty, Dawkins, Strand &
Ekstron, of Minneapolis, Minnesota, and associates, to purchase the Bonds at a price of
$343,145.00 plus accrued interest on all Bonds to the day of delivery and payment, on the
further terms and conditions hereinafter set forth.
1.03 The sale of the Bonds is hereby awarded to said bidder, and the Mayor and City Clerk
are hereby authorized and directed on behalf of the City to execute a contract for the sale
of the Bands in accordance with the terns of said bid. The good faith check of the successful
bidder shall be retained by the City Treasurer until the Bonds have been delivered and the
purchase price paid. The good faith checks of other bidders shall be returned to then forthwith.
Section 2. Bond Terms, Execution and Delivery.
2.01 The $60,000 General Obligation Corporate Purpose Bonds shall be designated "General
thligation Corporate Bonds of 1981" (hereinafter referred to as the "Corporate Purpose Bonds"),
shall be dated January 1, 1981, shall be issued in the denomination of $5,000 each, numbered
serially from 1 to 12, inclusive, shall mature serially on February 1 in the respective years
and amounts stated below, without option of prior payment, and shall bear interest from date of
issue until paid at the respective anal rates set forth opposite such years and amounts, as
follows:

2.03 The maturities of the Bonds, together with the maturities of all other outstanding
general obligation bonds of the City, meet the requirements of Minnesota Statutes, Section 475.54.
2.04 Bonds maturing in the years 1983 through 1990 shall not be subject to redemption prior
to maturity, but Bond maturing on February 1, 1991, shall be subject to redemption and prepayment
at the option of the City, in inverse order of serial numbers, on February 1, 1989, any any
interest payment date thereafter, at a price equal to the principal amount thereof and accrued
interest to the date of redemption. At least thirty days prior to the date set for redemption
of any Bond prior to its stated maturity date, the City Clerk shall cause notice of the call for
redemption thereof to be published in a daily or weekly periodical published in a Minnesota
city of the first lass, or its metropolitan area, which circulates throughout the state and
furnishes financial news as a part of its service, and mailed to the bank at which principal and

Section 3. Security Provisions for the Corporate Purpose Bonds.
3.01. There is hereby established on the official books and records of the City a "1981
Corporate Purpose Construction Fund' of the City, and the Clerk shall continue to maintain such
Fund until all costs and expanses incurred in construction of the capital project to be financed
by the Corporate Purpose Bonds have been paid. To said Fund there shall be credited the proceeds
of the Corporate Purpose Bonds, less unused discount, if any, and accrued interest, and from said
Fund there shall be paid all costs and expenses of said capital project. After payment of all
costs inc rred with respect to said capital project the Fond shall be discontinued and any
Corporate Purpose Bond proceeds rmriani g therein shall be transferred to the bond account referred
to in Section 3.02.
3.02. The bonds stall be payable from a separate 1981 General Obligation Corporate Purpose
Bond Account of the Sinking Fund of the City, which Account the City agrees to maintain until the
Corporate Purpose Bonds have been paid in full. If the money in said Account should at any time
be insufficient to pay principal and interest due on the Corporate Purpose Bonds, such amounts
shall be paid from moneys on hand in said Sinking Fund, or if necessary from the General Fund

Section 4. Security Provisions for the Improvement Bonds.
4.01. There is hereby established on the official books and records of the City a 1981

expanses of the improvement for which it was created, includinv but not limited to the tranf er
to the Improvement Bond Account, -created pursuant to Section 4.02 hereof, of amounts sufficient
for the payment of interest and principal, if any, due on the Improvement Bonds prior to the
completion and payment of all costs of the improvements. Thereupon, the account created for such
improvement shall be discontinued and any Improvement Bond proceeds remaining therein may be
transferred to the other funds or accounts established for construction of other improvements
institated pursuant to Minnesota Statutes, Chapter 429. All other moneys on hand therein, sub-
sequent collection of special assessments levied for such improvement and any Improvement Bad
proceeds not so transferred, shall be credited to the 1981 Improvement Bond Accommt in the Sinking
Fund of the City.
4.02. The Improvement Bonds to be issued shall be payable from a separate and special
1981 Improvement Bond Account of the Sinking Fund of the City, which Account the City agrees to
maintain until -aid Improvement Bonds and the interest thereon have been paid in full. If the
many in said Accost should at any time be insufficient to pay principal and interest due on the
Improvement Bands, such amounts shall be paid from moneys on hand in said Sinking Fund, or if
necessary from the General Fund of the City, which shall be reimbursed therefor when sufficient
money becomes available in said Account. The moneys on hand in said Account from time to time
shall be used only to pay the principal of and interest an the Improvement Bonds. Into said
Account shall be paid (a) all special assessments collected with respect to each improvement
financed by the Improvement Bonds after the cost of said improvements have been paid in full,
(b) all taxes levied in accordance with this resolution, (c) any excess the Account the
ceeds, as
provided in Section 4.01, and (d) any other moneys received and appropriated by
City Council from time to time.
4.03. The City ,hereby covenants and agrees that, for the payment of the cost of the improve-
ments financed the Improvement Bonds, the City will do and perform all actsand Things necessary
for the final and valid levy of special assessments in an amount not less than 20% of the cost of
each improvement financed by the Improvement Bonds. It is presently estimated assessments will be
levied in the aggregate arrant of $286,700. The principal of said assessments shall be payable in
anal installments, with interest on unpaid installments thereof from time to time at the rate of
not less than 10.0% per anm. It is presently estimated that the principal and interest on such
special assessments will be collected in the following years and amounts:

In the event that any such assessment shall at any time be held invalid with respect to any lot
or tract of land, due to any error, defect or irreguhatory in any action or proceeding taken or to
be taken by the City or by this Council or by any of the officers or employees of the City, either
in the making of such assessment or in the performance of any condition precedent thereto, the
City hereby covenants and agrees that it will forthwith do all such further things and take all such
further proceedings as shall be required by law to make such assessment a valid and binding lien
upon said property.
4.04. For the prompt and Eull payment of the principal of and interest on said Improvement
Bonds as such payments respectively became due, the full faith and credit and unlimited taxing
powers of the City shall be and are hereby irrevocably pledged. In order to produce sirs for the
payment of the principal of and interest on the Improvement Bonds which, together with Improvement
Bond proceeds apptupriated to pay interest caring due during the construction period and the
collections of the assessments and interest thereon, are not less than 5% in excesssuch
principal and interest when due, there is hereby levied upon all taxable property th the City, a
direct, annual, ad valorem taxwhich shall be spread upon the tax rolls for the years and in the
amounts set forth below, and collected with and as a part of other general taxes of the City in the

Section 5. Defeasance. When all of the Bonds issued and all coupons appertaining
thereto have been discharged as provided in this section, all pledges, covenants and other

its obligations with respect to any Bonds and coupons appertaining thereto which are due on any
date by depositing with the paying agent an or before that date a son sufficient for the payment
thereof in full; or, if any Bond or coupon should not be paid when due, it may nevertheless be
discharged by depositing with the paying agent a sum sufficient for the payment thereof in full
with interest accrued to the date of such deposit. The City may also discharge its obligations
with respect to any prepayable Bonds according to their terns, by depositing with the paying agent
on or before that date an mount equal to the principal, interest and redeaption premium, if any.
which are then due, provided that notice of such redemption has been duly given as provided herein.
The City may also at any time discharge its obligations with respect to any Bonds, subject to the
provisions of law now or hereafter authorizing and regulating such action, by depositing irrevocably
in escrow, with a bank qualified by law as an escrow agent for this purpose, cash or securities
which are authorized by law to be so deposited, bearing interest payable at such tines and at such
rates and maturing on such dates as shall be required to pay all principal, interest and redo ption
premium to become due thereon to maturity or said redemption date.
Section 6. Registration of Bonds. The Clerk is hereby authorized and directed to file a
certified copy of this resolution with the County Auditor of Washington County, together with such
additional information as he shall require, and to obtain from said County Auditor a certificate
that the Bonds have been duly entered upon his Bond register and that the tax required for the
payment thereof has been levied and filed as required by law.
Section 7. Authentication of Transcript. The officers of the City and the Canty Auditor
are hereby authorized and directed to prepare and furnish to the purchasers of the Bonds and to
the attorneys rendering an opinion as to the legality thereof, certified copies of all proceedings
and records relating to the Bonds and such other affidavits, certificates and information as may
be required to show the facts relating to the legality and marketability of the Bonds, as the
same appear fran the books and records in their custody and control or as otherwise known to them,
and all such certified copies, affidavits and certificates, inclneNnp any heretofore furnished,
shall be deemed representations of the City as the correctness of all statements contained therein.
Section 8. Arbitrage.
8.01. The City covenants and agrees with the holders from time to time of the Bonds herein
authorized that it will not take, or permit to be taken by any of its officers, mployees or agents,
any action which would cause the interest payable on the Bonds to became subject to taxation under
the United States Internal Revenue (ode• and that it will take, or it will cause its officers,
employees or agents to take, all affirmative actions within its powers which may be necessary to
insure that such interest will rot became subject to taxation under the Internal Revenue Code.
Interval Revenue Code as used herein includes the Code and all regulations as nor existing or as
hereafter mended or proposed.
8.02. The Mayor and the City Clerk being the officers of the city Barged with the
responsibility for issuing the Bonds pursuant to this resolution, are authorized and directed
to execute and deliver to the purchaser a certification in order to satisfy the provisions of
Section 103 (c) of the Internal Revenue Code and the regulations promulgated thereunder.
